8、tination, the USER has to report to the SUPPLIER, if damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations of this CONTRACT due to the SUPPLIER responsibility, the SUPPLIER will be liable for repairing the damaged equipment and/or replacing

9、 this equipment which cannot be repaired and/or supplying short-shipped items. The claim, except the claim of quality, discovered during this open case inspection must be made not later than thirty (30) days after the arrival of the equipment concerned. 設備到達目的港30天內，如發(fā)現設備有任何損壞或由于供貨人的責任導致的規(guī)格和數量不符合合同的規(guī)

10、定， 使用方應告知供貨人，供貨人應負責維修損壞的設備，和或更換不能維修的設備，和或提供短裝的設備。除質量索賠以外，其他在開箱時發(fā)現的索賠事項，應在不遲于有關設備抵達后30天內提出。 3.2 Claim during Warranty Period 保證期限內的索賠 The SUPPLIER shall be responsible for the quality and the technical performance of the equipment supplied within its guarantee period as mentioned in article 3. If the

11、 equipment supplied is found cannot reach its designated quality and technical specification, the SUPPLIER should take remedial action to correct such defects which might include the replacement of the defected parts within three (3) months after the Users written notice and shall bear all the expen

12、ses arising thereof. If the defects are not remedied within this specified period, the USER can request the SUPPLIER liquidated damages on the defected equipment. 供貨人保證其設備在第三條中提及的保證期內的技術性能。如發(fā)現提供的設備不能達到預定的質量和技術規(guī)格，供貨人應采取補救措施以糾正這些問題。補救措施包括收到使用方書面通知后的3個月內提供替換備件，并承擔由此引起的所有費用。如在規(guī)定時間內不能解決，使用方可要求供貨人對發(fā)生問題的設備

13、進行賠償。 ARTICLE 4 - ERECTION SUPERVISION AND COMMISSIONING 第四款 - 安裝指導及調試 The two parties agree to choose mode (A) to apply to this Agreement. 雙方同意本協議適用模式（A） 4.1 Mode A模式A 3.1.1 If installation is included in this purchase, the installation and commissioning of the Equipment purchased under this Contra

14、ct will be undertaken by the Seller pursuant to the terms in Appendix A hereto. In addition, prior to commencing anyinstallation work at Buyers facility, Seller will obtain product liability insurance with the insurance value not less than the total price of this Contract. The certificate of insuran

15、ce shall list the insurance company, amount of coverage, policy numbers, and expiration date. Buyer shall be named as one of the beneficiaries under Seller's liability policies such that Buyer and Seller are both covered for any alleged negligence, and the Buyer shall be shown as one of the bene

16、ficiaries on the certificate of insurance. This Clause 7.1 does not affect Seller's indemnification or other liabilities hereunder. 如本合同包括安裝，賣方應承擔設備的安裝及調試工作,并遵守本合同附件A中的安裝條款。另外，賣方在買方所在地開始安裝調試前還應購買投保額不低于合同總價的設備安裝險。保險憑證應列明保險公司名稱、保險金額、保險單號碼、到期日。在供方的責任保險單上買方應被列為受益人之一，即買方與賣方均能在有聲稱的過失時受到足夠的保護，并且買方應當在保險

17、憑證上被列為受益人之一。本條款并不影響供方在協議項下的賠償及其他責任。 4.1.2 Location of Installation:Limited 安裝位置： 4.1.3 After installation of the Equipment, Buyer and Seller will jointly participate in acceptance testing. If the technical specifications listed in the Technical Agreement attached hereto as Appendix B have been reach

18、ed, the representatives of both parties shall sign an Acceptance Certificate in the form attached to the Technical Agreement, in duplicate, one for each party. Such signature shall constitute acceptance of the Equipment by the Buyer. The Acceptance Certificate will not exempt the Seller from the obl

19、igation to perform warranty work, and the Seller will remain responsible under the warranty provisions listed in Article 5. 在完成設備調試后，由買方和賣方共同組織驗收。如果所有的設備都達到了本合同附件B技術協議中的約定，雙方代表應簽署二份“驗收證書”，雙方各執(zhí)一份。這表明買方已接受設備。本條款下的驗收合格并不免除賣方應對產品的質量承擔的擔保責任，賣方還應根據本合同第五條的保證條款對賣方負責。 4.1.4 Seller will pay all expenses of in

20、stallation of the Equipment, and will be responsible for any damage to the Equipment, Sellers facility, or Sellers employees during the course of installation. .The Seller will provide training for the Buyer until the Buyers personnel can operate the Equipment. 賣方應支付由安裝調試引起的一切費用，并對安裝期間設備、賣方的工具或者賣方雇員

21、的一切損失負責。賣方應該為買方人員提供足夠的指導及培訓直到買方人員能操作使用設備。 4.2 Mode B模式B 4.2.1 Buyer shall take care of field installation and commissioning of the Equipment, and report to Seller on any problem or failure. 買方負責現場安裝調試，如有問題或故障須及時向賣方報告。 4.2.2 Seller must guide for installation and commissioning, furnish the Buyer with

22、 instructions about installation and commissioning, and provide long-distance support via telephone, email and so on. If there is any question, seller technical staff should solve the problem within three working days and keep the equipment running in order. Otherwise, Buyer is entitled to the optio

23、n of asking Seller to settle the problem where it is installed at its own costs and expenses. 賣方必須指導買方的安裝調試工作，向買方提供安裝、調試操作說明書，并通過 、郵件等方式提供遠程支持。如有任何問題，賣方技術人員，應在3個工作日內解決問題，保證設備的正常運行。否則，買方有權要求賣方來現場進行處理并自負費用。 4.2.3 Location of Installation: 安裝位置： 4.2.4 After installation of the Equipment, if the technic

24、al specifications listed in the Technical Agreement attached hereto as Appendix A have been reached, the seller shall sign an Acceptance Certificate in duplicate, one for each party. Such signature shall constitute acceptance of the Equipment by the Buyer. The Acceptance Certificate will not exempt

25、the Seller from the obligation to perform warranty work, and the Seller will remain responsible under the warranty provisions listed in Article 5在完成設備調試后，如果所有的設備都達到了本合同附件A技術協議中的約定，由買方簽發(fā)二份“驗收證書”，雙方各執(zhí)一份。這表明買方已接受設備。本條款下的驗收合格并不免除賣方應對產品的質量承擔的擔保責任，賣方還應根據本合同第5條的保證條款對賣方負責。 4.2.5 The Seller will provide trai

26、ning for the Buyer, the long-distance support via email, telephone and so on, until the Buyers personnel can operate the Equipment. 賣方應該通過郵件、 等遠程支持，為買方人員提供足夠的指導及培訓直到買方人員能操作使用設備。 ARTICLE 5 - WARRANTY 第五款 保證條款 5.1 Quality質量方面 5.1.1 The Seller warrants that the Equipment to be supplied under this Contr

27、act 賣方對本合同下提供的設備做出如下保證： 1）Will be free from all defects in design, workmanship and materials and will be brand new. 在設計，加工和材料方面沒有任何缺陷，并且應該是全新的； 2） Will be fit for normal usages of Equipment of this type, as well as for any specific purpose that Buyer has communicated to Seller that it intends to use

28、 the Equipment for; 符合本類設備的通用使用目的，同時符合買方在簽訂合同時明示或者暗示給賣方的任何特定使用目的。 3）Will be of the same quality as any sample Equipment which the Seller has furnished to the Buyer as a model 具有和賣方提供給買方的模型樣品相同的質量。 5.1.2 If the Equipment has any problems with the Equipment that require repair during the warranty peri

29、od, the Buyer may request warranty service by giving notice, including a description of the problem, the severity of the problem, and the it, initially by written response acknowledging receipt of Buyers request to be sent back to the Buyer immediately. The Seller will arrange for service personnel

30、to address the quality problems within a reasonable time. The abovementioned warranty period shall be12months from the date of acceptance certificate. 保證期內設備出現質量問題需要維修時，買方可擬寫書面維修通知，內容包括對質量問題的描述，質量問題嚴重程度的判定，維修時間要求等；維修通知應發(fā)送到賣方的質量保證團隊在本合同或賣方網站中列出的地址。賣方應在收到買方書面維修通知后（24）小時內簽字確認回傳，并在合理期限內安排維修人員解決質量問題。 以上所

31、述的保證期為驗收合格之日起12個月。 5.1.3 If the Seller fails to solve the quality problems within a reasonable time, Buyer may, at its option, (a) replace the damaged Equipment, (b) hire a third party to repair the Equipment, or (c) allow the Seller to conduct the repairs in question. Seller will be liable for the

32、costs of such repair. 賣方未能在合理期限內解決質量問題的，買方有權自行選擇 （a）要求賣方退換質量有問題的設備 （b）另請第三方維修設備，或 （c）允許賣方維修有問題的設備。賣方應承擔維修所引起的費用。 5.2 Warranty of Ownership The Equipment delivered by the Seller will be free from any right or claim to title of a third party, unless the Buyer has agreed to accept the Equipment subject

33、 to that right or claim. However, if such right or claim is based on industrial property or other intellectual property rights, the Seller's obligation will be governed by Article 5.3 below. 所有權保證 賣方提供的必須是第三方不能提出任何權利或者請求的設備，除非買方同意接受含有第三方權利或者請求的設備。但是如果這種權利或者請求是以工業(yè)產權或者其它知識產權為基礎的，那么賣方的責任由5.3款規(guī)定。 5.

34、3 Warranty of Intellectual Property知識產權保證 5.3.1 Seller will defend and indemnify Buyer against all demands, claims, threats, lawsuits or other proceedings, including attorneys fees therefor (“Claims”) arising out of, resulting from or related to any allegation that the Equipmentinfringes or misappro

35、priates any patent, copyright, trademark, trade secret, trade name, trade dress, mask work or other intellectual property or proprietary right (collectively “IP Rights”) of a third party. 賣方有義務使得買方免于因該設備違反或者盜用任何第三方的專利，版權，商標，商業(yè)秘密，商號，商業(yè)外觀，屏蔽作品權或其他的知識產權（以下統稱知識產權）而產生的任何要求，權利請求，威脅，訴訟或其他程序（以下統稱為訴訟），并應賠償買方

36、因以上程序 產生的一切損失，包括律師費用。 5.3.2 If Buyer is prevented or is likely to be prevented from using the Equipment by reason of any such Claim, then Seller will, at its sole expense, use its best efforts to: (i) obtain all rights required to permit the use of such Equipment by Buyer; or (ii) modify or replace

37、the Equipment to make it non-infringing. If Seller is unable to achieve either option above within 15 days after issuance of an injunction, then Buyer may immediately terminate this Contract and Seller will refund to Buyer all monies paid under this Contract. 如果買方因為此類權利主張而被阻止或可能被阻止使用該設備，那么賣方應該自負費用，盡

38、其最大的努力去做到：（1）獲取買方使用該設備所必須的所有權利；或（2）修改或更換該設備使之不侵權。如果賣方在禁止發(fā)布后15天內無法完成上述要求之一，那么買方可立刻終止本合同，賣方將賠償買方因該合同而產生的一切金錢支出。 Indemnification Notification and Procedure Buyer will promptly notify Seller of any Claims for which Buyer may seek indemnity under the terms of this Contract, and Seller will immediately as

39、sume control, in a manner not adverse to the interests of Buyer, of the Claim.Buyer may employ counsel at their own expense with respect to any such Claim, provided that if counsel is employed due to a conflict of interest or because Seller does not adequately or competently assume control of the de

40、fense, Seller will bear such expense. Buyer will give Seller reasonable assistance and cooperation in the defense of the Claim. Seller will neither admit liability nor enter into any settlement that adversely affects Buyer Parties rights or interests without Buyers prior written consent. 賠償通知及程序 買方應

41、將其依據本合同條款可能提出的賠償請求迅速通知賣方,賣方應立刻以一種不違背買方利益的方式對該類權利主張采取控制措施。對于該類權利主張，買方可用自費聘請律師，如果聘請律師的事由是利益沖突或者賣方對于防衛(wèi)并未采取足夠的完全的措施去控制，賣方將承擔該費用。對于此類權利主張的防衛(wèi)，買方應給與賣方合理的協助和合作。未取得買方事先的書面同意，賣方無權承諾承擔任何責任，也無權簽訂任何對買方權利造成損害的協議。 Article 6 INSURANCE 第六條-保險 6.1Within 30days after the signature of this Contract, Seller shall furnis

42、h to Buyer a certificate of insurance showing minimum coverage of general and product liability insurance with combined single limits of two million dollars (US$2,000,000) per occurrence, which may include a combination of primary and excess liability insurance. The certificate of insurance shall li

43、st the insurance company, amount of coverage, policy numbers, expiration date, and include a 30-day-notice-of-cancellation-to-Buyer clause. Buyer shall be named as one of the beneficiaries under Seller's liability policies such that Buyer and Seller are both covered for any alleged negligence, a

44、nd the Buyer shall be shown as one of the beneficiaries on the certificate of insurance. Seller shall maintain such insurance during the term of the Agreement. This Clause 9 does not affect Seller's indemnification or other liabilities hereunder. 在本合同簽訂后30天內賣方應向需方提供一份保險憑證，表明最低總投保額和單次單項限額為二百萬美元（2
