第1頁第一節翻譯例析Sample1

譯文第8頁（二）詞句分析1．以上篇章來自《國際貿易術語解釋通則》，有著顯著法律、法規英語特征。如:must,may,theagreed,unless,otherwise,agreed,referredto等都是帶有法規英語格調特性標識。譯者必須把這一格調信息傳遞到漢語譯文中去。2.TheSellermustathisownexpenseprovidethebuyerwithoutdelaywiththeusualtransportdocumentfortheagreedportofdestination.

賣方應自付費用，毫不延遲地向買方提供表白載往商定目標港一般運輸單據。（1）此句是明確要求了賣方在出口貨物時需遵守義務與要求語句?！癟heSellermustathisownexpense……”意思為“賣方應自付費用……”，先前界定了買方需遵守要求。其中“atone’sownexpense”意為“由某人自付費用”，為常見法律英語。（2）“agreedportofdestination”譯為“商定目標港”，其中“agreed”為“agree”分詞形式形容詞使用方法。意思為“商定好……”。例一第9頁（二）詞句分析3.Thisdocument(forexampleanegotiablebilloflading,anon-negotiableseawaybilloraninlandwaterwaydocument)mustcoverthecontractedgoods,bedatedwithintheperiodagreedforshipment……此單據（如可轉讓提單，不可轉讓海運單或內河運輸單據）必須載明協議貨物，其日期應在商定裝運期內…….。（1）“negotiable”與“non-negotiable”意思分別為“可轉讓”與“不可轉讓”。（2）“cover”在本句中需譯成“載明”，是一般商務法律英語譯法，而不能譯成“包括”之類詞匯。4.…enablethebuyertoclaimthegoodsfromthecarrierattheportofdestination.使買方得以在目標港向承運人提取貨物。（1）“enable……to…….”意思為“使……能夠……”。（2）“claimthegoods”中“claim”原意為“要求或索要（某事物）（因是應得權利或財物），但在本句中如按此翻譯，顯著不合適，因此需譯為“提取貨物”。e.g.Sheclaimsownership(i.e.sayssheistherightfulowner)oftheland.她對這塊土地所有權提出要求（稱她是合法所有人）第10頁（二）詞句分析5．Whensuchatransportdocumentisissuedinseveraloriginals,afullsetoforiginalsmustbepresentedtothebuyer.如此運輸單據有數份正本，則應向買方提供全套正本。（1）此句中“when”在商務法律中為常見詞匯，在翻譯中需注意，不能想當然翻譯為“當……時候”，而需譯成“如此…….”或“假如……”，這一點尤為需要注意。（2）“……bepresentedtothebuyer”意思為“……應向買方提供”,句子中“present”譯為“提供”。e.g.ThecommercialinvoiceshouldbepresentedtotheABCCompanyinthreecopies.應向ABC公司提供三份商業發票。第11頁（二）詞句分析

1.ThegovernmentofthePeople’sRepublicofChina(hereinafterreferredtoasChina)andthegovernmentoftheRepublicof…….(Hereinafterreferredtoas………),inpursuanceofthetradeandpaymentsagreementssignedbetweenthetwogovernmentson14thSeptember,1999.中華人民共和國政府（下文簡稱中國）和××共和國政府（下文簡稱××國），根據1999年9月14日簽定兩國政府貿易和支付協定……（1）根據協議規范及要求，協議序言必須首先寫明協議簽訂者，故本段將主語放在句首，而將某些狀語構造置于主語之后。漢譯時采取原句句型和語序。（2）“…referredtoas…”中“refer”原意是“參閱，參照,說道”，在本句中譯為“下列……簡稱為……”。（3）“inpursuanceof”中“pursuance”原意是“carryingoutorobservance(ofplan,rules)”，漢語意思是“實行計劃，遵守規章等”，在本句中需譯為“根據……要求而實行”。例二第12頁（二）詞句分析2．……have,throughfriendlynegotiationsonthetradeforthefirstagreementyear(2000)betweenChinaand……,enteredintothefollowingstatement:就第一種協定年度（2023年）貿易進行了友好商談，達成協議如下：（1）原句中“throughfriendlynegotiation”為插入語，可翻譯為“經友好協商，就……達成如下協議”。（2）“enterinto”原意是“進入，加入，受……約束”，在本句中譯為“達成”。e.gWewouldliketoenterintobusinessrelationswithyouonthebasisofequalityandmutualbenefit.我方樂意在平等互利基礎上與你方達成貿易關系。3．TheRepublicof……shall,accordingtoitsrequirements,importfromChinacommoditiesenumeratedinlist“B”foratotalamountof$…(U.S.dollars)××共和國根據需要從中國進口附表“B”所列商品，總值為××美元。（1）原句中“shall”為協議用語，不是一般助動詞，翻譯時要根據上下文內容而定。（2）“accordingto”意思為“根據……”。e.g.Accordingtotherule,youshouldusethepaymentofL/C.根據要求，你需要以信用證形式進行付款。（3）“enumerate”在本句中需翻譯為“……附表上所列出……”。第13頁（二）詞句分析4．List“A”andList“B”asmentionedabovearepartsofthiscontract,whichhavenorestrictiononexchangesofcommoditiesthatarenotinthelists.附表“A”和附表“B”為本協議組成部分。對未列入上述附表內商品交換，并無限制之意。漢譯時將原句中非限定性定語從句翻譯成了獨立句，并且沒有反復英語先行詞內容。5．DoneinduplicateinBeijingonthe14thdayofSeptember1999intheEnglishandChineselanguages,bothtextsbeingequallyauthentic.本協議于1999年9月14日在北京簽定，一式兩份，用漢字和英文寫成，兩種文本具有同等效力。（1）注意英語原句事實上是由過去分詞“done”短語和獨立主格構造組成一個不完全句，而漢譯時將其譯成了一種并列句。（2）“induplicate”在本句中意思是“一式雙份”，英語中有很多類似詞語，如“intriplicate,inquadruplicate……”。意思分別是“一式三份，一式四份……”。第14頁（二）詞句分析1．Forgoodconsideration,andinconsiderationofbeingemployedby____(company),theundersignedemployeeherebyagreesandacknowledges:

出于各方考慮，并鑒于被（公司）雇傭，我（簽訂本協議員工）同意并接收：（1）本句中有兩個“consideration”,前一種在“Forgoodconsideration”中,因為“consideration”前有形容詞“good”修飾,因此短語譯成“出于各方考慮比較通順,“inconsiderationof……”，意思為“考慮到……，鑒于……”。e.g.Inconsiderationofthegoodrelationshipbetweenus,weacceptthepaymentofD/P.考慮到我們之間良好合作關系，我方接收你方用D/P方式進行付款。（2）“hereby”是商務協議文體中正式使用方法，意思為“bythismeans(以此使用方法，由此)”。2．Thatduringthecourseofmyemploymenttheremaybedisclosedtomecertaintradesecretsofthecompany;thesaidtradesecretsconsistingbutnotnecessarilylimitedto：受雇期間也許被透露有關公司商業秘密；上述商業秘密包括但不限于：（1）本句由于是協議文體中一部分，因此用了多種跟“I”有關詞匯。反復強調簽訂者責任與義務。“duringthecourseofmyemployment……”意為“在本人被雇傭期間……”。（2）“thesaidtradesecrets”中“said”使用方法為典型公關文體語言，意思為“上述……”。e.g.Thesaidtradetermseemsacceptabletome.上述貿易條款在我看來是能夠接收。例三第15頁（二）詞句分析3．IagreethatIshallnotduring,oratanytimeaftertheterminationofmyemploymentwiththeCompany,useformyselforothers,ordiscloseordivulgetoothersincludingfutureemployees,anytradesecrets,confidentialinformationoranyotherproprietarydataoftheCompanyinviolationofthisagreement.我同意在受雇期間，或與公司終止關系后任何時間，遵守本協議要求，不為自己或其他人使用或向他人包括公司將來雇員透露任何商業秘密，保密信息或其他任何與公司有關資料?！皊hall”在本句中商定了當事人義務,翻譯時可按照漢字翻譯習慣省略。但在協議英語中絕對是不可缺乏詞匯。大多數情況下能夠譯成“將……”,“not……or……”是協議中常見一種體現方式，目標是使行文更為嚴謹，翻譯時需完整，不可省略。第16頁（二）詞句分析4.……andallothermaterialsandallcopiesthereofrelatinginanywaytotheCompany’sbusiness,orinanywayobtainedbymeduringthecourseofemployment.……和其他任何與公司業務有關，或在雇傭期間取得材料及復印件。（1）“inanywaytotheCompany’sbusiness”意思為“任何與公司業務有關”，其中，“inanyway……”意思為“任何……”。（2）“thereof”是正式協議公文使用方法，使用時能給人一種正式文書持重感。意思為“ofwhich(有關那個)”。5．TheCompanymaynotifyanyfurtherorprospectiveemployerorthirdpartyoftheexistenceofthisagreement,andshallbeentitledtofullinjunctivereliefforanybreach.

公司能夠通知任何將來或也許雇員或第三方本協議存在，并有權就任何違約行為采取禁令救濟措施。（1）“notify…….of……”意思為“通知……”。e.g.Havetheauthoritiesbeennotified(ofthis)?當局是否已得知（此事）？（2）“……beentitledto……”意思為“……被授權……”。e.g.Youarenotentitledtounemploymentbenefitifyouhaveneverwork.從未參與過工作，就沒有資格領取失業救濟金。第17頁

第二節翻譯技巧

長句譯法商務法律，協議及協議是具有法律效力正式文獻，用語必須精確、規范。法律文獻是要求締約各方應當做些什么，而不是提出問題和進行商榷。商務協議作用在于明確陳說和要求不一樣當事人在有關活動中權利和義務，因此從句式使用上來看，協議一般采取陳說句，而不使用疑問句、祈使句或者感慨句。其中，完整長句使用能夠精確界定這種權利和義務關系，排除被曲解或誤解也許性。英語長句就長在構造復雜上，或短語多，或分句多，或層次多。因此在翻譯長句時，首先要弄清楚原文構造，找出整個句子中心內容及其各層意思，然后分析幾層意思之間互相邏輯關系（因果，時間次序等），再按照漢語特點和體現方式，正確地翻譯出原文意思，不要局限于原文形式。

長句譯法主要有下列幾個：（一）順譯法，（二）逆譯法，（三）分譯法，（四）合譯法，（五）定語從句譯法，（六）狀語從句譯法。

一.順譯法所謂次序法是指按時間先后次序，邏輯先后安排來翻譯。由于這種譯法與漢語體現次序基本相同，差異不大，譯者完全能夠做到遞序而下，順譯而為，如：1.TheSellershallnotifytheBuyertwomonthspriortoeachshipmentwhetherhisinspectorswilljointheinspectionoftheshipment.TheBuyerafterreceivingthenoticeshallinformtheSellerofthedateofinspectionatleast20daysbeforethedateofopen-packageinspectionandshallalsorenderconveniencetotheSeller’sinspectorsintheirwork.賣方在每批貨發貨前兩個月通知買方是否參與該批貨檢查。買方收到通知后最少在開箱檢查日期前20天將檢查日期通知賣方，并為賣方檢查人員提供檢查工作便利條件。本句是復合句，包括一種主句和一種從句，有兩層含義，因而句子稍長些，但句子并不復雜，也較易理解。第19頁

2．Ifnecessary,theSellershallsendinthe18thmonthaftersigningtheContractathisownexpensetechnicalpersonneltoChinatodiscusstheBuyer’sfinalcivildesignandiftherearerevisionsregardingthefinalinformationofcivilengineering,bothpartiesshalldiscussandreachanagreementontheconsequencesthusincurredinaprotocol.ThedrawingsoftheBuyerwillbesealedandmarked“Approvedbybothparties”andstampedwilltheactualdate.若需要，在本協議簽字后第18個月，賣方將自行出資差遣技術人員到中國，就買方最后土木建筑設計進行討論，如需要對最后土木建筑設計條件作更改，雙方對其成果應在協議書中簽訂同意。買方圖紙須蓋章注明“雙方同意”，并簽訂實際日期。這一段由兩句組成。第一句是兩個復合句，中間由“and”連接，第二句是簡單句，共劃分為5個部分，也可看作是5個層次，依次而下，層次分明第20頁

二.逆譯法所謂逆序法是指由于英漢兩種語言在體現方面存在著差異，在翻譯時應按各自語言體現習慣重新組合。在組合過程中，原文某些語句次序將被打亂，或前置，或后置。也就是說，或順譯，或倒譯。這種倒譯，即從原文背面往前譯辦法，一般稱之為逆序譯法。1．InjuriesordamagestopersonsorpropertyresultingfromanyactorneglectoftheEmployer,hisagents,servantsorothercontractors,notbeingemployedbytheContractor,orfororinrespectofanyclaims,proceedings,damages,costs,chargesandexpensesinrespectthereoforinrelationtheretoorwheretheinjuryordamagewascontributedtobythecontractor,hisservantsoragentssuchpartofthecompensationasmaybejustandequitablehavingregardtotheextentoftheresponsibilityoftheEmployer,hisservantsoragentsorothercontractorsfordamageorinjury.承包人以為由業主及其代理人造成損失，且可公正地以為是業主及其代理人和其他分包人責任，由此引發索賠、訴訟損失、費用、開支等。本段后半句在翻譯成漢語時，最佳是提前譯出，即把“suchpartofthecompensation……orinjury”提到“inrespectofanyclaims,proceedings,damages,costs,chargesandexpensesinrespectthereof”之前。2.Theriskoflossorofdamagetothegoods,aswellastheobligationtobearthecostsrelatingtothegoods,passesfromthesellertothebuyerwhenthesellerhasfulfilledhisobligationtodeliverthegoods.當賣方完成了運輸貨物責任，貨物丟失或損壞，以及承受與貨物有關費用責任便從賣方轉移到買方。第21頁

三.分譯法國際商務英語協議中經常出現很長句子，甚至一句話就成一段也不奇怪。若按原文構造翻譯成有類似構造漢語幾乎不也許，雖然翻譯了也很難理解。因此必須打破常規，靈活轉換。1．WithrespecttothoseterritoriestowhichthisConventionisnotextendedatthetimeofsignature,ratificationoraccession,eachStateconcernedshallconsiderthepossibilityoftakingthenecessarystepsinordertoextendtheapplicationofthisConventiontosuchterritories,subject,wherenecessaryforconstitutionalreasons,totheconsentoftheGovernmentsofsuchterritories.有關在簽訂、同意或者參與本條約時候，本條約所沒有擴展到地域，各有關國家應當考慮采取步驟也許性，方便本條約使用范圍能夠擴展到這些地域。不過，假如由于憲法關系而有必要時，應當取得這些地域政府同意。主句與從句存在有轉折關系，能夠看出“wherenecessaryforconstitutionalreasons,totheconsentoftheGovernmentsofsuchterritories”是補充主句，前后意思聯系很弱，為避免句子過長，符合漢語句式較短特點，因此將之斷開。如此處理，使得譯文構造簡潔清楚、意思明確。第22頁

2．Shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequencesareunpreventableandunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.在合作期間，由于地震、臺風、水災、火災、戰爭或其他不可預見并且對其發生和后果不能避免和避免不可抗力事故，致使直接影響協議履行或者不能按約定條件履行時，遇有上述不可抗力一方，應立即將事故情況電報通知對方，并應在15天內提供事故詳細情況及協議不能履行，或者部分不能履行，或者需要延期履行理由有效證明文獻。此項證明文獻應由事故發生地域有權證明機構出具。“Bytherelevantpublicnotaryorganization”在協議中有十分主要意義，它強調了該機構主要性。若是無權機構或是非事故發生地域機構出具證明是無效，因此將其獨立成句，突出了其在協議中位置。譯者在翻譯時應充分考慮到協議特性并注意對句式進行合適調整。第23頁

五.定語從句譯法長句中定語從句在漢語譯文中一般都是放在被限定成份前面，由于漢語飾語位置習慣如此。漢語中前置定語常用“……”字構造。例如：1.ThebuyeragreestobuyfromtheSellerandtheselleragreestoselltothebuyerequipment,materialsdesignandtechnicaldocuments,licenseandknow-howandtechnicalservicesforaplantwitha54,000KWphosphoruselectricfurnacewhichhasaproductioncapabilityof30,000metrictonsofyellowphosphorusperyearand70,000metrictonsofsodiumtripolyphorusperyearwithphosphaterockasrawmaterialusingtheprocessstipulatedinarticle10.1tothecontract.買方同意向賣方購買，賣方同意向買方發售以磷酸巖為原料，采取本協議10.1款所要求之工藝，年生產能力為黃磷30000（三萬）公噸和三聚硫酸鈉70000（七萬）公噸，擁有54000千瓦黃磷電爐一座工廠所需要設備，材料設計,以及技術文獻，專利使用權，專利技術和技術服務。“Which….”是“aplant”定語,它和兩個“with”引導介詞詞組其實都是修飾“aplant”。因此譯文將所有修飾語都譯成“工廠”定語，用“以…為”“采取”“年生產能力為”“擁有”引導。這里,漢語定語盡管較長，仍可放在被修飾成份前面，而不影響對譯文理解。第25頁

本句中英語文本定語從句翻譯后，反而成為該句中條件狀語從句中主句。試想,假如“IfanyeventoftheForceMajeureoccurswhichcausesdamagetotheProjectortheinfrastructureproject”譯為：“若損壞工程或基礎設施不可抗力發生了”那背面“C或新公司沒有義務重新恢復之,或完成其修建”就不連貫了，由于主句用“之”和“其”強調了工程或基礎設施，原文條件狀語從句只有譯成如“不可抗力發生損壞了工程或基礎設施”與“之”和“其”對應。第26頁

六.狀語從句譯法國際商務英語協議狀語從句多為條件狀語從句、時間狀語從句等。翻譯過程中對這些狀語從句處理有兩種處理方式：一是將狀語置于漢語謂語動詞前充當漢語句子中狀語；二是將狀語置于漢語句子中主句前面充當狀語。英語中由介詞短語引導或是由狀語從句引導較長狀語幾乎歷來不直接置于限定謂語動詞前面，但能夠置于句首、句中、句末。例如：1．Unlessotherwisestipulatedinthecredit,theexpression“Shipment”usedinstipulatinganearliestand/oralatestshipmentdatewillbeunderstoodtoincludetheexpression“loadingonboard”,“dispatch”and“takingincharge”.除信用證另有要求外，用于要求最早及/或最遲裝運期“裝運”一詞應理解為包括“裝船”、“發運”和“接收監管”。漢語中條件，一般都放在句首，而英語卻句首、句中、句末都行。但是，目前漢語也有將其順譯，置于句末。這是由于大家見多了，逐漸接收了這種譯法。第28頁第二節翻譯技巧2．Within30daysafterthesigningandcomingintoeffectofthiscontract,theBuyershallproceedtopaythepriceforthegoodstothesellerbyopeninganirrevocableL/CforthefullamountofUSD30,000infavoroftheSellerthroughabankatimportport.買方須于本協議簽字并生效后三十天內通過進口地銀行開立以賣方為收益人不可撤消信用證支付所有貨款30000美元。（1）此句主干為“theBuyershallproceedtopaythepriceforthegoodstotheseller”，其中具有一種時間狀語“Within30daysafterthesigningandcomingintoeffectofthiscontract.”從語用角度來看，商務協議中許多表達時間狀語所示是某一締約方必須在何時何地承當某一義務和享有某一種權利，具有即時效性。因此時間狀語應盡可能接近表達義務責任關鍵詞“須”。（2）另外，此句中尚有一種較為復雜方式狀語“byopeninganirrevocableL/C”和三個介詞短語“forthefullamountofUSD30,000infavoroftheSellerthroughabankatimportport”做定語修飾“anirrevocableL/C.”按照漢語行文規范，方式狀語一般應位于動詞之前。若同步有時間狀語和方式狀語時英文一般次序是方式在前，時間在后，而漢語恰恰相反。第29頁第三節翻譯實踐1．Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed.（除非另有要求，仲裁不得影響協議雙方繼續履行協議所要求義務）2．TheSellershalldeliverthegoodsinthekindandquantityspecifiedhereinalongsidetheBuyer’svessel,withinthereachofitsloadingtackle,attheappointedportofshipment.（賣方應按本協議要求種類和數量在指定裝運港、買方船只、起重機釣鉤能達成地方交貨）3．OntheTransferDateNewCompanyshalltransfertoB,freefromanylienorencumbrancecreatedbyNewCompanyandwithoutthepaymentofanycompensation,allitsright,titleandinterestinandtotheinfrastructureproject,unlessotherwisespecifiedintheAgreementoranysupplementaryagreement.（在轉讓期，新公司應將對基礎設施權利轉讓給B，新公司不應滯留，也不能要求賠償，除非協議或補充協議中另有要求）
