ersyinfuture,SUPPLIERmustbearandreimburseallCHIcOnYPOWER'slosseswithoutobjection.)5.6乙方在委托第三方制造時，有義務告知甲方知悉。甲方將會安排SQE會同乙方進行評鑒/稽核，評鑒/稽核合格后始可交貨。如未收到甲方任何書面允諾，乙方不得委托第三方制造。(SUPPLIERisobligedtonotifyCHICONYPOWERontheissueofcommissioningitssub-contractortoassembly/manufacturing.CHICONYPOWERwillarrangetheaudittoSUPPLIER'ssub-contractorwithSUPPLIER.SUPPLIERisNOTallowedtodeliveritssub-contractor'sproductstoCHICONYPOWERwithoutCHICONYPOWER'sauditapproval.)5.7乙方如因質量或RoHS問題遭受甲方或甲方客戶投訴，須經第三方檢測單位驗證者，甲方有義務事前告知乙方知悉，乙方無異議支付此檢測費用。(AnySUPPLIER'squalityorRoHSissuefeedbackfromCHICONYPOWERorCHICONYPOWER'sclients,whichneedsthirdpartytolaunchtheverificationtest,CHICONYPOWERisobligedtonotifySUPPLIERbeforehand,andSUPPLIERmustpaythetestfeeswithoutobjection.)5.8乙方因甲方相關部門私下索取材料，而未經甲方SQM或采購同意以及未經IQC檢驗合格者，如因此產生之任何損失，乙方自負其責；致使甲方損失者，乙方無異議賠償。(SUPPLIERmustbearandindemnifyallCHICONYPOWER'slosseswithoutobjectionifSUPPLIERprivatelyprovidesproductorsupplementproductswhicharenotapprovedbyCHICONYPOWERSQMorPurchasingandalsohasnotbeeninspectedbyICHICONYPOWE'QCtoCHICONYPOWERbasedontherequestfromsomeunitsorstaffs.)質量目標(QualityGoals)6.1乙方應保證同型號零組件之每月在線淘汰率(VLRR)須符合甲方VLRR之目標(參見附文件一)。如每月零組件之在線淘汰率超標，乙方每月10日前需提供持續改善方案予甲方SQM備查。(SUPPLIERshallguaranteemonthlyVLRRofsamemodelwhichmatchesCHICONYPOWER'sVLRRtarget(refertoattachment1).IfexceedingCHICONYPOWER'sVLRRtargeteverymonth,SUPPLIERmustsubmitCIPbytenth(10th)dayofeverymonthtoCHICONYPOWERSQMforreview.)6.2乙方必須遵守甲方之RoHS規范(HPT-01-043,及其相應的供料商宣告表SDOC-Form.033),如因甲方或甲方客戶反應之任何違反此規范而致使甲方產生之損失，包括但不限第三方檢測費用、工時和交貨延誤、懲罰性罰款等，乙方不得規避責任且無異議賠償。(SUPPLIERshallcomplywithCHICONYPOWERRoHSstandard(HPT-01-043,anditscorrespondingSDoC-Form.033).SUPPLIERmustreimburseallCHICONYPOWER’Slosseswhichresultedfromsuchbreach,includedbutnotlimitedtothirdparty'sinspectionfees,laborhoursanddeliverydelay,punitivepenalty)檢驗標準(InspectionCriteria)7.1進料檢驗規范(IncomingInspectionCriteria)甲乙雙方共同協商確定進料檢驗規范和驗收標準，在雙方未簽署確認前，以甲方的IQC檢驗規范和驗收標準為準。此檢驗規范原則一年更新和簽訂一次，到期后雙方無異議者，自動延長之。(CHICONYPOWERandSUPPLIERshallconfirminspectioncriteriaandacceptancestandard.CHICONYpower'sIQCinspectioncriteriaandacceptancestandardwillbeuniquejudgmentstandardpriortoconfirmingbybothparties.Theinspectioncriteriawillbesignedandapprovedbybothpartiesonceayear,andautomaticallyextendtoonemoreyearwhenthevalidityisexpiredwithoutobjection.)7.2未指定抽樣計劃時，甲方檢驗數量皆依ANSI/ASQZ1.4-2008二級單次抽樣計劃實施正常檢驗。(CHICONYPOWER'sinspectionquantitywillbeexecutedaccordingtoLevelIIsinglesamplingplaninANSI/ASQZ1.4-2008,ifthesamplingplanisnotspecifiedbyCHICONYPOWER.)7.3乙方所依據之標準，首為規格書(有甲方工程字樣及簽字核準)，次為承認書，最后為簽樣。若因交貨緊急而無正式規格書者，至少須有甲方簽字認可之暫時規格，但須先行知會甲方采購取得同意。(TheorderofCHICONYPOWER'sstandardthatSUPPLIERshallcomplywithis:1.CHICONYPOWER'sspecificationwithCHICONYPOWER'sengineeringprintedwordandsignature叩proval,2approvalsheetand3.goldensample.Ifthereisnoofficialspecificationresultedfromurgentdeliveryrequest,SUPPLIERshallatleastcomplywiththetemporaryspecificationwithCHICONYPOWER'ssigned叩provalandnotifyCHICONYPOWERPurchasingdepartmentforapproval.)7.4在第一批新料交貨前，乙方須先送樣經甲方承認合格后，始可交料。如因未先送樣承認而交貨被判退者，乙方無異議自行吸收損失并賠償致使甲方之損失。(SUPPLIERmustprovidesamplestoCHICONYPOWERandbequalifiedas“Approved”byCHICONYPOWERpriortofirstlotofnewproductsshippingtoCHICONYPOWER.SUPPLIERmustbearandindemnifyallCHICONYPOWER'slosseswithoutobjectionifSUPPLIERdelivertheproductstoCHIcOnYPOWERwithoutobtainingpriorsampleapprovalbyCHICONYPOWER.)7.5乙方應于每批交貨時，隨貨附上該批產品之出貨檢驗報告與材質證明。檢驗報告必須依照甲方規定項目或由甲方同意之檢查項目進行。(SUPPLIERmustencloseoutgoinginspectionreportandmaterialcertificationforeverylotdelivered.TheinspectionreportshallfollowCHICONYPOWER'sinspectionitemsappointedoragreedbyCHICONYPOWER.)7.6乙方有義務提供所使用物料清單(BOM)和重要材料之供貨商源數據予甲方知悉。(SUPPLIERisobligedtoprovideBOMandsuppliersofcriticalpartstoCHICONYPOWERforreference.)技術支持(TechnicalSupport)8.1乙方應該向甲方提供本型號產品的技術數據/測試報告/企業標準/國內(國際)通過的安全認證證書復印件，且乙方有義務提供生產/質量工程圖(PMP)、制程重要參數、可靠性測試計劃如ORT和MTBF、RoHS檢測報告等資料給甲方知悉。(SUPPLIERisobligedtosubmit,includedbutnotlimitedtotechnicaldata、testreport、industrialstandard、domestic/internationalsafetyaccreditationcertificateoftheproductaswellasPMP.criticalprocessparameters、reliabilitytestplanninglikeORTandMTBF、RoHStestreportetc.,toCHICONYPOWERforreference.)8.2乙方有義務向甲方提供必要的測試工具以及出廠檢驗標準。(SUPPLIERisobligedtoprovidenecessarytesthardware/softwareandoutgoinginspectioncriteriatoCHICONYPOWERforreview.)8.3乙方有義務派遣工程技術人員至甲方進行現場技術支持，以便迅速解決任何技術和質量問題。(SUPPLIERisobligedtoassignengineeringstaffstoCHICONYPOWERforon-sitetechnicalsupportinordertoimmediatelysolveanyengineeringandqualityissues.)8.4乙方有義務對甲方的來料檢驗人員、生產技術人員、市場服務人員進行本產品的技術、檢驗、維護、服務等知識的培訓。(SUPPLIERisobligedtoarrangethetraining,includedbutnotlimitedtotechnology、inspection、repair/maintenance、serviceknowledgeetc.,forCHICONYPOWER’SIQC、Manufacturing、Marketing、Servicestaffsetc.)8.5乙方應定期到甲方(一般為一個月)進行溝通，雙方共同分析解決出現的質量問題并作技術交流。(SUPPLIERshallperiodically(normallyiseverymonth)visitCHICONYPOWERfortechnicalcommunicationinordertoanalyzethefailuremodesandtakecorrectiveactionsofanyqualityissues.)包裝方式(PackingMethods)9.1靜電敏感組件必須采用取防靜電包裝，如IC、Mosfet等；濕敏組件必須于內包裝/外箱上標示濕度等級；安規組件必須在產品內包裝/外箱上作安規標識與識別。對于外箱必須張貼 (chargesstandardaccordingeachplantdefinition)10.6乙方不得將甲方所退回之不良零組件未經選別或重工處理而重新送至甲方。若因此發生甲方生產或交貨延誤，乙方無異議賠償甲方損失。乙方在所有選別或重工處理后，必須在產品本體或包裝外箱上有明顯標識。(SUPPLIERshallbearandreimburseallCHICONYPOWER’SlossesofproductiondelayordeliverydelayduetoSUPPLIERre-deliversalldefectiveproductsbacktoCHICONYPOWERwithoutscreeningorrework.SUPPLIERmustindicatetheobviousmarksonproductitselforcartonafterscreeningorreworking.)10.7乙方產品發生質量問題，乙方除依第10.1條第二項應承擔所發生之責任外，如有下列情形發生，乙方并應依約定內容給付甲方懲罰性違約金：乙方產品之質量問題，系由于乙方采用質量較劣等的原料來生產乙方產品所致者，乙方應給付甲方該批產品貨款100倍的懲罰性違約金。乙方產品之質量問題發生，導致甲方產品發生媒體曝光或遭他人起訴請求賠償者，乙方應給付甲方懲罰性違約金大于人民幣100萬元。3.乙方產品若發生RoHS違反情形，將另依下述原則支付甲方懲罰性違約金:環保異常分級Levels不合規事故描述Non-compliantstatus供貨商應支付CPT賠償金額SUPPLIERpaystoCHICONYPOWER一級Level1當批物合規，違反法，致CPT或CPT客戶受政府處罰的；或第三次發現物合規的；Whensuppliedpartswasnon-compliantfromlegislationsorsomewheregovernmentschargeduponcustomers,orfailedupto3times政府罰；Penaltiesofgovernment懲罰性違約：按當批CPT銷售價格的100倍計算，且低于人民幣100萬元。Liquidateddamage:AhundredfoldwillbechargedasCPTsoldpriceornolessthanRMB1000,000.二級Level2當批物合規，致CPT客戶退換貨或CPT自召回的；或第二次發現物 合規的AsfailedinonelotduetoCPTmustbeexchangedfornewproductsorcallbackfromcustomer,orfailedupto2times懲罰性違約：按當批物供貨商銷售價格的50倍計算，且低于人民幣50萬元。Liquidateddamage:AfiftyfoldwillbechargedasSUPPLIERsoldpriceornolessthanRMB500,000.三級Level3當批物 合規，在CPT進檢驗或制造環節中發現，導致CPT遲延發貨或成本增加的；AsfailedinonelotduetoCPT’sincomingtest懲罰性違約：按當批物供貨商銷售價格的10倍計算且低于人民幣10萬元。Liquidateddamage:AtenfoldwillbechargedasSUPPLIERsoldpriceornolessthanorfindinanyprocessthatmayresultinanydelayingorcostraisingRMB100,000.(Notwithstandingtheparagraph2ofArticle10.1,SUPPLIERshallfurtherpayCHICONYPOWERtheliquidateddamageforthefollowingspecialsituations:IfthequalityissueisresultfromSUPPLIERusingmaterialsoflowqualitytomanufactureproduct,SUPPLIERshallpayCHICONYPOWERwithonehundredtimesofthepaymentofthelotasliquidateddamage.Ifthequalityissueleadtopublicreleaseoranylitigation,SUPPLIERshallpayCHICONYPOWERatleastonemillionRMBasliquidateddamage.)IftheRoHSfailureismadebySUPPLIER,thenSUPPLIERshallpayCHICONYPOWERwithliquidateddamageseeabovelistedlevels.10.8若乙方連續兩批進料質量不合格或連續兩個月在線淘汰率超標（參見附檔），則甲方將要求乙方進行質量失效分析并提出矯正預防措施。如改進不力，甲方有權停止對乙方的采購。因此而致使甲方損失者，乙方無異議賠償。若乙方產品發生質量問題，而符合下列情形者，除依本協議其他條款應負之責任外，乙方尚應依下列約定內容負責：連續三個月內，相同或不同料號累積重復發生三次相同質量問題時；相同或不同料號累積重復發生五次不同質量問題，經甲方判定為乙方責任者，甲方將處罰乙方人民幣10,000圓的懲罰性違約金。連續三個月內，乙方每月進料不良率超出標準（機構零組件不良率三1000dppm；電子零組件三300dppm）者，經甲方判定為乙方責任者，甲方將處罰乙方人民幣10,000圓的懲罰性違約金。每月相同料號重復發生二次相同進料質量異常時，經甲方判定為乙方責任者，甲方將處罰乙方人民幣3,000圓的懲罰性違約金。連續三個月內，乙方每月在線淘汰率（VLRR）超出標準（參看附檔）者，經甲方判定為乙方責任者，甲方將處罰乙方人民幣10,000圓的懲罰性違約金。連續三個月內，相同或不同料號累積重復發生三次相同制程異常時，或相同或不同料號累積重復發生五次不同制程異常時，經甲方判定為乙方責任者，甲方將處罰乙方人民幣10,000圓的懲罰性違約金。因材料質量問題在群電被禁用或者通知停止交貨（群光電能通過郵件或文件等書面方式已通知廠商），在未被群電允許時再出貨時將禁用品或改善前產品出貨群電，乙方應給付甲方該批不良產品貨款10倍的懲罰性違約金。因材料質量問題在群電被禁用或通知暫停止交貨（群光電能通過郵件或文件等書面方式已通知廠商），廠商的改善品須交貨群電進行驗證試投，以驗證產品改善效果時，廠商須支付群電人民幣1000圓驗證管理費用。（IfSUPPLIERfailedinincominginspectioninsuccessivetwotimesorexceedVLRRTargetinsuccessivetwomonths（refertoattachment2）,CHICONYPOWERwillrequestSUPPLIERtoproceedwithqualityfailureanalysisandprovidecorrective&preventivemeasureplan.IfSUPPLIERfailstocorrectthefailure,CHICONYPOWERshallbeentitledtocancelanypurchaseorderwithoutanyliability.SUPPLIERshallbearandindemnifyCHICONYPOWER’Sdamageorlosswithoutobjection.IftheProductprovidedbySUPPLIERhasqualityissueandanyofthefollowingsituations,inadditiontoanyotherresponsibilityinthisAGREEMENT,SUPPLIERshallberesponsibleforthefollowing:Sameordifferentmodelshasthreetimesofthesamequalityissuesornameordifferentmodelshasfivetimesofdifferentqualityissueswithinsuccessive3months,afterverifiedbyCHICONYPOWERthatthequalityissueattributetoSUPPLIER,SUPPLIERshallpayCHICONYPOWERRMB10,000asliquidateddamage.SUPPLIERexceedsmonthlyincominginspectionfailurerate(mechanicalcomponentVLRRm1000DPPM;electroniccomponentVLRR<300DPpM)insuccessivethreemonths,afterverifiedbyCHICONYPOWERthatthequalityissueattributetoSUPPLIER,SUPPLIERshallpayCHICONYPOWERRMB10,000asliquidateddamage.Thesamemodelhasthesamequalityfailuretwotimeswithin30days,afterverifiedbyCHICONYPOWERthatthequalityissueattributetoSUPPLIER,SUPPLIERshallpayCHICONYPOWERRMB3,000asliquidateddamage.SUPPLIERexceedsmonthlyVLRRTargetinsuccessivethreemonths(refertoattachment2),afterverifiedbyCHICONYPOWERthatthequality
