25、是國際資本跨國流動的基礎，標志著東道國資本市場的對外開放程度。外資的待遇標準問題實質就是外資的法律地位問題，它構成了國際投資法律環境的基礎和核心。無論是市場準入領域、審批程序、還是履行要求、外資比例等問題都與之相關聯。作為國際投資立法的重點,該問題受到各國投資者的普遍關注。在雙邊和多邊投資框架中規制外資市場準入階段的國民待遇問題,更體現出締約國在平衡本國經濟主權與吸收國際投資方面的態度，因此外資市場準入階段的國民待遇問題當然成為雙邊和多邊投資框架的核心議題,具有極其重要的理論價值。對于國際直接投資的重要東道國和未來的重要資本輸出國-我國而言，研究外資市場準入階段的國民待遇問題，對我國有重要的實

26、踐價值。一方面WTO中美出版物案對我國采取“正面清單”的入世承諾的解釋和適用提出了新的問題；另一方面，中美雙邊投資協定談判，“負面清單”的做法又使我國面臨新的挑戰。市場準入階段的國民待遇問題的研究不但對于我國主動參與國際投資的雙邊和多邊談判維護發展中國家的經濟主權有益,更對我國外資市場準入的政策選擇具有重要的指導意義。第1章 外資準入階段國民待遇的基本理論1.1 外資準入階段國民待遇的概念1.1.1 國民待遇的概念國民待遇是國際上關于外國人待遇的最重要的制度之一，它萌芽于中世紀后期。在國際投資領域，對國民待遇最早的界定應追溯到1946年的國際貿易組織憲章（簡稱哈瓦那憲章），它以整章的篇幅對外資

27、待遇作了規定，即各國有權在合理條件下對本國境內外國投資的所有權提出要求，并有權決定接納外國國民新投資的條件，但應避免采取損害外國投資者各種權利或利益的不合理或不公正的行動；應當注意避免對境內外資采取歧視性待遇等。 參見李萬強：外國直接投資的法律待遇與我國外資法的轉型，國際經濟法論叢（第一卷），北京，法律出版社1998年5月第1版，第206頁。雖然這些規定因為國際貿易組織的流產而成了一紙空文，但它對國民待遇概念的形成有著重要意義。1976年經濟合作與發展組織（Organization for Economic（Declaration on International Investment and

29、形成起了決定性作用 參見李萬強：外國直接投資的法律待遇與我國外資法的轉型，載于陳安主編，國際經濟法論叢（第一卷），法律出版社，1998年5月第1版，第206-211頁。此后，1992年9月25日，世界銀行又在其通過的非約束性的外國直接投資待遇指南中對國民待遇的概念作了更為內外國國民在各種經濟貿易活動中的待遇，應與本國國民在相同情勢下的待遇人提供了這項待遇，也不產生A國政府向B國提供該項待遇的義務。因此，國民待遇提倡的是“機會的平等”，而不是“結果的平等”。相互主義則要求“結果的平等”。以仍舊以關貿總協定為例，關貿總協定的宗旨是促進貿易自由化,但在原來的關貿總協定中，并未出現過“自由化"

30、;一詞，理由很簡單。因為在關貿總協定的框架下，一國是否推行貿易自由化，衡量的標準即是國民待遇原則。就是說，只要一國將賦予本國的企業、產品、人的待遇非歧視性地賦予外國的企業、產品、人，即被認為遵守了自由貿易原則、實施了“自由化”政策。 1.1.2 外資準入階段國民待遇的概念外資的市場準入問題是國際直接投資的根本問題，其意義在于厘清東道國政府部門作為經濟運行的管理者與外國投資者從事自由市場活動的界限，從而真正發揮市場配置資源基礎性作用,實現投資的自由化、全球經濟的共同發展。同時由于各國經濟的相互依賴日益加深，任何國家又都不能完全拒絕外國資本，場經濟規律來管理外資企業的活動。這主要因為資本進入東道國

31、之后，成立的實體已成為了東道國的法人或者其他組織，因此外資實體與國內實體的差別減小，這也是國際社會對于市場準入階段與運營階段投資采取不同態度的根本原因。綜上，給予外資運營階段國民待遇已基本達成共識，爭議不大，不是本文論述的重點。1.2 外資準入階段國民待遇的構成要素1.2.1 外資準入階段國民待遇的適用標準國民待遇標準是指外國人在享受權利和承擔義務方面，與本國國民同等對待，她區別于西方國家所謂的“國際標準”。根據西方某些學者的解釋，“國際標準”是為所有文明國家所普遍接受、構成世界國際法一部分的公正標準或國際最低標準。本文認為，西方發達國家的這一主張，并非真正意義上的“國民待遇標準”。原因在于：根據國際法的原理，一國給予外國投資者以何種待遇標準乃一國主權內的事情，只要不存在不合理的歧視，別國就無權干涉。國民待遇標準實質上是一種平等的待遇標準，它從根本上反對對外國人的歧視，也反對對外國人的東道國享有的特權地位，完全符合國際法原則，其效力當然不容發展，國民待遇的適用范圍也從經營階段擴大到外資準入階段，由此，國民待遇標準也自然適用于外資準入階段。1.2.2 外資準入階段國民待遇的適用對象從外資準入階段國民待遇的概念，可以看出，其適用對象為投資者及其投資。外國投資者
