2025涉外租賃合同格式(英文版)LEASEAGREEMENTThisLeaseAgreement("Agreement")isenteredintoonthisdayof,2025,byandbetween("Landlord")and("Tenant"),collectivelyreferredtoasthe"Parties.")Recitals:Landlordownsandmanagesthepropertylocatedat(the"Premises"),anddesirestoleasethePremisestoTenantforthepurposesof(the"PermittedUse").TenantwishestoleasethePremisesfromLandlordforthePermittedUseonthetermsandconditionshereinsetforth.1.PremisesThePremisesconsistof(descriptionoftheproperty,includingbutnotlimitedto,thenumberofrooms,facilities,andanyotherrelevantdetails).ThePremisesaresituatedin(city,state,country)andarelegallydescribedas(legaldescription).ThePremisesshallbeusedsolelyforthePermittedUseandincompliancewithallapplicablelaws,regulations,andzoningrequirements.2.TermofLeaseThetermofthisLease("Term")shallcommenceon(startdate)andendon(enddate),unlessterminatedearlierinaccordancewiththetermshereof.Thereafter,theTermmayberenewedundermutuallyagreedupontermsandconditions,providedthateitherPartygiveswrittennoticeoftheirintenttorenewatleast(number)dayspriortotheexpirationofthecurrentTerm.3.RentDuringtheTerm,TenantshallpayLandlordamonthlyrentof(amount)(the"Rent"),payableinadvanceonthefirstdayofeachmonth.Rentshallbepaidin(currency)andmadeby(methodofpayment,e.g.,banktransfer,check).Allpaymentsshallbemadefreeandclearofanydeductionsoroffsets,exceptasotherwiseprovidedherein.Landlordshallprovideaninvoiceorreceiptforeachpayment.Rentshallbesubjecttoadjustmenton(dateorevent),inaccordancewiththeapplicable(indexormethodofadjustment).AnyadjustmenttotheRentshallbeagreeduponinwritingbybothParties.4.SecurityDepositTenantshallpayasecuritydepositintheamountof(amount)(the"SecurityDeposit")priortothecommencementoftheTerm.TheSecurityDepositshallbeheldbyLandlordassecurityfortheperformanceofTenant'sobligationsunderthisAgreement.TheSecurityDepositshallbereturnedtoTenant,lessanydeductionsfordamages,repairs,ordefaultsunderthisAgreement,within(timeframe)aftertheexpirationorterminationoftheTerm,providedthatTenanthasfullyperformedallofitsobligationsunderthisAgreement.5.UseofPremisesTenantshallusethePremisesstrictlyforthePermittedUseandshallnotusethePremisesforanyotherpurposewithoutthepriorwrittenconsentofLandlord.Tenantshallcomplywithallapplicablelaws,regulations,andzoningrequirements,includingbutnotlimitedto,fire,health,safety,andbuildingcodes.TenantshallnotengageinanyactivitythatwouldconstituteanuisanceorhazardtothePremisesortoneighboringproperties.6.Maintenanceandrepairs6.1.LandlordshallberesponsibleforthestructuralintegrityofthePremises,includingtheroof,walls,andfoundation.6.2.TenantshallberesponsibleforallrepairsandmaintenancetotheinteriorofthePremises,includingbutnotlimitedto,plumbing,electricalsystems,heating,ventilation,andairconditioningsystems,aswellasanyfixtures,appliances,orequipmentprovidedbyLandlordorinstalledbyTenant.6.3.Intheeventofanemergencyrequiringimmediaterepair,TenantshallnotifyLandlordassoonasreasonablypossibleandLandlordshallmakeallnecessaryrepairsassoonasreasonablypossible.7.Insurance7.1.TenantshallobtainandmaintainatitsownexpensecomprehensivegeneralliabilityinsuranceandpropertydamageinsurancecoveringthePremises,includingbutnotlimitedto,coverageforlossofordamagetoTenant'spropertyandliabilityforinjuriestopersonsonthePremises.SuchinsuranceshallbeinamountsandwithcoveragethatisstandardforthetypeofbusinessoruseconductedbyTenant.7.2.LandlordshallobtainandmaintainpropertydamageinsuranceonthePremisesinanamountdeterminedbyLandlordtobesufficienttocoverthereplacementcostofthePremises.LandlordshallnameTenantasanadditionalinsuredundersuchinsurancepolicytotheextentrequiredbylaw.7.3.EachPartyshallprovidetheotherPartywithacopyoftheirinsurancepoliciesuponrequest.8.TaxesandAssessments8.1.Tenantshallpayalltaxes,assessments,andfeesassessedagainstthePremisesortheusethereof,includingbutnotlimitedto,realestatetaxes,personalpropertytaxes,andbusinesslicensefees.8.2.LandlordshallpayalltaxesassessedagainstthePremisesthatarenotspecificallypayablebyTenantunderthisAgreement.9.IndemnificationTenantshallindemnify,defend,andholdharmlessLandlord,itsagents,employees,andaffiliates,fromandagainstanyandallclaims,demands,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforrelatedtoTenant'suseofthePremisesorbreachofthisAgreement.ThisindemnificationshallsurvivetheexpirationorterminationofthisAgreement.10.DefaultandRemedies10.1.ThefollowingshallconstituteaneventofdefaultunderthisAgreement:a)TenantfailstopayanyRentorothersumsrequiredtobepaidunderthisAgreementwithin(number)daysafterwrittennoticefromLandlord.b)TenantbreachesanyothertermorconditionofthisAgreementandfailstocuresuchbreachwithin(number)daysafterwrittennoticefromLandlord,exceptforbreachesthatrequiremoretimeforcure,inwhichcaseTenantshallhave(number)additionaldays,unlessLandlorddeterminesthatsuchbreachcannotbereasonablycuredwithinsuchextendedperiod.10.2.Uponaneventofdefault,Landlordmay,atitssolediscretion,takeanyofthefollowingactions:a)TerminatethisAgreementimmediatelyandre-enterthePremisestorecoverpossession.b)PursuealllegalremediesavailabletoLandlord,includingbutnotlimitedto,evictionproceedingsandrecoveryofdamages.c)Pursueanyotherrightsandremediesprovidedbylaw.11.NoticeAllnotices,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritinganddeliveredtothePartiesattheaddressessetforthabove.Noticesshallbedeemedtohavebeengivenwhendeliveredpersonally,orwhendepositedwithareputableovernightcourierservice,orwhenmailedbyfirst-classmail,returnreceiptrequested.12.GoverningLawandDisputeResolution12.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof(stateorcountry).12.2.AnydisputesarisingoutoforrelatedtothisAgreementshallfirstberesolvedthroughfriendly協商(conciliation).Ifthedisputecannotberesolvedthrough協商within(number)daysaftertheinitialwrittendemand,eitherPartymayinitiatearbitrationproceedingsinaccordancewiththerulesof(arbitrationorganization).12.3.IfthedisputecannotberesolvedthrougharbitrationorifeitherPartyseeksinjunctiverelieforotherequitableremedies,eitherPartymayfilealawsuitinacourtofcompetentjurisdictionlocatedin(city,stateorcountry).13.Miscellaneous13.1.ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothemattersherein,andsupersedesallprioragreements,understandings,representations,orwarranties,whetheroralorwritten,betweentheParties.13.2.AnyamendmentsormodificationstothisAgreementshallbeinwritingandsignedbybothParties.13.3.ThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovis
