2025工程承包合同中英文對照2025EngineeringandConstructionContractAgreementContractor:Client:ProjectName:ProjectLocation:CommencementDate:CompletionDate:Article1:ScopeofWorkTheContractorshallperformallengineeringandconstructionworksasoutlinedinthecontractdocumentsandspecificationsprovidedbytheClient.Thescopeofworkincludesbutisnotlimitedtothefollowing:1.1Design,planning,andimplementationoftheprojectaspertheagreedtechnicalspecifications.1.2Supplyofmaterials,equipment,andlaborrequiredforthesuccessfulexecutionoftheproject.1.3Compliancewithallapplicablelaws,regulations,andstandardsduringtheprojectexecution.Article2:ContractPriceandPaymentTerms2.1Thetotalcontractpriceis().2.2Paymentshallbemadeasfollows:a.%ofthetotalcontractpriceuponsigningofthecontract.b.%ofthetotalcontractpriceuponachievingkeymilestones.c.Theremaining%shallbepaiduponfinalacceptanceandcompletionoftheproject.2.3InvoicesshallbesubmittedtotheClientforpaymentwithindaysoftheinvoicedate.Article3:ProjectTimeline3.1TheContractorisrequiredtocompletetheprojectbythestipulatedcompletiondate.3.2AnydelayintheprojecttimelineduetounforeseencircumstancesorClient-providedmaterialsshallbecommunicatedtotheClientinwritingwithindaysofthedelay.Article4:QualityStandards4.1TheContractorshallensurethattheengineeringandconstructionworksmeetthehighestindustrystandardsandspecificationsasoutlinedinthecontractdocuments.4.2AllmaterialsandequipmentprovidedbytheContractorshallbeofsuperiorqualityandfreefromdefects.4.3TheClientreservestherighttoconductinspectionsatanystageoftheprojecttoensurecompliancewiththeagreedstandards.Article5:ResponsibilitiesandObligations5.1Contractor’sResponsibilities:a.Provideaqualifiedteamofengineers,supervisors,andlaborerstoexecutetheproject.b.Obtainallnecessarypermitsandlicensesfortheexecutionoftheproject.c.Ensurethesafetyofallworkersandcompliancewithsafetyregulations.5.2Client’sResponsibilities:a.Provideclearinstructions,specifications,anddesigndocuments.b.Ensuretimelypaymentaspertheagreedterms.c.Provideanynecessarysupportorapprovalsrequiredforthecompletionoftheproject.Article6:ChangesandVariations6.1Anychangesorvariationstothescopeofworkorprojectspecificationsmustbeagreeduponinwritingbybothparties.6.2TheContractorshallnotifytheClientofanypotentialimpactofchangesontheprojecttimelineorcostwithindaysofbecomingawareofsuchimpacts.6.3TheClientshallcompensatetheContractorforadditionalcostsincurredduetochangesorvariations,subjecttomutualagreement.Article7:AcceptanceandHandover7.1Theprojectshallbedeemedcompleteuponthesuccessfulcompletionofallworksaspertheagreedspecificationsanduponobtainingallnecessaryapprovalsandcertifications.7.2TheClientshallconductafinalinspectionwithindaysofthecompletionoftheproject.7.3AlldefectsorissuesidentifiedduringthefinalinspectionshallberectifiedbytheContractorwithindays.Article8:WarrantyandMaintenance8.1TheContractorshallprovideawarrantyforthecompletedworksforaperiodofyearsfromthedateofcompletion.8.2Duringthewarrantyperiod,theContractorshallrepairorreplaceanydefectiveworksatnoadditionalcost.8.3TheClientshallnotifytheContractorofanydefectswithindaysoftheirdiscovery.Article9:LiabilityandIndemnity9.1TheContractorshallbeliableforanydamage,loss,orinjurycausedbyitsnegligenceorfailuretocomplywiththeagreedstandards.9.2TheClientshallindemnifytheContractoragainstanyclaims,damages,orcostsarisingfromtheClient’sfailuretoprovidetimelyinstructionsorapprovals.Article10:Confidentiality10.1Bothpartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthecourseoftheproject.10.2Anybreachofconfidentialityshallresultinimmediateterminationofthecontractandpotentiallegalaction.Article11:DisputeResolution11.1Anydisputesarisingfromtheexecutionofthiscontractshallberesolvedthroughfriendlynegotiations.11.2Intheeventthatnegotiationsfail,thedisputeshallbereferredtoforarbitrationinaccordancewiththerulesof.Article12:GoverningLaw12.1Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof.Article13:ForceMajeure13.1Neitherpartyshallbeheldliableforanyfailureordelayinperformingtheirobligationsunderthiscontractduetoeventsbeyondtheircontrol,suchasnaturaldisasters,war,orgovernmentintervention.13.2Upontheoccurrenceofaforcemajeureevent,theaffectedpartyshallnotifytheotherpartyinwritingwithindaysandmakeeffortstomitigatetheeffectsoftheevent.Article14:Miscellaneous14.1Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings.14.2Anyamendmentstothiscontractshallbemadeinwritingandsignedbybothparties.14.3Failuretoen
