I.Introduction

II.InvestmentSubjectMatter

IV.RightsandObligationsoftheParties

A.RightsandObligationsoftheInvestor

B.RightsandObligationsoftheCompany

1.Rights

TheCompanyshalloperateitsbusinessinpliancewithallapplicablelaws,regulations,andindustrystandards.

TheCompanyshallusetheInvestmentAmountonlyforthepurposespermittedunderthisAgreementandshallnotmisappropriateordivertthefunds.

V.TransferofEquity(ifapplicable)

1.RestrictionsonTransfer

Duringtheperiodof[numberofyears]fromthedateofthisAgreement,theInvestorshallnottransfertheequityacquiredthroughthisinvestmentwithoutthepriorwrittenconsentoftheCompanyandotherexistingshareholders(ifany).

2.PreemptiveRight

VI.GovernanceRights

1.BoardRepresentation

IftheInvestmentisintheformofequityandentitlestheInvestortoacertainpercentageofequity,theInvestorshallbeentitledtoappoint[number]director(s)totheCompany'sboardofdirectors.ThedirectorsappointedbytheInvestorshallhavetherighttoparticipateintheCompany'sboardmeetingsandexercisetheirvotingrightsinaccordancewithapplicablelawsandtheCompany'sarticlesofassociation.

TheInvestorshallexerciseitsvotingrightsasashareholderinaccordancewiththeCompany'sarticlesofassociationandapplicablelaws.TheInvestorshallvoteinthebestinterestsoftheCompany'slongtermdevelopmentandtheprotectionoftherightsandinterestsofallshareholders.

VII.DividendDistributionandLiquidation

1.DividendDistribution

IftheCompanymakesaprofit,dividenddistributionshallbemadeinaccordancewiththefollowingprinciples:

First,theCompanyshallmakeupforanypreviouslosses.

Then,acertainpercentage(tobedeterminedbytheCompany'sboardofdirectorsbasedontheCompany'sfinancialsituationanddevelopmentstrategy)oftheremainingprofitsshallbesetasideasareservefund.

Theremainingprofitsshallbedistributedtotheshareholdersinproportiontotheirequityholdings.TheInvestorshallbeentitledtoreceivedividendsinaccordancewithitsequitypercentage.

2.Liquidation

IntheeventoftheCompany'sliquidation,afterpayingoffalldebtsandliabilities,theremainingassetsshallbedistributedtotheshareholdersinproportiontotheirequityholdings.TheInvestorshallbeentitledtoreceiveitsshareoftheliquidationproceedsbasedonitsequitypercentage.

VIII.Confidentiality

1.ConfidentialInformationDefined

"ConfidentialInformation"referstoallinformationrelatedtotheCompany'sbusiness,technology,financialsituation,andotheraspectsthatisdisclosedbytheCompanytotheInvestorduringtheinvestmentprocess,includingbutnotlimitedtobusinessplans,productdesigns,customerlists,financialstatements,andinternalmanagementinformation.

2.ConfidentialityObligations

BothpartiesshallkeepallConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.TheconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears].

Ix.RepresentationsandWarranties

1.Investor'sRepresentationsandWarranties

TheInvestorrepresentsandwarrantsthat:

2.Company'sRepresentationsandWarranties

TheCompanyrepresentsandwarrantsthat:

Itisalegallyestablishedandvalidlyexistingentityandhastherightandcapacitytoengageinitscurrentbusinessoperations.

IthasprovidedaccurateandpleteinformationtotheInvestorandtherearenomaterialmisstatementsoromissionsinsuchinformation.

ItwillusetheInvestmentAmountinaccordancewiththisAgreementandwillnotviolateanylaws,regulations,orthirdpartyrightsintheprocessofusingthefunds.

x.Covenants

1.NonCompeteCovenant

DuringthetermofthisAgreementandforaperiodof[numberofyears]aftertheterminationorexpirationofthisAgreement,theCompanyshallnotengageinanybusinessactivitiesthatareindirectpetitionwithitscurrentcorebusinesswithoutthepriorwrittenconsentoftheInvestor.

2.NonSolicitationCovenant

Duringthesameperiod,theCompanyshallnotsolicitorhireanykeyemployeesoftheInvestorwhoareinvolvedintheinvestmentprojectorhaveaccesstotheCompany'sconfidentialinformation.

xI.DefaultandRemedies

1.DefaultEvents

IftheInvestorfailstopaytheInvestmentAmountinaccordancewiththepaymenttermsofthisAgreement,itshallbeconsideredindefault.

IftheCompanyfailstousetheInvestmentAmountforthepermittedpurposes,providesfalseinformation,orviolatesanyofitsobligationsunderthisAgreement,itshallbeconsideredindefault.

2.RemediesforDefault

IntheeventoftheInvestor'sdefault,theCompanyshallhavetherighttorequiretheInvestortopaytheoverdueamountplusinterestatthe[interestrate]perannumwithin[numberofdays].IftheInvestorfailstopaywithinthespecifiedtime,theCompanymayterminatethisAgreementandclaimdamagesfromtheInvestor.
