一詞多義的常用單詞Accept釋義：accept在普通英語中的含義是接受，這一點無須贅述。在法律英語accept也有兩個最常用的意思：承諾，是合同法中的概念，與邀約offer相對應，如A contract may be formed if an offer is accepted within the specified time and in the required manner。如果在規定的時間并以特定的方式對一項邀約作出承諾，合同即可成立。其他如revoke an acceptance（撤回承諾）等。Accept承兌，經常出現在票據法中，如The draft is accepted by the negotiating bank。議付行對匯票進行了承兌。Action釋義：action是法律英語中最常用的單詞之一，它有兩個意思：“訴訟”，相當于lawsuit，如Party A shall defend Party B in any action resulting from the infringement of the licensed intellectual property。就與授權使用的知識產權相關的訴訟，甲方應當為乙方進行抗辯其他的如file an action（提起訴訟），cause of action（訴因）等。“作為”，與不作為（forbearance）對應，如Any negligent conduct of Party A, whether it is action or forbearance, that resulted in loss of party B shall be deemed to be breach of this Contract。甲方的任何疏忽行為，無論是作為還是不作為，只要引起乙方損失，即可是為甲方對本合同的違約。Advise釋義：advise在法律英語中有兩個常用意思：律師等法律工作者提供法律建議，如The partner of the law firm advised the Manager on various specialist legal issues。該律師事務所的合伙人就各種專業法律問題向經理提出了法律建議。通知，相當于notify或inform，如The use of advise in the sense of “inform, notify,” was restricted to business correspondence and legal contexts. Thus one may say the suspects were advised of their rights, but it would be considered pretentious to say youd better advise your friends that the date of the picnic has been changed。advise 表示“通知，告知”的這種用法局限地用于商業往來及法律情況。因此可以說嫌疑犯被告知他們所具有的權利， 但是你最好通知你的朋友，野餐的日期有所改變，這種說法被認為是做作的。acknowledge釋義：acknowledge在法律英語中有兩個常用意思： 承認，相當于admit，但其用法更加正式，一般不能用admit來替換，經常與confess連用，即acknowledge and confess，如：The suspect acknowledged and confessed all his criminal activities to the court.犯罪嫌疑人向法院承認了全部犯罪行為。告知收到（書信）等例句：Notices given by personal delivery shall be deemed effectively given on the date of personal delivery，provided that receipt shall be acknowledged in writing by the receiving party.參考譯文：在專人送達之日視為有效送達，但收件方應書面確認已收到通知。Application釋義：application在法律英語中有兩個常見意思： 申請，申請書，如：This two-stage process can be combined by submitting to the MOC a signed technology import contract with an application for import permit.上述兩步程序也可合并進行，即向商務部提交已簽署的技術引進協議和引進許可申請書。 適用，實施，如：The application of the arbitration rules of the Arbitration Institute in effect on the date of the signing of this Agreement is not subject to judicial review參考譯文：仲裁庭適用本協議簽署日有效的仲裁機構的仲裁規則時不受司法審查。注：application的動詞是apply，同樣有兩個意思，即適用，實施 經常用在apply sth to sth結構中，如apply the relevant laws and regulations to the disputes between the parties 適用相關法律法規解決當事人之間的爭議 申請，通常用在apply to sb for sth結構，如apply to the Ministry of Commerce for approval of the establishment of a joint venture. 向商務部申請批準成立合資企業。Bond釋義：bond在法律英語中通常有兩個含義：保證書、保函，即一方為保證履約行為而向對方出具的書面保證，如The Seller requests the Buyer to provide a letter of bond 。賣方要求買方出具一份保函。債券，通常指公司或政府發行的有擔保的債券（Secured bond），也可以指泛指所有的債券，這個在前面的bond和debenture的區別中已經論述過，就無須多講了。Commission釋義：commission在法律英語中通常有四個常用意思：傭金，即傭金是在商業活動中，具有獨立地位和經營資格的中間人的在商業活動中為他人提供服務所得到的報酬。如He came to China to hold a talk about the commission for his new business。他來中國是洽談有關生意中的傭金問題。二是作為，用法與前面所說的action相通，但與omission（不作為相對），此處不再贅述。三是表示委員會，如中國證監會，就是China Securities Regulatory Commission，中國國際經濟貿易仲裁委員會為China International Economic and Trade Arbitrary Commission。是表示委托，She has received many commissions to design public buildings。她接受多項委托, 設計公共建筑。Contribution釋義: contribution在法律英語中通常有兩個意思： 出資，即中國公司法中所說的為了公司的設立而支付一定的金錢或實物。如The Threshold for the contribution of a single-member company is RMB 100,000yuan，which shall paid in a lump sum.一人有限責任公司的最低出資額是人民幣10萬元，并應當一次性繳納。分攤（額），通常用于共同侵權或共同保險中，每一責任人都根據自己的侵權行為或賠償責任承擔其應承擔的份額。如The right of contribution exists only in favor of a tortfeasor who has paid more than his pro rata share of the common liability, and his total recovery is limited to the amount paid by him in excess of his pro rata share. No tortfeasor is compelled to make contribution beyond his own pro rata share of the entire liability.分攤請求權僅因某一共同侵權行人支付了超過其在共同責任中的按份份額時而產生，其可獲賠償的數額以其支付超過其按份份額為限。任何共同侵權人都不能夠被強迫分攤超過其所占全部責任的按份份額Deposit釋義：deposit在法律英語中通常最常用的意思有兩個：存款，這是他在普通英語和法律英語都很常見的意思，既可作名詞也可作動詞，如He has a deposit of 10,000yuan in ICBC。他在工商銀行有1萬元的存款。People tend to deposit their idle money in the bank。人們喜歡把不用的錢存到銀行。定金，保證金，相當于earnest money。根據中國的合同法，繳納定金方違約的，定金不予返還，接收定金方違約的，應當雙方返還定金。如The shop undertook to keep the goods for me provided that I paid a deposit.商店答應, 倘若我付定金就給我保留這批貨。不能替換的單詞或詞組法律英語結構嚴謹，用詞考究，邏輯嚴密，文體較其它體裁更為正式、刻板，較多地使用被動語態，這是由于法律本身的特質決定的。由于法律英語問題的莊重性，法律文書在單詞選擇上也有意選擇一些非常正式的單詞或詞組進行表達，這些詞在日常用語中很少使用，但在法律英語中出現頻率非常高，且不能被普通英語中意思相同的詞或詞組代替。下面對我們在法律文書中經常遇到或使用的一些正式表達進行分析和比較。Determine decide分析：在作為“決定、確認”理解時，determine較decide更為正式，因此，法律英語中選用determine而不是decide來表達該含義。如Where the price of the goods is not speicified in the contract, it shall be determined with reference to the fair market value of the similar commodity.合同中沒有明確貨物價格的，應當根據類似商品的公平市場價格進行確定。注意：decide也是法律英語中的一個單詞，但一般表示決定或確定，而是判決、裁決。如：The court decided that the litigatin fee shall be borne by the losing party.法官判決，訴訟費用由敗訴方承擔。Due to because of分析：due to 和because of 無論是在含義、詞組結構還是用法上都是相同的，但due to 比because of 更為正式，因此，在法律英語中經常使用，且不能用because of 替換，如：The contract was terminated due to changes in such unforeseeable circumstances as production and management conditions合同因生產經營條件變化等不可預見的情況而解除。Elect choose分析：elect和choose都有“選擇”的意思，但elect比choose含義更加莊重，因此，在合同等法律文件中，用elect來表示“選擇”，而不用choose。Exclusive of excluding分析：兩個詞組/單詞都是由動詞exclude衍變過來的，都是“不包括”的意思，作為法律英語中的常用語，我們通常選用exclusive of，而不是excluding，如All Rates quoted herein are exclusive of tax and service charge本報價中的所有費用均不包括稅收和服務費。However but分析：however和but都是表示轉折意義的單詞，由于法律英語文體的莊重性，諸如if，but等單詞在起草法律文書的過程中基本不用，而用意思相同但表達更為正式的however, provided that等。如：Without probable cause, a police officer cannot search other persons who happen to be present at the scene of a search.
