RussianCoalImportContract

ThisContractismadeandenteredintothis[InsertDate]dayof[InsertMonth],[InsertYear](the"EffectiveDate")byandbetween[InsertSeller'sFullLegalName],acompanyincorporatedunderthelawsof[InsertSeller'sCountry],withitsregisteredofficeat[InsertSeller'sAddress](hereinafterreferredtoas"Seller"),and[InsertBuyer'sFullLegalName],acompanyincorporatedunderthelawsof[InsertBuyer'sCountry],withitsregisteredofficeat[InsertBuyer'sAddress](hereinafterreferredtoas"Buyer").

WHEREAS,Sellerisengagedinthebusinessofmining,processing,andsellingcoal,andhasagreedtosellanddelivertoBuyer,andBuyerhasagreedtopurchasefromSeller,thecoalasspecifiedinthisContract(the"Products");

WHEREAS,ThepartieswishtosetforththetermsandconditionsofthesaleandpurchaseoftheProductsinthisContract;

NOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

Article1:Definitions

1.1"Contract"meansthisRussianCoalImportContractincludingallitsschedules,appendices,andannexes.

1.2"Products"meansthecoaltobesoldanddeliveredbySellertoBuyerasspecifiedinthisContract.

1.3"Quantity"meansthetotalamountofcoaltobesoldanddeliveredbySellertoBuyerasspecifiedinthisContract.

1.4"Price"meansthepricepermetrictonoftheProductsasspecifiedinthisContract.

1.5"Delivery"meanstheactoftransferringthephysicalpossessionoftheProductsfromSellertoBuyer.

1.6"ForceMajeure"meansanyeventorcircumstancebeyondthereasonablecontrolofaparty,whichbyitsnaturecouldnothavebeenforeseen,or,ifitcouldhavebeenforeseen,wasunavoidableandcouldnothavebeenovercomebytheexerciseofduediligence.

Article2:SaleandPurchaseofProducts

2.1SelleragreestosellandBuyeragreestopurchasetheProductsasspecifiedinSchedule1attachedhereto(the"ScheduleofProducts"),whichisanintegralpartofthisContract.

2.2TheProductsshallbesoldandpurchasedatthePricespecifiedinSchedule1.

2.3TheQuantityoftheProductstobesoldandpurchasedshallbeasspecifiedinSchedule1.

Article3:PriceandPayment

3.1ThePriceshallbepaidin[InsertCurrency]andshallbeexclusiveofanytaxes,duties,levies,orotherchargesimposedbyanygovernmentauthority.

3.2PaymentfortheProductsshallbemadeinaccordancewiththepaymenttermsspecifiedinSchedule1.

3.3BuyershallmakepaymenttoSellerbywiretransfertothebankaccountspecifiedbySeller.

3.4Intheeventofanydelayinpayment,Buyershallpayinterestontheoverdueamountatarateof[InsertRate]perannum,calculatedfromtheduedateuntilthedateofactualpayment.

Article4:Delivery

4.1DeliveryoftheProductsshallbemadeinaccordancewiththedeliverytermsspecifiedinSchedule1(the"DeliveryTerms").

4.2SellershallprovideBuyerwithadeliveryscheduleatleast[InsertNumber]dayspriortotheexpecteddeliverydate.

4.3BuyershallprovideSellerwithwrittenconfirmationofthedeliveryschedulewithin[InsertNumber]daysofreceipt.

4.4Intheeventofanydelayindelivery,SellershallnotifyBuyerinwritingassoonaspossibleandprovideanupdateddeliveryschedule.

Article5:QualityandSpecifications

5.1TheProductsshallconformtothequalityandspecificationsspecifiedinSchedule1.

5.2SellerwarrantsthattheProductsarefreefromanydefectsinmaterialandworkmanshipandarefitfortheirintendedpurpose.

5.3BuyershallhavetherighttoinspecttheProductsatthepointofdelivery.IftheProductsdonotconformtothequalityandspecificationsspecifiedinSchedule1,BuyershallnotifySellerinwritingwithin[InsertNumber]daysofdelivery.

Article6:ForceMajeure

6.1IfeitherpartyispreventedfromperforminganyofitsobligationsunderthisContractduetoForceMajeure,itshallpromptlynotifytheotherpartyinwritingandprovidefulldetailsoftheeventorcircumstance.

6.2TheaffectedpartyshalluseitsbesteffortstomitigatetheeffectsoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonaspossible.

6.3IftheForceMajeureeventcontinuesformorethan[InsertNumber]days,eitherpartymayterminatethisContractbywrittennoticetotheotherparty.

Article7:Termination

7.1ThisContractmaybeterminatedbyeitherpartyintheeventofamaterialbreachbytheotherparty,providedthatthebreachingpartyhasnotcuredthebreachwithin[InsertNumber]daysofreceivingwrittennoticeofthebreach.

7.2EitherpartymayterminatethisContractbywrittennoticetotheotherpartyintheeventoftheinsolvencyorbankruptcyoftheotherparty.

7.3UponterminationofthisContract,anyamountsowedbyBuyertoSellershallbecomeimmediatelydueandpayable.

Article8:Confidentiality

8.1Eachpartyshalltreatallinformationobtainedfromtheotherpartyasconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

8.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.

Article9:DisputeResolution

9.1AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.

9.2Ifthedisputecannotberesolvedthroughnegotiations,itshallbesubmittedtoarbitrationin[InsertCity]inaccordancewiththerulesof[InsertArbitrationInstitution]byoneormorearbitratorsappointedinaccordancewithsuchrules.

9.3Thearbitralawardshallbefinalandbindingonbothparties.

Article10:GoverningLaw

10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningLaw].

10.2AnylegalactionorproceedingarisingoutoforinconnectionwiththisContractmaybebroughtinthecourtsof[InsertJurisdiction].

Article11:Notices

11.1AnynoticeorothercommunicationrequiredorpermittedtobegivenunderthisContractshallbeinwritingandshallbedeliveredbyhand,bycourier,orbyregisteredmailtotheaddressspecifiedinSchedule1ortosuchotheraddressasthepartymayspecifyinwriting.

11.2Anoticeorothercommunicationshallbedeemedtohavebeengivenonthedateitisactuallyreceived.

Article12:AmendmentsandWaivers

12.1NoamendmentormodificationofthisContractshallbeeffectiveunlessitisinwritingandsignedbybothparties.

12.2NowaiverofanytermorconditionofthisContractshallbeeffectiveunlessitisinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.

Article13:EntireAgreement

13.1ThisContract,includingSchedule1,constitutestheentireagreementbetweenthepartieswithrespecttothesaleandpurchaseoftheProductsandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal.

Article14:Assignment

14.1NeitherpartymayassignanyofitsrightsordelegateanyofitsobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.

Article15:Severability

15.1IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

Article16:Counterparts

16.1ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,andallofwhichtogethershallconstituteoneand
