蔬菜種苗選購協議合同編號：__________vegetableseedlingpurchaseagreement甲方（采購方）：__________Address:__________contactinformation:__________乙方（供應商）：__________Address:__________contactinformation:__________鑒于甲方需要購買蔬菜種苗，乙方愿意提供優質的蔬菜種苗，雙方本著平等互利的原則，經友好協商，達成如下協議：article1:subjectmatteroftheagreement1.1thisagreementismadeforthepurchaseofhighqualityvegetableseedlingspartyafrompartyb.1.2thespecifictypes,quantities,specifications,qualitystandardsandotherrequirementsofthevegetableseedlingstobepurchasedshallbedeterminedbothpartiesinaccordancewithmarketconditionsandmutualconsultation.article2:priceandpaymentterms2.1thepurchasepriceofthevegetableseedlingsshallbedeterminedbothpartiesbasedonthemarketpriceatthetimeoftheconclusionofthisagreement.2.2thepaymenttermsforthepurchaseofthevegetableseedlingsshallbeasfollows:(1)a30%advancepaymentshallbemadepartyawithin3daysafterthesigningofthisagreement;(2)thebalanceshallbepaidpartyawithin7daysafterthedeliveryofthevegetableseedlingspartyb.article3:deliveryandtransportation3.1theplaceofdeliveryofthevegetableseedlingsshallbetheplacedesignatedpartya.3.2thetimeofdeliveryofthevegetableseedlingsshallbewithin15daysafterthesigningofthisagreement.3.3thetransportationofthevegetableseedlingsshallbearrangedpartyb,andtherelatedexpensesshallbebornepartya.article4:qualityandguarantee4.1thevegetableseedlingsprovidedpartybshallmeetthefollowingqualityrequirements:(1)conformtotherelevantnationalstandardsandspecificationsforvegetableseedlings;(2)freefromdiseases,pestsandothercontaminants;(3)havegoodgrowth,strongvitalityandhighsurvivalrate.4.2partybshallprovideaqualityguaranteeforthevegetableseedlings,andifthevegetableseedlingsdonotmeetthequalityrequirements,partybshallreplacethemorrefundthepurchasepricetopartya.article5:confidentiality5.1bothpartiesagreetokeepconfidentialallthetechnicalandbusinessinformationexchangedbetweenthemduringtheperformanceofthisagreement,unlesssuchinformationisalreadyinthepublicdomainorisrequiredtobedisclosedlawsorregulations.5.2theconfidentialityobligationshallsurvivetheexpirationorterminationofthisagreement.article6:disputeresolution6.1anydisputesarisingoutoforinconnectionwiththisagreementshallbefirstlysettledthroughfriendlynegotiation.6.2ifthenegotiationfailstosettlethedisputes,eitherpartymaysubmitthedisputestothepeople'scourtwithjurisdictionovertheplaceofperformanceofthisagreement.article7:supplementaryprovisions7.1thisagreementmaybeamendedorsupplementedbothpartiesthroughwrittenagreement.7.3thisagreementshallbegovernedthelawsofthepeople'srepublicofchina.INWITNESSWHEREOF,thepartiesheretohavecausedthisagreementtobeexecutedasofthedatefirstabovewrittentheirrespectiveauthorizedrepresentatives.partya:________________________representative:____________________date:____________________________partyb:________________________representative:____________________date:____________________________一、附件列表：1.蔬菜種苗詳細目錄2.蔬菜種苗質量標準3.蔬菜種苗種植技術指南4.蔬菜種苗種植地點示意圖5.蔬菜種苗運輸方式及費用明細6.蔬菜種苗付款憑證7.蔬菜種苗質量保證書二、違約行為及認定：1.乙方未按約定時間交付蔬菜種苗2.乙方交付的蔬菜種苗不符合約定的質量標準3.乙方未提供質量保證書4.甲方未按約定時間支付款項5.甲方未按約定地點接收蔬菜種苗三、法律名詞及解釋：1.蔬菜種苗：指用于種植的蔬菜幼苗。2.質量標準：指符合國家相關法規、行業標準以及雙方約定的蔬菜種苗質量要求。3.交付：指乙方按照約定將蔬菜種苗運送到甲方指定的地點并交付給甲方。4.付款憑證：指甲方支付款項的憑證，包括銀行轉賬記錄、現金支付記錄等。5.質量保證書：指乙方對交付的蔬菜種苗質量進行保證的書面文件。四、執行中遇到的問題及解決辦法：1.問題：乙方未按約定時間交付蔬菜種苗解決辦法：雙方協商延期交付，并根據實際情況協商賠償損失。2.問題：乙方交付的蔬菜種苗不符合約定的質量標準解決辦法：乙方應在規定時間內更換符合質量標準的蔬菜種苗，或按照約定進行賠償。3.問題：乙方未提供質量保證書解決辦法：乙方應在規定時間內提供質量保證書，否則甲方有權拒絕接收蔬菜種苗。4.問題：甲方未按約定時間支付款項解決辦法：甲方應在規定時間內支付款項，否則乙方有權拒絕交付蔬菜種苗
