hprojectandshallbebornebybothparties,asagreedbytheJMC.4.費用分配PAYMENTDISTRIBUTION?a.聯(lián)合管理委員會將在具體項目的基礎(chǔ)上根據(jù)各方承擔的項目工作量并綜合各方的響應原始報價來確定各方應獲得的收入。TheJMCshallassesstherevenuethateachPartywillbeentitledtoaccordingtothe?workloadandoriginalpricingproposedbyeachpartyonjobtojobbasis.b.雙方將在本框架協(xié)議內(nèi)共同承攬項目，針對每一個合作項目分別簽訂確定雙方費用和收入合同。Thepartiesshallundertakeprojectswithinthesphereofthisframes?workagreementand?shallenterintocontractforeachcooperationprojecttodeterminethefees,?revenueandincomeeachpartyisentitledto.5．違約責任Liabilityforbreachofcontract本協(xié)議書已經(jīng)生效各方應當認真履行，任何一方未按協(xié)議規(guī)定全面履行義務，均構(gòu)成違約。違約方應當賠償守約方因此遭受的全部損失，包括但不限于守約方因追究其違約責任或賠償責任所產(chǎn)生的訴訟費、保全費、擔保費、律師費等費用。ThisAgreementhascomeintoforce,andthefailureofeitherpartytofullyperformitsobligationsinaccordancewiththeagreementshallconstituteitsbreachofcontract.Thebreachingpartyshallcompensateforallthelossesincurredbytheobservantparty,includingbutnotlimitedtothelegalcosts,preservationfees,guaranteefees,attorneyfeesincurredbytheliabilityforbreachofcontractorcompensation.6.權(quán)利義務轉(zhuǎn)讓Assignmentofrightsandobligations未得到對方的書面同意，雙方的任何一方無權(quán)將本合同中規(guī)定的權(quán)利與義務轉(zhuǎn)讓給第三方。NeitherpartyshallbeentitledtotransfertheirrightsandobligationsunderthepresentContracttoanythirdpartywithoutthewrittenconsentoftheotherparty.7.適用法律ApplicableLaw本協(xié)議的一切條款，按?國現(xiàn)行有關(guān)法令和條例執(zhí)行。在本協(xié)議生效之后，由于國家頒布新的法律、法令、條例，或?qū)υ械臈l款進行了修改，致使甲方或乙方的經(jīng)濟利益發(fā)生變化，應及時協(xié)商，并對本協(xié)議的有關(guān)條款作為必要的修正或調(diào)整，以維護各方的正常經(jīng)濟利益。Alltermsofthisagreementshallbeimplementedinaccordancewiththerelevantdecreesandregulationsof

.AfterthisAgreementcomesintoforce,theeconomicinterestsofnewlaws,decrees,regulationsortheamendmentoftheoriginalprovisionsofPartyAorPartyBshallbechanged,whichshallbetimelynegotiated,andtherelevantprovisionsofthisagreementshallbeamendedoradjustedasnecessarytosafeguardthenormaleconomicinterestsofallparties.8.爭議的解決?ResolutionofDisputes在執(zhí)行本合同的過程中所發(fā)生的爭議，雙方應友好協(xié)商解決，協(xié)商不成，雙方同意提交仲裁委員會申請仲裁解決。按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。7.1AnydisputearisingfromorinconnectiontotheexecutionofthisContractshallbesettledbetweenthetwopartiesthroughfriendlyconsultation.Incasenoagreementcanbereached,bothpartiesagreeherebytosubmitthecaseindisputeto
