3、ticle 1 Definition of Confidential Information Confidential information refers to data and information with respect to relevant businesses and technologies, whether in written or other forms , that have been disclosed by either Party A or Party B to the other party with clear label or designation of

4、 Confidential informationn(hereinafter referred to as confidential information1) , excluding the following data and information:(1) Information that is already or to be make public available , except those disclosed by either Party A or Party B or their representatives in violation of this agreement

5、 and without authorization; (2) Non- confidential information that has come to the attention of the receiving party before the disclosure of the other party;(3) Non-confidential information offered by either party , before the disclosure of which the receiving party is not informed of the fact that

6、the provider of this information (a third party) has signed a binding confidentiality agreement with the party disclosing the non-confidential information under this agreement , and the receiving party may reasonably presume that the information discloser is not forbidden to offer the information to

7、 the receiving party.第一條保密資料的定義甲乙雙方中任何一方披露給對方的明確標注或指明是保密資料的相關業務和技術方面的書面或其它形式的資料和信息(簡稱：保密資料)，但不包括下述資料和信息：(一)已經或將公布于眾的資料，但不包括甲乙雙方或其代表違反本協議規定未經授權所披露的；(二)在任何一方向接受方披露前已為該方知悉的非保密性資料；(三)任何一方提供的非保密資料，接受方在披露這些資料前不知此資料提供者(第三方)已經與本協議下的非保密 資料提供方訂立過有約束力的保密協議，且接受方有理由認為資料披露者未被禁止向接受方提供該資料。Article 2 Obligations and

8、Liabilities(1) Both Party A and Party B represent to the other party as the provider and receiver of confidential information , and thus both undertake confidentiality obligations and liabilities.(2) Neither Party A nor Party B shall disclose or make public any confidential information to a third pa

9、rty (including the press) or otherwise make use of the confidential information without the written approval of the other party; Both parties are obliged to urge their representatives not to disclose or make public any confidential information to a third party (including the press) or otherwise make

10、 use of the confidential information; unless the disclosure , publicity and application of the confidential information is required by the due performance of the obligations of the two parties in association with the undertaking and proceeding of the cooperative programs under normal circumstances (

11、including obligations to be assumed by both parties in the future pursuant to the law and the contracts signed by the two parties).(3) Both parties shall strictly limit the access to the confidential information to their responsible representatives only for the purposes specified hereunder.(4) Neith

12、er party shall provide a third party with copies or duplicates of the confidential information disclosed by the other party or its representative , whether intentionally or not, unless the disclosure is allowed by a written agreement signed by the two parties.（5 ） In the event that the proceeding of

13、 the cooperative program ceases or either party quits the program with reasons, a party shall and shall urge its representatives to destroy or return to the other party all confidential information as well as all documents and materials and all duplicates thereof containing confidential information

14、within five working days , upon the request of the other party at any time. Nevertheless , the party possessing the confidential information may keep one piece of the duplicates of the documents or materials described above only for the purpose enshrined in Article 4 hereunder 5 without breaching ot

15、her provisions of this agreement.（6 ） Either Party A or Party B shall and shall urge their respective representatives to treat the confidential information provided by the other party with a degree of care no less than that used for the similar information in its own possession. However, under no ci

16、rcumstances shall the treatment of the confidential information be held under a reasonable degree of care.第二條雙方責任（1） 甲乙雙方互為保密資料的提供方和接受方，負有保密義務，承擔保密責任。（2） 甲乙雙方中任何一方未經對方書面同意不得向第三方（包括新聞界人士）公開和披露任何保密資料或以 其他方式使用保密資料。雙方也須促使各自代表不向第三方（包括新聞界人士）公開或披露任何保密資料或以其它 方式使用保密資料。除非披露、公開或利用保密資料是雙方從事或開展合作項目工作在通常情況下應承擔的義務

17、（包 括雙方今后依法律或合同應承擔的義務）適當所需的。（3） 雙方均須把保密資料的接觸范圍嚴格限制在因本協議規定目的而需接觸保密資料的各自負責任的代表的范圍內。（4） 除經過雙方書面同意而必要進行披露外，任何一方不得將含有對方或其代表披露的保密資料復印或復制或者有意無意地提供給他人。（5） 如果合作項目不再繼續進行或其中一方因故退出此項目，經對方在任何時候提出書面要求，另一方應當、并應促使其代表在五（5）個工作日內銷毀或向對方返還其占有的或控制的全部保密資料以及包含或體現了保密資料的全部文件和其它材料并連同全部副本。但是在不違反本協議其它條款的條件下，雙方 可僅為本協議第四條之目的，保留上述文

18、件或材料的復制件一份。（6） 甲乙雙方將以并應促使各自的代表以不低于其對自己擁有的類似資料的照料程度來對待對方向其披露的保密資料，但在任何情況下，對保密資料的照料都不能低于合理程度。Article 3 Intellectual Property Rights Disclosure of the confidential information by either Party A or Party B to the other party or its representatives shall not be construed to constitute an assignment or gr

19、ant to the other party or its representatives of the rights and interests in relation to its trade secrets , trademarks, patents, know-how or any other intellectual property , nor shall it constitute an assignment or grant to the other party or its representatives the rights and interests in relatio

20、n to the trade secrets , trademarks, patents know- how, or any other intellectual property authorized by a third party.第三條知識產權甲乙雙方向對方或對方代表披露保密資料并不構成向對方或對方的代表的轉讓或授予另一方對其 商業秘密、商標、專利、技術秘密或任何其它知識產權擁有的權益，也不構成向對方或對方代表轉讓或向對方或 對方代表授予該方受第三方許可使用的商業秘密、商標、專利、技術秘密或任何其他知識產權的有關權益。Article 4 Preservation and Applica

21、tion of the Confidential Information（1） Either Party A or Party B has the right to preserve necessary confidential information , so as to make use of which in implementing binding laws , regulations , and obligations under their cooperative programs.（2） Either Party A or Party B has the right to mak

22、e use of the confidential information to defend against any claims, lawsuits , judicial proceedings , and accusations towards the receiving party or its representatives in relation to the programs hereunder and relevant affairs , or to respond to summons, subpoena, or other legal proceedings with re

23、spect to the programs hereunder and relevant affairs.（3） Either party can , in light of actual demand , disclose the confidential information in any reports , statements or certificates submitted to any regulatory organs at municipal , provincial, central, or other levels that have jurisdiction or a

24、ssert having jurisdiction over the receiving party , after informing the other party in written form and making a copy for the other party of the disclosed information.第四條保密資料的保存和使用（一）甲乙雙方中的任何一方有權保存必要的保密資料，以便在履行其在合作項目工作中所承擔的法 律、規章與 義務時使用該等保密資料。（二）甲乙雙方有權使用保密資料對任何針對接受方或其代表的與本協議項目及其事務相關的索賠、訴訟、司法 程序及指控進

25、行抗辯，或者對與本協議項目及其事務相關的傳喚、傳票或其他法律程序做出答復。（三）任何一方在書面通知對方并將披露的復印件抄送對方后，可根據需要在提交任何市、省、中央或其他對接 受方有管轄權或聲稱對接受方有管轄權的監管團體的任何報告、聲明或證明中披露保密資料。Article 5 Dispute Settlement and Governing Laws This agreement shall be governed by and be interpreted in accordance with the laws of the Peoples Republic of China. With respect to any issues , disputes, lawsuits or proceedings arising from or in connection with the rights and obligations of the part
