1、設(shè)計(jì)公司保密協(xié)議甲方：住所：負(fù)責(zé)人：乙方：住所：身份證號碼：U 口 U H 口口因乙方現(xiàn)正在為甲方提供服務(wù)和履行職務(wù)，已經(jīng) （或?qū)⒁┲ぜ追降纳?業(yè)秘密。為了明確乙方的保密義務(wù)，有效保護(hù)甲方的商業(yè)秘密，防止該商業(yè) 秘密被公開披露或以任何形式泄漏，根據(jù)中華人民共和國合同法 、中華 人民共和國勞動法、中華人民共和國反不正當(dāng)競爭法等規(guī)定，甲、乙雙 方本著平等、自愿、公平、誠信的原則簽訂本保密協(xié)議。第一條：商業(yè)秘密1、議所稱商業(yè)秘密包括：技術(shù)信息、經(jīng)營信息和甲方公司文件管理辦法 中列為保密級別的各項(xiàng)文件。乙方對此商業(yè)秘密承擔(dān)保密義務(wù)。本協(xié)議之簽訂可認(rèn)為甲方已對公司的商業(yè)秘密采取了合理的保密措施。2、

2、技術(shù)信息：指甲方擁有或獲得的有關(guān)工程建設(shè)項(xiàng)目設(shè)計(jì)的技術(shù)方案；項(xiàng) 目設(shè)計(jì)、管理流程；計(jì)算機(jī)軟件、數(shù)據(jù)庫、技術(shù)數(shù)據(jù)、圖紙、圖片、說明書、 操作手冊、技術(shù)文檔、甲方自行開發(fā)設(shè)計(jì)的各類管理工具表格以及甲方服務(wù) 器內(nèi)存儲的技術(shù)、管理信息、甲方的管理決竅和經(jīng)驗(yàn)、涉及商業(yè)秘密的業(yè)務(wù) 函電等一切有關(guān)的信息。3、經(jīng)營信息指有關(guān)商業(yè)活動的市場經(jīng)營策略、經(jīng)營調(diào)整計(jì)劃、資源情報(bào)、定價(jià)政策、不公開的財(cái)務(wù)資料、客戶名單及聯(lián)系方式、項(xiàng)目來源信息、招投標(biāo)中的標(biāo)底及標(biāo)書內(nèi)容、 合同內(nèi)容、 甲方的收費(fèi)價(jià)格信息、 交易相對人資料、等銷售和經(jīng)營信息。第二條：保密義務(wù)人乙方為本協(xié)議所稱的保密義務(wù)人。保密義務(wù)人是指為甲方提供相關(guān)服務(wù)而知

3、悉甲方商業(yè)秘密，并且在甲方領(lǐng)取報(bào)酬或工資的人員。甲方向保密義務(wù)人支付的報(bào)酬或工資中已包含保密費(fèi)，此處不再重復(fù)支付。保密義務(wù)人同意為甲方公司利益盡最佳努力，在履行職務(wù)期間不組織、參加或計(jì)劃組織、參加任何競爭企業(yè)，或從事任何不正當(dāng)使用公司商業(yè)秘密的行為。第三條：保密義務(wù)人的保密義務(wù)1 、保密義務(wù)人對其因身份、職務(wù)、職業(yè)或技術(shù)關(guān)系而知悉的公司商業(yè)秘密應(yīng)嚴(yán)格保守，保證不被披露或使用，包括意外或過失。即使這些信息甚至可能是全部地由保密義務(wù)人本人因工作而構(gòu)思或取得的。2 、 服務(wù)關(guān)系存續(xù)期間， 保密義務(wù)人未經(jīng)甲方授權(quán)許可， 不得以競爭為目的、或出于私利、或?yàn)榈谌酥\利、或?yàn)楣室鈸p害于公司，擅自披露、使用商

4、業(yè)秘密；不得刺探與本職工作或本身業(yè)務(wù)無關(guān)的商業(yè)秘密；不得直接或間接地向公司內(nèi)部、外部的無關(guān)人員泄露；不得向不承擔(dān)保密義務(wù)的任何第三人披露甲方的商業(yè)秘密；不得允許或協(xié)助不承擔(dān)保密義務(wù)的任何第三人使用甲方的商業(yè)秘密（如出借、贈與、出租、轉(zhuǎn)讓等處分甲方商業(yè)秘密的行為等）；不得復(fù)制或公開包含公司商業(yè)秘密的文件或文件副本；對因工作所保管、接觸的有關(guān)本公司或公司客戶的文件應(yīng)妥善對待，未經(jīng)許可不得超出工作范圍使用。3 、不得以盜竊、利誘、脅迫或其他不正當(dāng)手段獲取甲方的商業(yè)秘密;4、工作而保管、接觸的企業(yè)客戶所提供的資料應(yīng)妥善對待，未經(jīng)甲方許可不得超出工作范圍使用。5、如果發(fā)現(xiàn)商業(yè)秘密被泄露或者自己過失泄露商

5、業(yè)秘密，應(yīng)當(dāng)采取有效措施防止泄密進(jìn)一步擴(kuò)大，并及時(shí)向甲方報(bào)告。6、服務(wù)關(guān)系結(jié)束后，公司保密義務(wù)人應(yīng)將與工作有關(guān)的技術(shù)資料、客戶名單等交還公司。7、鑒于保密義務(wù)人在職期間，獲得或制作的商業(yè)秘密（包括技術(shù)秘密和經(jīng)營秘密） 對公司在競爭中的巨大價(jià)值， 在勞動合同關(guān)系存續(xù)期間和終止之后，保密義務(wù)人均承認(rèn)公司因投資、支付勞動報(bào)酬而對這些商業(yè)秘密的所有權(quán)。8、保密義務(wù)人因各種原因離開公司，應(yīng)提前六個(gè)月向甲方提出解除勞動合同的申請，或因勞動合同到期不準(zhǔn)備續(xù)簽，應(yīng)提前3 個(gè)月向甲方通知確認(rèn)，在此期間，甲方有權(quán)調(diào)整乙方的工作崗位。乙方如違反本項(xiàng)規(guī)定的，應(yīng)承擔(dān)本協(xié)議第五條規(guī)定的違約責(zé)任。第四條：保密義務(wù)的終止1

6、、公司授權(quán)同意披露或使用商業(yè)秘密。2、有關(guān)的信息、技術(shù)等已進(jìn)入公共領(lǐng)域。3、乙方是否在職、勞動合同是否履行完畢，均不影響其保密義務(wù)的承擔(dān)。第五條：違約責(zé)任1 、保密義務(wù)人違反協(xié)議中的保密義務(wù)，應(yīng)承擔(dān)違約責(zé)任，并支付至少相當(dāng)于其工作報(bào)酬或一年工資的違約金。2、乙方如將商業(yè)秘密泄露給第三人或使用商業(yè)秘密使公司遭受損失的，乙方應(yīng)對公司進(jìn)行賠償，其賠償數(shù)額不少于由于其違反義務(wù)所給甲方帶來的損失。3、甲方因調(diào)查乙方的違約或侵權(quán)行為而支付的合理費(fèi)用，如律師費(fèi)、公證費(fèi)、取證費(fèi)等，應(yīng)當(dāng)包含在損失賠償額之內(nèi)。4、因乙方惡意泄露商業(yè)秘密給公司造成嚴(yán)重后果的，公司將通過法律手段追究其侵權(quán)責(zé)任，直至追究其刑事責(zé)任。第

7、六條：爭議的解決方法因執(zhí)行本協(xié)議而發(fā)生糾紛的，可以由雙方協(xié)商解決或共同委托雙方信任的第三方調(diào)解。協(xié)商、調(diào)解不成，或者一方不愿意協(xié)商、調(diào)解的，爭議將提交仲裁委員會，按該委員會的規(guī)則進(jìn)行仲裁。仲裁結(jié)果是終局性的，對雙方均有約束力。第七條：雙方確認(rèn)在簽署本協(xié)議前，雙方已經(jīng)詳細(xì)審閱了協(xié)議的內(nèi)容，并完全了解協(xié)議各條款的法律含義。第八條：協(xié)議的效力和變更1 ，本協(xié)議自雙方簽字或蓋章后生效。2，本協(xié)議的任何修改必須經(jīng)過雙方的書面同意。第九條 本協(xié)議一式二份，甲乙雙方各執(zhí)一份。甲方：乙方： （簽名及指印）201 年 月 日CONFIDENTIALITYANDNON-DISCLOSUREAGREEMENTBET

10、 It is intended that one or more patent applications will be filed in other territories during the priority convention period, which ends of 28 May 2016, such that those patent applications will have an effective filing date of 28 May 2015.In the course of discussions between the Disclosing Party an

11、d the Recipient it will be necessary to disclose to the Recipient certain information in any form of a confidential nature relating to the Concept ("the Confidential Information- which shall mean any and all information, whether oral, written, graphic or in machine-readable form"). In this

12、 connection, the following additional terms and conditions will apply:1.The Recipient shall not without the Disclosing Party prior written consent for aperiod of five years from the date of this agreement disclose any of the Confidential Information to any third party, except such of the Recipient s

13、 employees as may be necessary for the purposes of the Recipients dealings with the Disclosing Party, nor use any of the Confidential Information for any purpose, commercial or otherwise, other than in connection with the Recipient dealings with the Disclosing Party.2.
