Besides, the equipment package shall be intact during the loading, unloading and transportation.5.2 賣方應對由于不正確和不符合要求的包裝所造成的貨物的損壞和丟失承擔責任。并應在貨物 到達客戶公司境內之日起30日內解決貨物的損壞和丟失問題。The loss and damage due to sellers incorrect and i

Also the seller shall solve all the damage and loss problems with in 30 days since the day the equipment reach the buyers site.6 .生產運輸和交貨Production,transportation and delivery.-2 -6.1 設備生產完畢后賣方應邀請買方驗貨。買方可以到上海XXXXX 設備有限公司工廠驗貨或同賣方一起組織通過視頻驗貨。在驗完每一批次貨物后買方應簽“驗

10、收證書 ”。The seller shall invite buyer to check goods after all the products are finished. The buyer can come to Shanghai XXXXXX Equipment Co., Ltd to have a on-site check-up or carry out the check-up through video together with the seller. The buyer shall sign the Acceptance Certificate after check-up

11、.6.2 在完成設備的制作有運輸船只的條件下貨物應在收到相應的支付后10 日內發運。All the equipment shall be shipped within ten working days after the payment was paid supposed that the transportation ship could be arranged.6.3 按照以下條款接收貨物Acceptance of all the equipment shall be done according the following terms.- 零部件數量的驗收 按照提單上注明的數量；Acce

12、ptance of parts quantity based on the quantity marked in the Bill of loading.- 貨物數量的驗收 按照明細表和裝箱單上注明的數量；- Acceptance of equipment quantity Based on the quantity specified in the Detailed List and Packing List- 質量的驗收 應符合賣方的企業標準，應符合中國國家標準要求。- Acceptance of quality qualified with the sellers standard an

13、d meets the standards specified by the Peoples Republic of China.7 . 質量保證Quality Guarantee.7.1 賣方應保證：The seller shall guarantee the followings:貨物的質量將完全符合商品品質的中國標準。The products quality shall completely meets good standard specified by Chinese standard.賣方對賣給買方的貨物擁有完整的所有權，并保證沒有被扣押、抵押或作任何擔保。The Seller e

14、njoys the full ownership of the sold products and guarantees that there is not any equipment that is detained or bonded or given any means as security.任何第三方不能對出售給買方的貨物提出任何權利。Any claim of any right from any third party upon any equipment sold to buyer is forbidden.7.2 買方在設備使用過程中應嚴格執行賣方所提供的使用說明及操作規程，由

15、于違規使用而造成設備損壞所產生的經濟損失由買方自行承擔。During the operation,Buyer shall strictly abide by the instructions and operation regulations offered by the Seller. Any damage & loss of the equipment caused by disobeying shall be born by Buyer.7.3 賣方對設備正常使用的質保期為一年，易損件除外。質保期自簽“安裝調試證書”之日起算起。如果由于買方的原因致使設備不能正常驗收，質保期為合同簽訂之日

16、起18 個月內。The equipment guarantee time is 1 year except wearing parts. Guarantee time starts from the day when the Installation and Trial Document is signed. In case of failure of normal acceptance caused by the buyer, the guarantee time shall be within 18months after the date the contract is signed.7

17、.4 賣方應在質保期內對正常操作的條件下出現的設備損壞給予無償修復或更換部件。As to the damage under the normal operation within the guarantee period,the seller shall repair or change the damaged for free.7.5 如果根據賣方專家的鑒定，出現損壞的責任在買方，賣方應將此通知買方，在此條件下買方 應承擔賣方專家的差旅費。In case of damage caused by buyer authenticated by sellers experts,the seller

18、 shall notify the buyer and the costs for food, accommodation and flight fees will be born by buyer.7.6 如果買方不同意賣方專家的鑒定意見，買方和賣方應協商邀請獨立的專家進行設備損壞原因的第二次鑒定。In case of disagreement upon the authentication from the sellers experts,the buyer and seller shall discuss and invite the independent expert to have

19、 a second authentication of the damaged equipment.8 . 不可抗力Force Majeure8.1 任何一方如果遭受不可抗力的嚴重阻礙，在不可抗力及其影響持續的期限內和受影響的程度內雙方中止履行本合同。不可抗力是指本合同簽署時合同雙方不能預見，發生時不能避免且不能克服的事件，包括但不限于臺風，暴風雪，洪水，海嘯，地震，戰爭，內亂，罷工和流 行病。If eight of the Contracting parties be seriously prevented from executing the contract by Force Majeu

20、re ,the two sides could stop performance of the contract within the effected degree and within the Force Majeure period or Force Majeure influence-lasting period. Force Majeure here means such events that can not be foreseen,can not be avoided and can not overcome the impact of the objective situati

21、on of the implementation of the contract, as war,serious flood ,snow-storm, typhoon, tunami and earthquake,civil disturbance strike, epidemic disease or other similar events.8.2 遭受不可抗力的一方應在不可抗力發生后的48 小時之內用電話或傳真將此通知給對方，并在不可抗力發生后的7 日內通過郵政快遞將相應文件郵寄給對方。The party influenced by the Force Majeure shall not

22、ify the other party within 48hours after the Force Majeure by telephone or fax and post all the relevant documents to the other party by postal express within 7 working days after the Force Majeure.8.3 遭受不可抗力的一方應該在最短的時間內努力消除不可抗力對履行合同的影響并必須采取措 施最大限度減少對另一方的損失。 The party influenced by the Force Majeure

23、 shall try to terminate or reduce the Force Majeure influence within the shortest time and also take all necessary steps to reduce the other partys loss .8.4 不可抗力的影響消除后雙方應恢復履行本合同，如果不可抗力發生及其影響持續的時間超過90 天，任何一方有權解除本合同而不承擔任何違約賠償責任。After termination of the Force Majeure influence within 90days,the two pa

If the Force Majeure lasts or influence time of Force Majeure lasts over 90 days,either of the two parties is entitled to terminate the contract and be free of responsibility ofbreach of the contract.9 . 責任與罰款Responsibility and Forfeit.違約意味著不能履行合同或者不能完全履行合

25、同，不能履行合同的一方應承擔以下責任：Breach of the contract means complete or partial failure of performing the contract,the partybreaching the contract shall be responsible for the followings:9.1 如果賣方未按本合同規定的日期生產或供貨，或者部分逾期，應按照本合同每日向買方支付未發運貨物價值的0.1 %。的罰款。In case of the sellers failure to manufacture or supply all the

26、 equipment or exceed the time limit,the seller shall pay for 0.1%o of the undelivered equipment value per day.9.2 如果買方未在規定的期限內支付貨款，買方應每天向賣方支付未付款貨物價值的0.1 %。I f the buyer fails to pay for the seller within the time limit,the buyer shall pay for the seller0.1 %oof the unpayed amount per day.9.3 支付罰金并不意

27、味買方/賣方解脫履行本合同的義務。Payment of forfeit does not mean either of the two parties is free of performing the contract.10 . 安裝和調試Installation and Trial Operation.10.1 安裝和正確試機的培訓將由賣方的專家進行。買方應提供安裝調試所必需的機械和工具。賣方專家到達買方工廠的日期由雙方協商。Installation and training on the correct operation shall be carried out by the expe

28、rts from the sellers. The buyer shall provide necessary machines and tools to be used for installation. The arrival date of the experts from the seller shall be discussed by the two parties.10.2 安裝調試本設備技術服務的費用：按照每人每天工作8 小時，買方應支付給賣方技術人員每人每天 60 美金，技術服務費用應在技術人員出發前匯款到賣方公司賬戶。Technical Service Fees on the

29、 Installation Trial Operation: The buyer shall pay for each technician USD $60 per day based on 8 working hours each day. The technical service fees shall be transferred to the Sellers account before the technicians leave the Sellers factory.10.3 買方必須支付并保障賣方人員的如下費用：All the following fees shall be bo

30、rn by the buyer.簽證費、往返機票、住宿、飲食、通訊(買方應提供通訊器材并支付電話和互聯網的費用)，交通、 安裝費、翻譯、 意外保險和安裝調試期間的醫藥費。買方應保證安裝調試期間的技術人員安全。Consulage, round trip air ticket, accommodation, food and beverage, communication ( the buyer shall provide the communication equipment and pay for the fees from the telephone and Internet), trans

31、port ,installation fee,translation fee, accident insurance as well as the possible medical cost. Besides, the buyer shall guarantee safety of the technicians during this period.10.4 買方須在技術人員出發7 日內根據賣方的要求準備三相電源，供水，供氣，空壓機，電焊機，電焊條，吊車，手工工具，氣割工具，其它工具和耗材。Upon the sellers requirements,the buyer shall prepa

32、re water supply,three phrase power supply,air supply,air compressor,welder,hoisting machine manual tools,cutting tools and other tools as well as consumptive materials within 7days before the technicians leave the Sellers factory.買方應為生產線提供足夠的空間。The buyer shall supply sufficient space for the ball mi

33、ll and flotation machine.10.5 完成安裝調試設備后買方應在2 日內簽署安裝調試證書。After installation and trial operation,the buyer shall sign the Installation and Trial Operation Document within two days.- 5 -11 .仲裁和解決爭議 Arbitration and Dispute Resolution.仲裁：因本合同引起的或與本合同有關的任何爭議，均應提交中國國際經濟貿易仲裁委員會(上海分會)，按照該會現行的仲裁規則在該會進行仲裁。仲裁裁決

34、是終局的，對雙方均有約束力。Arbitration : Any dispute arising from or in connection with this contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration (Shanghai), which shall be conducted, by commission in accordance with its existing rules of arbitration.
