1、保密協議 甲方：深圳市XX機械設備有限公司乙 方： 地址：深圳市XX區身份證號： 甲乙雙方根據中華人民共和國反不正當競爭法、中華人民共和國勞動合同法和深圳 市建鴻機械設備有限公司員工手冊以及國家、地方政府有關規定，雙方在遵循平等自愿、協商 一致、誠實信守的原則下，就甲方商業秘密保密事項達成如下協議： （一）保密內容 1、甲方的交易秘密：包括產品產、供、銷渠道，客戶名單，買賣意向，成交或商談的價格，產 品性能、質量、數量、交貨日期； 2、甲方的經營秘密：包括經營方針，投資決策意向，產品服務定價，市場分析，廣告策略； 3、甲方的管理秘密：包括財務資料、人事資料、工資薪酬資料、物流資料； 4、甲方的

2、技術秘密：產品設計、產品圖紙、生產模具、作業藍圖、工程設計圖、生產制造工藝、 制造技術、計算機程序、技術數據、專利技術、科研成果。 （二）保密范圍 1、乙方在勞動合同期前所持有的科研成果和技術秘密， 經雙方協議乙方同意被甲方應用和生產的； 2、乙方在勞動合同期內職務發明、工作成果、科研成果和專利技術； 3、乙方在勞動合同期前甲方已有的商業秘密； 4、乙方在勞動合同期內甲方所擁有的商業秘密。 （三）雙方的權利和義務 1、甲方為乙方提供良好的工作和應用條件，乙方須為甲方創造經濟效益； 2、乙方必須按甲方的要求從事經營、生產項目和科研項目設計與開發，并將生產、經營、設計與 開發的成果、資料交甲方，甲

3、方擁有所有權和處置權； 3、未經甲方書面同意，乙方不得利用甲方的商業秘密進行新產品的設計與開發和撰寫論文向第三 方公布； 4、雙方解除或終止勞動合同后，乙方不得向第三方公開甲方所擁有的未被公眾知悉的商業秘密， 否則甲方將視情節追究乙方經濟法律責任； 5、乙方必須嚴格遵守甲方的保密制度，防止泄露甲方的商業秘密；并保證不直接或間接以抄襲、 或侵害第三人之智慧財產權或營業秘密予甲方；乙方應隨時向甲方說明或補充其創作之智慧財產 權，并為甲方智慧財產權之取得、申請、注冊提供協助。 6、乙方離職應將其所占、使用、監督或管理之智慧財產權或營業秘密暨其有關資料復制物或樣品 全數交還甲方，并接受甲方離職面談；乙

4、方離職后，兩年內應將其創作而與甲方營業有關的任何 智慧財產權，隨時以書面形式完整的向甲方揭露，由甲方確認其智慧財產權的權利所屬。 （四）保密期限 1勞動合同期內； 2、甲方技術未被公眾知悉期內； 3、甲乙雙方解除勞務關系后兩年內。 （五）脫密期限 1因履行勞動合同約定條件發生變化，乙方要求解除勞動合同的必須以書面形式提前30日通知 甲方，提前期即為脫密期限，由甲方采限脫密措施，安排乙方脫離涉密崗位；乙方應完整辦妥涉 秘資料的交接工作； 2勞動合同終止雙方無意續簽的，提出方須以書面形式提前30日通知對方，提前期即為脫密期 限，由甲方采取脫密措施，安排乙方脫離涉密崗位；乙方應該接受甲方的工作安排并

5、完整辦妥涉 密資料的交接工作； 3、勞動合同解除或期滿終止后，乙方必須信守本協議，不損害甲方利益。 （六）違約責任 1在勞動合同期內，乙方違反此協議，雖示造成甲方經濟損失，但給甲方正常生產經營活動帶來 麻煩的，甲方有權調離乙方涉密崗位，并予以行政處分； 2在勞動合同期內，乙方違反此協議，造成甲方輕微經濟損失的，甲方可解除乙方的勞動合同； 3、在勞動合同期內，乙方違反此協議，造成甲方較大經濟損失的，甲方予以乙方除名的行政處罰； 4、在勞動合同期內，乙方違反此協議，造成甲方重大經濟損失的，甲方予以乙方除名的行政處罰， 并追加經濟損失賠償，構成犯罪的，上訴人民法院，依法追究乙方刑事責任。 5、 甲乙
