1、合同翻譯（二） 涉外經貿合同的翻譯步驟 因英文合同涉及締約當事人的權利、義務關系，其一旦生 效便具有法律約束力，任何違背合同約定的行為，都應承 擔相應的責任。 在翻譯的過程中，我們必須忠于原文，不得做與原文有出 入的翻譯，若有不慎，就會帶來難以預估的法律責任。 1、分析 通讀全文并研究其結構，做到全面理解、掌握內涵，并從 宏觀上了解合同原文的總體精神和篇章結構。 要充分理解合同文本的第一步就是要對合同的體裁和種類 進行分類。不同的體裁和種類的合同有不同的章法可循。 英文合同種類繁多， 只有了解合同種類、 吃透條款的內涵， 才能保證譯文的質量。 2、理解 翻譯前要讀懂原文。合同文件十分枯燥、乏味

2、，句子長、 術語多，理解上頗費功夫。所以耐心讀懂合同原文至關重 要。 理解合同文件中的規約用語。 here: hereafter, hereby, herein, hereof, hereto, hereunder, hereupon, herewith, hereinbefore, hereinafter; there: thereafter, thereby, therein, thereinafter, thereon, thereof. 這些詞匯的共同特點是使文體更具莊重感， 同時意義確定， 能將復雜的含義集中到一個簡潔的表達里，在合同文件中 使用這些詞，可以避免重復、誤解和歧義，使行

3、文莊重嚴 謹。 理清合同文件中的句子結構 合同類法律文件的起草者為了使行文完整嚴密，不造成曲 解、誤解，往往選擇使用結構復雜的長句，句序變化大， 從句的插入手法多，經常使用被動語態和否定提前等。 在翻譯時，一定要理順句子之間的邏輯結構，注意行文的 條理性及嚴謹性。 3. 表達 在分析和理解的基礎上， 要用目的語將原文內容表達出來 譯者對原文的理解程度、翻譯技巧、翻譯手法和風格等都 決定著翻譯的質量。 在合同翻譯中絕不能提筆就譯，草率行事。詞語是構成合 同文本的基本單位，是翻譯合同文件的基礎。所以選詞是 關鍵。 4. 校正 校正是翻譯活動的最后一關。 在準確表達的前提下，力求使譯文的格式和文體符

5、雙方的權利和義務，合同中往往使用法 律類的專業術語。 商務合同種類 商品交易（貨物買賣、設備進出口、包銷、代理、寄售、 易貨、補償貿易等） 勞務服務（工程承包、工程合作、勞務合作、來料加工、 承攬、加工裝配等） 科研（技術開發、 技術合作、 技術引進與輸出、 技術轉讓、 技術許可實施） 投資（合資經營企業、合作經營企業、合作生產、商標使 用許可） 資金融通 （商業信用貸款、 銀行信用貸款、 補償貿易貸款、 技術引進貸款、設備進口貸款、工程項目貸款、開發基金 貸款、協議基金貸款、專項貸款） 其他：保證、保險、 委托、 租賃、職工勞動、培訓、 廣告、 仲裁、經營管理。 2、用語正式規范 國際貿易合

6、同屬于法律文體， 是規范程度較高的一種文體， 其用語保守，經常使用正式程度很高的書面語言，以體現 合同的正規、莊重和嚴肅。 例：要約可以撤回，撤回要約的通知應當在要約到達受要 約人之前或者與要約同時到達受要約人。 The offer may be withdrawn, if, before or at the same time when an offer arrives, the withdrawal notice reaches the offeree. 例： The Appendix hereto shall, through the contract period, be deemed
