2025購銷合同范本英文2025SalesandPurchaseContractTemplate(English)ContractNo.:PlaceofExecution:DateofExecution:EffectiveDate:Term:ThisSalesandPurchaseContract("Contract")isenteredintoonthisdayof,2025,byandbetween:Vendor(Seller):Name:Address:City,State,ZIPCode:ContactInformation:Purchaser(Buyer):Name:Address:City,State,ZIPCode:ContactInformation:RECITALSWHEREAS,theVendorisengagedinthebusinessofmanufacturing/supplyingcertaingoods(hereinafterreferredtoasthe"Goods");andWHEREAS,thePurchaserdesirestopurchasetheGoodsfromtheVendorunderthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.GoodsandSpecifications1.1TheVendoragreestosellanddeliver,andthePurchaseragreestopurchase,thefollowingGoods:DescriptionofGoods:Quantity:Unit:Total:1.2TheGoodsshallconformtothespecifications,quality,andstandardsagreeduponbythe雙方inwriting,includingbutnotlimitedtothesamples,blueprints,andtechnicaldocumentsprovidedbytheVendor(hereinafterreferredtoasthe"Specifications").1.3TheVendorshallensurethattheGoodsarefreefromdefectsinmaterialandworkmanshipandareincompliancewithallapplicablelaws,regulations,andstandards.2.Delivery2.1TheVendorshalldelivertheGoodstotheaddressspecifiedbythePurchaser:DeliveryAddress:DeliveryDate:2.2Timeisoftheessenceinrespectofdelivery.AnydelayindeliveryshallbesubjecttotheprovisionsofthisContract.2.3TheVendorshallprovidethePurchaserwithwrittennoticeoftheestimateddateofshipment,includingthecarrier'strackinginformation,ifapplicable.2.4TheriskoflossordamagetotheGoodsshallpasstothePurchaserupondeliverytothedeliveryaddressspecifiedinthisContract.3.PaymentTerms3.1ThetotalpricefortheGoods(hereinafterreferredtoasthe"Price")is:3.2ThePurchasershallpaytheVendorinthefollowingmanner:PaymentMethod:Currency:3.3ThePurchasershallpaytheVendor:[]50%ofthePriceuponsigningthisContract(hereinafterreferredtoasthe"DownPayment");[]50%ofthePriceupondeliveryoftheGoods(hereinafterreferredtoasthe"FinalPayment");3.4Allpaymentsshallbemadewithindaysoftheinvoicedate.Latepaymentsshallincuralatefeeofperday,calculatedontheunpaidamount.3.5TheVendorshallissueinvoicestothePurchaserforeachshipmentofGoods,detailingthequantity,description,andPriceoftheGoods.4.ResponsibilitiesandObligationsoftheParties4.1Vendor'sObligations:a.TheVendorshalldelivertheGoodsinaccordancewiththetermsofthisContract.b.TheVendorshallensurethattheGoodsareproperlypackagedtopreventdamageduringtransportation.c.TheVendorshallmaintainallrelevantdocumentation,includingbutnotlimitedtocertificatesoforigin,invoices,andtestreports,andprovidecopiesthereoftothePurchaseruponrequest.d.TheVendorshallcomplywithallapplicablelaws,regulations,andstandardsinthemanufacturing,sale,anddeliveryoftheGoods.4.2Purchaser'sObligations:a.ThePurchasershallpaythePriceinfullandontimeasspecifiedinthisContract.b.ThePurchasershallprovidetheVendorwithaccurateandtimelyinformationregardingtheGoods,includinganyspecificrequirementsorinstructions.c.ThePurchasershallinspecttheGoodsupondeliveryandnotifytheVendorofanydiscrepanciesordefectswithindaysofdelivery.5.AcceptanceandInspection5.1ThePurchasershallinspecttheGoodsupondelivery.IftheGoodsdonotconformtotheSpecifications,thePurchasershallnotifytheVendorinwritingwithindaysofdelivery.5.2TheVendorshallhavetherighttoinspecttheGoodsandmakenecessarycorrectionsorreplacementsfreeofchargeiftheGoodsfailtomeettheSpecificationsduetodefectsinmaterialorworkmanship.5.3IfthePurchaserfailstonotifytheVendorofanydefectswithinthespecifiedtimeframe,theGoodsshallbedeemedtobeacceptedbythePurchaser.6.Warranty6.1TheVendorwarrantsthattheGoodsdeliveredunderthisContractarefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery(hereinafterreferredtoasthe"WarrantyPeriod").6.2DuringtheWarrantyPeriod,iftheGoodsarefoundtobedefective,theVendorshall,atitsoption,repair,replace,orrefundthePriceofthedefectiveGoodsatnoadditionalcosttothePurchaser.6.3TheVendor'sobligationsunderthisWarrantyaresubjecttothePurchaserhavingcompliedwiththetermsandconditionsofthisContract,includingbutnotlimitedtoproperstorageanduseoftheGoods.7.LiabilityandIndemnification7.1TheVendorshallindemnifyandholdthePurchaserharmlessfromanyandallclaims,damages,liabilities,costs,andexpenses(includingbutnotlimitedtolegalfees)arisingoutoforresultingfromanydefectintheGoodscausedbytheVendor'snegligenceorbreachofthisContract.7.2ThePurchasershallindemnifyandholdtheVendorharmlessfromanyandallclaims,damages,liabilities,costs,andexpenses(includingbutnotlimitedtolegalfees)arisingoutoforresultingfromanymisuse,alteration,ormodificationoftheGoodsbythePurchaseroritsagents,employees,orthirdparties.8.ForceMajeure8.1NeitherpartyshallbeliableforanyfailureordelayinperformanceofitsobligationsunderthisContracttotheextentsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,actsofterrorism,strikes,andgovernmentactions(hereinafterreferredtoas"ForceMajeure").8.2UpontheoccurrenceofaForceMajeureevent,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandmakereasonableeffortstomitigatetheeffectsoftheevent.8.3IftheForceMajeureeventcontinuesforaperiodofdays,eitherpartymayterminatethisContractbywrittennoticetotheotherpartywithoutanyliabilityfordamages.9.DisputeResolution9.1AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifnegotiationsfail,thedisputesshallbesubmittedtoarbitrationinaccordancewiththerulesoftheArbitrationAssociation.9.2Thearbitrationshalltakeplacein,andtheawardshallbefinalandbindingonbothparties.9.3Thepartiesagreetomaintaintheconfidentialityofthearbitrationproceedingsandanyinformationexchangedduringsuchproceedings.10.GoverningLaw10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdiction,withoutregardtoitsconflictoflawsprinciples.11.Miscellaneous11.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.11.2Amendments:AnyamendmentsormodificationstothisContractmustbemadeinwritingandsignedbybothparties.11.3Severability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.11.4Counterparts:ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.11.5Notices:Allnotices,re
