1.TransferofRights
1.1PartyAherebytransfers,assigns,andconveystoPartyBallrights,title,andinterestinandtothePatentedTechnology,including,butnotlimitedto,theexclusiverightstomake,use,sell,offerforsale,import,andexportthePatentedTechnology.
1.2PartyBshallhavetherighttouse,develop,andcommercializethePatentedTechnologywithoutinterferencefromPartyA.
2.Payment
2.1PartyBshallpaytoPartyAatotalconsiderationof[Amount][Currency],whichshallbepaidin[Number]installmentsof[Amount][Currency]each,withthefirstinstallmentdueonthedateofthisAgreement.
2.2Thepaymenttermsandconditionsshallbeasfollows:
a.Thefirstinstallmentshallbepaidwithin[Number]daysfromthedateofthisAgreement.
b.Subsequentinstallmentsshallbepaidonthesamedateofeachmonth,startingfromthefirstmonthfollowingthepaymentofthefirstinstallment.
c.FailuretomakeanypaymentontheduedateshallconstituteabreachofthisAgreement,andPartyBshallbeliableforinterestontheoverdueamountattherateof[Percentage]perannum.
3.Confidentiality
3.1Thepartiesagreetokeepconfidentialanyandallinformationdisclosedbyeitherpartytotheother,including,butnotlimitedto,technical,commercial,andfinancialinformation.
3.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.
4.WarrantiesandRepresentations
4.1PartyAwarrantsandrepresentsthatitisthelawfulownerofthePatentedTechnologyandhasthefullpowerandauthoritytoenterintothisAgreementandtransfertherights,title,andinterestinandtothePatentedTechnology.
4.2PartyAwarrantsandrepresentsthatthePatentedTechnologydoesnotinfringeanythird-partyintellectualpropertyrights.
5.Indemnification
5.1PartyAshallindemnify,defend,andholdharmlessPartyBagainstanyandallclaims,actions,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththePatentedTechnology,including,butnotlimitedto,infringementofintellectualpropertyrights.
5.2PartyBshallindemnify,defend,andholdharmlessPartyAagainstanyandallclaims,actions,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeuse,development,andcommercializationofthePatentedTechnologybyPartyB.
6.GoverningLawandJurisdiction
6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
6.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
7.EntireAgreement
ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

5.LimitationsandRestrictionsonPartyB

5.2PartyBshallnotusethePatentedTechnologyinanymannerthatcoulddamagethereputationorgoodwillofPartyAorthePatentedTechnology.
