1.Introduction

ThisSalesContract(the"Contract")ismadeandenteredintobyandbetweentheSellerandtheBuyerasofthedateofsigningabove.TheSelleragreestosellandtheBuyeragreestobuythegoodsdescribedhereinsubjecttothetermsandconditionshereinaftersetforth.

2.GoodsandDescription

3.PriceandPayment

5.Packaging

TheSellershallpackthegoodsinamannersuitableforlongdistancetransportationandprotectionduringtransit,takingintoaccountthenature,characteristics,andquantityofthegoods.Thepackagingshallbemarkedwiththefollowinginformation:

6.InspectionandAcceptance

6.1InspectionbytheBuyer

Uponreceiptofthegoods,theBuyershallhavetherighttoinspectthegoodswithin[InspectionPeriod]days.TheBuyershallconductaprehensiveinspectionofthegoodsinaccordancewiththeagreedspecificationsandstandards.

6.2NoticeofDefects

IftheBuyerdiscoversanydefectsornonconformitiesinthegoodsduringtheinspectionperiod,theBuyershallnotifytheSellerinwritingwithin[NoticePeriod]daysafterthediscovery.Thenoticeshallspecifythedetailsofthedefectsornonconformities,includingthequantity,nature,andlocationoftheproblems.

6.3Seller'sResponse

UponreceiptofthenoticefromtheBuyer,theSellershallpromptlyinvestigatethematterand,ifnecessary,arrangeforthereplacement,repair,oradjustmentofthedefectivegoodsattheSeller'sexpensewithin[ResponsePeriod]days.TheSellershallbearallcostsassociatedwiththeinvestigation,replacement,repair,oradjustment,includingtransportationcoststoandfromtheBuyer'slocation.

6.4Acceptance

If,afterinspectionandresolutionofanyissues,thegoodsmeettheagreedspecificationsandstandards,theBuyershallissueawrittenacceptancenoticetotheSeller.TheacceptanceofthegoodsshallnotrelievetheSellerofitsliabilityforanylatentdefectsorotherqualityissuesthatmayariseaftertheacceptance.

7.Warranty

7.1WarrantyPeriod

TheSellerwarrantsthatthegoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]monthsfromthedateofdeliverytotheBuyer.

7.2WarrantyObligations

Duringthewarrantyperiod,ifthegoodsarefoundtohavedefectsduetofaultymaterialsorworkmanship,theSellershall,atitsoption,repair,replace,orrefundthepurchasepriceofthedefectivegoods,subjecttothefollowingconditions:

TheBuyershallprovidetheSellerwithwrittennoticeofthedefectwithinthewarrantyperiod.

TheSellershallhavetherighttoinspectthedefectivegoodstodeterminethecauseofthedefect.

TheSellershallbearallcostsassociatedwiththerepair,replacement,orrefund,includingtransportationcoststoandfromtheBuyer'slocation.

7.3ExclusionsfromWarranty

Thewarrantydoesnotcoverthefollowing:

Normalwearandtear.

Damagecausedbyimproperuse,misuse,abuse,orunauthorizedmodificationofthegoods.

Damagecausedbyexternalfactorssuchasaccidents,naturaldisasters,orimproperstorage.

DamageresultingfromtheuseofthegoodsinbinationwithotherproductsorsystemsnotapprovedbytheSeller.

8.IntellectualPropertyRights

TheSellerrepresentsandwarrantsthatthegoodssoldunderthisContractdonotinfringeanythirdpartyintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.TheSellershallindemnifyandholdtheBuyerharmlessfromanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanyallegedinfringementofintellectualpropertyrightsrelatedtothegoods.

9.Confidentiality

9.1ConfidentialInformation

EachpartyacknowledgesthatinthecourseofperformingthisContract,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,productdesigns,customerlists,andpricinginformation.

9.2ObligationofConfidentiality

Eachpartyshallkeepconfidentialallsuchconfidentialinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaworcourtorder.Eachpartyshalltakeallreasonablemeasurestoprotecttheconfidentialityoftheotherparty'sconfidentialinformation,includingimplementingsecurityproceduresandtrainingitsemployees.

9.3TerminationofConfidentiality

TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContractforaperiodof[ConfidentialityPeriod]years.

10.ForceMajeure

10.1DefinitionofForceMajeure

"ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofapartyandthatpreventssuchpartyfromperformingitsobligationsunderthisContract,includingbutnotlimitedtonaturaldisasters,actsofGod,war,civilunrest,strikes,lockouts,governmentregulations,andanyothersimilareventorcircumstance.

10.2NoticeofForceMajeure

IfapartyisaffectedbyForceMajeureandisunabletoperformitsobligationsunderthisContract,itshallnotifytheotherpartyinwritingassoonaspossible,providingdetailsoftheForceMajeureeventandtheexpecteddurationofitsimpact.

10.3ConsequencesofForceMajeure

IntheeventofForceMajeure,theaffectedpartyshallbeexcusedfromperformanceofitsobligationstotheextentandforthedurationoftheForceMajeureevent.However,theaffectedpartyshalluseitsbesteffortstominimizetheimpactoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonaspossible.

11.LiabilityandIndemnification

11.1Liability

TheSellershallbeliableforanyloss,damage,orinjurycausedbythegoodssoldunderthisContractduetotheSeller'snegligence,breachofwarranty,orotherfault.TheBuyershallbeliableforanyloss,damage,orinjurycausedbytheBuyer'simproperuse,misuse,orabuseofthegoods.

11.2Indemnification

Eachpartyshallindemnifyandholdtheotherpartyharmlessfromanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththisContract,excepttotheextentcausedbythenegligenceorwillfulmisconductoftheindemnifiedparty.

12.Termination

12.1TerminationbyAgreement

ThisContractmaybeterminatedbymutualwrittenagreementoftheparties.

12.2TerminationforBreach

IfeitherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[CurePeriod]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyshallhavetherighttoterminatethisContractbywrittennoticetothebreachingparty.

12.3ConsequencesofTermination

UponterminationofthisContract,thepartiesshallsettlealloutstandingobligationsandaccounts,andeachpartyshallreturntotheotherpartyanypropertyorassetsreceivedunderthisContractthatareinitspossession.

13.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
