ThequalityofthegoodsshallbeinconformitywiththespecificationsandstandardssetforthinthisContract.TheBuyershallhavetherighttoinspectthegoodsbeforeshipment,andtheinspectionfeeshallbebornebytheSeller.
**7.FORCEMAJEURE**
Intheeventofanyforcemajeurecausebeyondthecontrolofeitherparty,includingbutnotlimitedtowar,naturaldisasters,fires,floods,strikes,governmentregulations,etc.,theaffectedpartyshallnotifytheotherpartyinwritingimmediatelyandshallendeavortominimizethelosses.ThedeliverydatemaybereasonablyextendedortheContractmaybeterminatedinaccordancewiththeprovisionsofthisContract.
**8.DISPUTESETTLEMENT**
AlldisputesarisingfromorinconnectionwiththisContractshallbeamicablysettledthroughfriendlynegotiationbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothearbitrationoftheInternationalChamberofCommerce(ICC)inaccordancewithitsarbitrationrules.

**10.GENERALPROVISIONS**

ThePrincipalBuyershallhavethefollowingrightsandobligations:
a.ToreceivethegoodsinaccordancewiththespecificationsandquantitiessetforthinthisContract.
b.Toinspectthegoodsbeforeshipmentandtorejectanygoodsthatdonotmeettherequiredqualitystandards.
c.ToreceiveassistancefromtheThirdPartyIntermediaryinresolvinganydisputeswiththeSeller.
d.TobeindemnifiedbytheSellerintheeventofanybreachofthisContractbytheSeller.
**6.RIGHTSANDOBLIGATIONSOFTHESELLER**
TheSellershallhavethefollowingrightsandobligations:
a.TodeliverthegoodsinaccordancewiththespecificationsandquantitiessetforthinthisContract.
b.ToprovidethePrincipalBuyerwithacleanbillofladinguponshipmentofthegoods.
c.TobeindemnifiedbythePrincipalBuyerintheeventofanybreachofthisContractbythePrincipalBuyer.
d.ToreceivepaymentforthegoodsinaccordancewiththetermsandconditionsofthisContract.
**7.RIGHTSANDOBLIGATIONSOFTHETHIRDPARTYINTERMEDIARY**
TheThirdPartyIntermediaryshallhavethefollowingrightsandobligations:
a.Toreceiveacommissionforfacilitatingthetransaction,asagreeduponbetweentheSellerandthePrincipalBuyer.
b.ToactingoodfaithandinthebestinterestsofboththeSellerandthePrincipalBuyer.
c.Toprovideapromptandefficientservicetobothparties.
d.Tomaintainconfidentialityregardinganyinformationobtainedduringthecourseofthistransaction.
**8.CONSEQUENTIALRIGHTSANDOBLIGATIONS**
ThePrincipalBuyershallhavethefollowingadditionalrightsandobligations:
a.ToclaimdamagesfromtheSellerintheeventofabreachofthisContractthatcausesthePrincipalBuyertosufferaloss.
b.ToterminatethisContractintheeventofafundamentalbreachbytheSeller,afterprovidingwrittennoticetotheSeller.
**9.LIMITATIONSONLIABILITYOFTHESELLER**
TheSeller'sliabilityunderthisContractshallbelimitedtothereplacementorrepairofthenon-conforminggoodsortherefundofthepurchasepricepaidbythePrincipalBuyer.
**10.LIMITATIONSONLIABILITYOFTHETHIRDPARTYINTERMEDIARY**
TheThirdPartyIntermediaryshallnotbeliableforanylossordamagesufferedbyeithertheSellerorthePrincipalBuyerasaresultofanyactionorinactiononitspart,exceptinthecaseofgrossnegligenceorwillfulmisconduct.
**11.DISPUTESETTLEMENT**
AlldisputesarisingfromorinconnectionwiththisContractshallbeamicablysettledthroughfriendlynegotiationbetweentheparties.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothearbitrationoftheInternationalChamberofCommerce(ICC)inaccordancewithitsarbitrationrules.

**13.THIRDPARTYINTERVENTIONMEANINGANDPURPOSE**
TheinterventionoftheThirdPartyIntermediaryservestofacilitatethetransactionbyprovidinganeutralpartytoassistincommunication,negotiation,anddisputeresolution.ThishelpstoensurethattheinterestsofboththeSellerandthePrincipalBuyerareprotectedandthatthetransactionproceedssmoothly.
**14.PRINCIPALBUYERDOMINANCEANDMEANING**
ThePrincipalBuyer'srightsandobligationsareprioritizedinthisContracttoensurethatitsinterestsareadequatelyprotected.ThePrincipalBuyer'sabilitytoinspectgoods,claimdamages,andterminatetheContractintheeventofabreacharekeyelementsthatcontributetothePrincipalBuyer'sdominanceinthistransaction.

ThePrincipalSeller'sliabilityunderthisContractshallbelimitedtothereplacementorrepairofthenon-conforminggoodsortherefundofthepurchasepricepaidbytheBuyer.
**9.LIMITATIONSONLIABILITYOFTHETHIRDPARTYINTERMEDIARY**
TheThirdPartyIntermediaryshallnotbeliableforanylossordamagesufferedbyeitherthePrincipalSellerortheBuyerasaresultofanyact
