冷庫食品買賣合同合同編號：__________partiesthiscontract(hereinafterreferredtoasthe"contract")isenteredintoandbetweenthefollowingparties:partya(hereinafterreferredtoasthe"seller"):name:____________________address:____________________contactperson:____________________telephonenumber:____________________partyb(hereinafterreferredtoasthe"buyer"):name:____________________address:____________________contactperson:____________________telephonenumber:____________________subjectmatterwhereas,thesellerisengagedinthebusinessofsellingfrozenfoodproducts(hereinafterreferredtoasthe"products");whereas,thebuyerdesirestopurchasetheproductsfromtheseller;now,therefore,thepartiesheretoagreeasfollows:article1:products1.1theproductscoveredthiscontractshallincludethefollowing:(listofproducts,specifications,quantitiesandotherrelevantinformation)1.2thesellershallprovidethebuyerwithadetailedlistoftheproductstobedelivered,includingspecifications,quantitiesandotherrelevantinformation,atleast7daysbeforethedeliverydate.article2:priceandpaymentterms2.1thebuyershallpaythesellerthetotalpurchasepricefortheproductsassetforthinthedetailedlistprovidedthesellerinaccordancewiththepricelistoftheseller.2.2thebuyershallmakethepaymentwithin30daysafterthedateoftheinvoiceissuedtheseller.2.3thepaymentshallbemadebanktransfertotheaccountdesignatedtheseller.article3:deliveryandacceptance3.1thesellershalldelivertheproductstothebuyer'sdesignatedlocation(hereinafterreferredtoasthe"deliverylocation")onorbeforethedeliverydate.3.2thebuyershallinspecttheproductsupondeliveryandsignthedeliverynote.iftheproductsdonotconformtotheagreedspecifications,quantitiesorquality,thebuyershallpromptlynotifythesellerinwriting.3.3thesellershallnotbeliableforanydelaysindeliveryornondeliveryduetoforcemajeureorcausesbeyondtheseller'sreasonablecontrol.article4:warranty4.1thesellerwarrantsthattheproductsconformtotheagreedspecifications,quantitiesandquality.4.2iftheproductsdonotconformtotheagreedspecifications,quantitiesorquality,thesellershall,atitsoption,eitherreplacethenonconformingproductsorrefundthepurchasepriceforthenonconformingproducts.article5:breachofcontract5.1ifeitherpartybreachesanyprovisionofthiscontract,theotherpartymaysuefordamagesand/orterminatethiscontract.5.2thesellershallbeliableforanylossordamagesufferedthebuyerduetotheseller'sbreachofthiscontract.article6:confidentiality6.1thepartiesagreetokeepconfidentialallinformationexchangedbetweentheminconnectionwiththiscontract,exceptforinformationthatispubliclyavailableorrequiredtobedisclosedlaw.6.2thepartiesagreethattheconfidentialinformationshallnotbeusedforanypurposeotherthantheperformanceofthiscontract.article7:termination7.1eitherpartymayterminatethiscontractgivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthiscontractandfailstocuresuchbreachwithin30daysafterreceiptofwrittennoticefromtheterminatingparty.7.2thiscontractmayalsobeterminatedmutualagreementoftheparties.article8:disputeresolution8.2thearbitrationshallbeheldinthecitywherethesellerislocated.article9:miscellaneous9.1thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.9.2thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.9.3ifanyprovisionofthiscontractisheldtobeinvalidorunenforceable,suchprovisionshallbeconstruedascloselyaspossibletoreflecttheoriginalintentoftheparties,andtheotherprovisionsofthiscontractshallremaininfullforceandeffect.9.4thiscontractshallbegovernedandconstruedinaccordancewiththelawsofthecountrywherethesellerislocated.inwitnesswhereof,thepartieshave一、附件列表：詳細產品清單規格說明書質量檢驗報告付款證明文件交付憑證二、違約行為及認定：賣方未能按時交付產品賣方交付的產品不符合約定規格、數量或質量買方未能按時支付款項任何一方未履行合同中的保密義務任何一方違反合同條款，經催告后在合理期限內仍未糾正三、法律名詞及解釋：賣方：指承擔銷售產品義務的一方買方：指承擔購買產品義務的一方違約：指未履行合同約定的義務forcemajeure：指無法預見、無法避免且無法克服的不可抗力事件仲裁：指通過第三方仲裁機構解決合同爭議
