4.甲方如因業務拓展變化需要對乙方的工作崗位及工作區域進行調整，乙方應當接受。如因甲方公司業務擴展需要或公司合并分立等變更，乙方同意按照法律規定延續此合同，并接受甲方安排，在____(某地區)工作。

三、工資Salary

乙方每月的基本工資：RMB績效工資：RMB綜合福利金：RMB，工資總額為RMB元(該金額尚未扣除稅金、住房費用以及社會保險中個人應繳的部份)，另甲方予以乙方工資總額7%的住房公積金(如法律規定住房公積金繳交基數有上限，則依照法規執行)。試用期滿，經考核后,根據考核結果確定是否正式錄用，正式錄用后薪金保持不變。甲方將視公司的盈利情況和乙方的考核結果，于每年的三月份進行薪金調整。

四、工資的發放Payment

五、超時工作OverTime

乙方應致力于提高工作效率，按時完成生產、工作任務。如因特殊情況需要加班，可自行安排。如乙方希望通過自行安排加班取得加班費，則乙方必須在加班前四小時填寫加班申請表呈總經理審批。否則，視為無效加班，詳見《員工手冊》。

PartyBmusttryhisbesttoincreasetheworkingefficiencytomeetPartyA'srequirement.IftherearespecialcircumstancesthatPartyBhastoworkovertime,PartyBcanarrangebythemselves.IfPartyBrequestsOTpayment,he/shemustfillintheOTapplicationformandhaveitapprovedbyGM.OTApplicationFormwithoutauthorizedsignatureisnotvalid.

六、加班費OTCompensation

乙方經甲方批準在工作日加班，甲方必須支付給乙方基本工資150%的報酬;休息日被安排工作而甲方又不能夠給予乙方同等時間的補休，則甲方須支付給乙方基本工資200%的報酬;若在國家法定休假日被安排工作,甲方付給乙方基本工資300%的報酬。

七、假期與福利Holiday&Benefits

3.有薪年假Annualleavewithpay

4.社會保險SocialInsurance

5.年度獎金Annualbonus(basedonthemonthsworkedwithpartyAattherateofonemonth’swageforeachfullyearworked.)

八、勞動紀律Discipline

乙方應嚴格遵守甲方制定的各項規章制度和勞動紀律(詳請請參照《員工手冊》執行)

PartyBshallstrictlyobeyPartyA’regulationsanddiscipline.PleaserefertoPartyA'semployeemanual.

九、保密協議Confidentiality

乙方需嚴格保守工作過程中接觸和了解到的公司商業秘密(包括生產技巧、工藝流程、技術秘密、管理方法、產銷策略、貨源情報、設計圖紙、成本價格和客戶資料)，否則將受到行政處罰(如無條件解雇、賠償等);觸犯刑法的，甲方將有權移交司法機關處理。乙方調離甲方，應得到甲方同意，并將所有商業秘密資料移交甲方，同時承擔不向外泄露的義務，并保證半年內不得利用甲方商業秘密在生產同類且與甲方有競爭關系的產品的其他企業內任職。否則，甲方有權要求乙方賠償因此而帶來的一切經濟損失。

十、合同終止Termination

1.終止本合同條件Terminationconditions

A.試用期間，雙方皆可即時通知對方解除本合同;

Duringtheprobationperiod,eithersidecanterminatethecontractbyimmediateeffect.

B.試用期滿后，任何一方欲解除合同，須提前三十日以書面形式通知對方。否則，違約方須向守約方支付違約金(違約金為乙方一個月的工資)，若造成守約方經濟損失的，應依法承擔賠償責任。

2.甲方在下列情況下可隨時直接地通知乙方解除本合同，無須履行任何法定義務和手續，無須向乙方補償Ifanycaseofthefollowingcircumstances,PartyAhastherighttoinformPartyBrescissionofthecontract：

A.乙方在試用期間達不到甲方的要求;PartyB’sperformancecan’tmeetPartyA’srequirement.

B.乙方嚴重失職，給甲方利益造成重大損失的;

3.乙方在下列情況下終止本合同不需向甲方補償

Ifanyoneofthefollowingcircumstances,PartyBhastherightofinformPartyArescissionofthecontractwithoutanycompensation：

A.被非法限制人身自由的手段強迫勞動的;

PartyBisforcedtoworkbyillegalmeans.

B.未按本合同約定支付勞動報酬或勞動條件的;

PartyBcannotgetthesalaryorworkingconditionswhichagreedinthecontract.

十一、甲、乙雙方須共同遵守國家有關法規以及甲方《員工手冊》的有關規定。

十二、本合同自甲方蓋章、乙方簽署之日起生效。

Article2BothParties'ResponsibilityandLiability

ClientshallfurnishtoConsultantthepertinentdata,technicalservicereports,mapsandinformationavailabletohimandshallgiveConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime.

ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermits,andotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccesstotheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant.

Consultantshallfurnishasufficientnumberofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultant'sresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultant'spersonnelarisingoutofanyactsbyConsultantoritspersonnelinconnectionwiththeworkperformedhereunder.

ConsultantshallprovideClientwithallthetechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeSchedulefortheServices.

ConsultantshallassistClient‘spersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplyClient’spersonnelwithofficespaceandnecessaryfacilitiesaswellastransportation.

ConsultantshallberesponsibleforandshallindemnifyClientandhisemployeeinrespectofinjurytopersonordamagetopropertyoccurringinconnectionwiththeservices,totheextentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultant'spersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract.

AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle.

Article3PriceandPayment

ThetotalcontractpriceshallincludealltheserviceandtechnologyprovidedbyConsultant.Thetotalcontractpriceshallbefirmandfixedandshallnotfluctuatewithanyinflation.ThetotalcontractpriceshallincludeallchargesandexpensesincurredbyConsultantinperforminghisobligationsbothinhisowncountryandinthePeople'sRepublicofChinaandincludestheexpensesincurredinsendingtheTechnicalDocumentationtoClient'sofficebyallkindsofforms.

IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServices,thepartiesshallfriendlydiscussanamendmenttothetotalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract.

Article4DeliverySchedule

ConsultantshallinformClientbyfaxwhentheTechnicalservicereportsareairmailedtoClientindicatingthedateandnumberofairwaybill.ClientshallinformConsultantwhentheTechnicalservicereportshavebeenreceived.

Shouldanydocumentbemissingordamagedduringthetransport,Consultantshallbenotifiedaccordinglyandwithintwo(2)weeksthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge.

Article5Confidentiality

Alldataassembled,developed,compiled,reproduced,studied,andpreparedinconnectionwiththeworkdonehereunderandfurnishedtoConsultantbyClientshallbeconsideredconfidentialandshallnotbedivulgedtoanyperson,firmorcorporationotherthanClientoritsdesignatedrepresentatives.ThisClauseshallremainbindingonConsultantnotwithstandingtheterminationoftheContractforanyreason.

WithinthevalidityperiodofContract,bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.

Eitherpartyshallbeobligedtokeepconfidentialanysecretinformationoftheotherparty,whicheitherpartyanditspersonnelmayobtainorbeaccessibletointhecourseoftheperformanceofContract.Eitherpartyshallnotmakeuseofordisclosesuchsecretinformationobtainedfromtheotherpartywithoutpriorwrittenpermissionissuedbytheotherparty.

Article6TaxesandDuties

AlltaxesanddutiesinconnectionwithandintheexecutionofContractleviedbytheChinesegovernmentonClientinaccordancewiththetaxlawsofPRCshallbebornebyClient.

AlltaxesanddutiesleviedbytheChinesegovernmentonConsultant,inconnectionwithandintheexecutionofContract,accordingtoChinesetaxlawsandtheagreementbetweenthegovernmentofPRCandthegovernmentofConsultant'scountryforthereciprocalavoidanceofdoubletaxationandthepreventionoffiscalevasionwithrespecttotaxesonincomeshallbebornebyConsultant.

Clientislegallyobligedtowithhold,asawithholdingagent,theamountoftaxesprorataeachtaxablepaymentunderContractandpaythemtotherelevantChinesetaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay.

AlltaxesanddutiesarisingoutsidePRCinconnectionwithandintheexecutionofContractshallbebornebyConsultant.

Article7Warranty

ConsultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesinasatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbycompetentpersonnelinaccordancewithacceptedstandards.

IntheeventofafailureofConsultanttoprovideClientwithsatisfactoryserviceswithinthescopeofworkdescribedinAppendix1atanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeaffordedaperiodof_____daystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClientfailtocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaccordancewiththeScopeofworkdescribedinAppendix1.

TheConsultant‘sguaranteeliabilityshallexpire_____monthsafteritsconsultancyserviceisfinallyinspectedandacceptedbyClient,orafterfinalpaymentismade.

Article8OwnershipofTechnicalServiceReports

FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialcompiledinperformingtheScopeofServices,shallbethepropertyofClient.SuchmaterialsshallbesortedandindexedbyConsultantpriortotransmissiontoClient.

Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinArticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisProjectwithoutthepriorwrittenapprovalofClient.

Article9Assignment

NeitherClientnorConsultantshallassignorsublettheirrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty.

Article10Termination

If,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaccordingtothedeliveryschedulesasstipulatedinArticle4oftheContract,ConsultantshallbeobligedtopaytoClientpenaltyforsuchdelayindeliveryatthefollowingrates:

A.______percent(____%)ofthetotalcontractpriceperweekforthefirstfourweeks;

B._____percent(____%)ofthetotalcontractpriceperweekfromthefifthweektotheeighthweek;

C.______percent(____%)ofthetotalcontractpriceperweekfromtheninthweekofdelay.

Odddayslessthanone(1)weekshallbecountedasone(1)weekforcalculatingtheliquidateddamage.

A.Failstodeliveranyoralloftechnicalservicereportswithin______(____)daysafterthescheduleddeliverydateasspecifiedinArticle4;or

B.FailstomakethetechnicalservicereportsmeettheminimumlevelofAcceptanceStandardsasspecifiedinAppendix1.

ConsultantshallrefundtoClientallthepaymentseffectedbyClienttoConsultantplusaninterestattherateof______percent(____%)perannumincaseofsuchatermination.

Eitherpartymay,withoutprejudicetoanyotherremedy,terminateContractinwholeorinpartbyawrittennoticesendtotheotherparty,iftheotherparty.

B.FailstoperformanyotherobligationsunderContractexceptminorpartsthereof,anddoesnotremedyforitsfailurewithinaperiodof______(____)daysuponreceiptofthewrittennoticeoraperiodagreeduponbetweentheparties;

C.Becomesbankruptorinsolvent;or

D.AffectedbyanyeventofForceMajeureformorethan______days.

Article11ForceMajeure

ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthoritiesoragencywithinfourteen(14)daysfollowingitsoccurrence.

TheaffectedpartyshallnotbeliableforanydelayorfailureinperforminganyorallofitsobligationsduetotheeventofForceMajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeurewithoutdelay.

BothpartiesshallproceedwiththeirobligationsimmediatelyaftertheceaseoftheeventofForceMajeureorremovaloftheeffects.ThevalidityperiodofContractand/orthescheduledperiodforrelativeexecutionofContractshallbeextendedcorrespondingly.

Article12Arbitration

AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,ShenzhenSub-commissionforarbitrationinaccordancewiththeCommission'sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothpartiesandtheapplicablelawisthemateriallawof.

Notwithstandinganyreferencetoarbitration,bothPartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlessotherwiseagreed.

Article13LanguageandStandards

CorrespondenceexceptthisContractbetweenClientandConsultant,dataanddocumentsmadeavailablebyClienttoConsultantandthetechnicalservicereportsanddrawingspreparedbyConsultantshallbeintheEnglishlanguage.

Measuresshallbewritteninthemetricsystem.

Article14GoverningLaw

Theconstruction,validity,andperformanceofthisContractshallbegovernedbythelawsofthePeople'sRepublicofChina.

Article15EffectivenessoftheContractandMiscellaneous

Bothpartiesshallmakeefforttoobtaintheapprovalfromtherespectiveauthorities,ifnecessary,withinthirty(30)daysafterContractissignedbytheauthorizedrepresentativesofthetwoparties.EitherPartyshallnotifyinwritingtheotherpartyoftheapprovaldate.ThelaterdateofapprovalshallbetakenastheDateofEffectivenessofContract.

Contractshallbevalidandremaininforcefor_______(____)yearsfromtheDateofEffectiveness.

TheoutstandingcreditanddebtbetweenthepartiesunderContractshallnotbeaffectedupontheterminationorexpirationofContract.

AppendiceshereofshallbeintegralpartsofContractandhavethesamelegalforceasthetextofContractitself.ThetextofContractshallprevailincaseofanydiscrepanciesbetweenthetextofContractandAppendices.

Allamendments,supplements,subtractions,oralterationstoContractshallbemadeinwrittenformandbecomevaliduponthesignatureoftheauthorizedrepresentativesofbothparties.Thevalidamendments,supplements,subtractions,oralterationsshallfromanintegralpartofContractandshallhavethesamelegalforceasthetextofContract.

AllcommunicationsbetweenthepartiesshallbeinEnglishinwrittenformduringimplementationofContract.Faxesconcerningimportantmattersshallbeconfirmedtimelybyregisteredorexpressmails.

TheContractismadeintwocounterpartseachinChineseandEnglish,eachofwhichshalldeemedequallyauthentic.TheContractisinfour(4)originals,two(2)fortheBuyerandtwo(2)fortheSeller.
