鑒于甲方在大熊貓金融中心—樓投資建設““共享辦公創業服務平

臺，與甲方開設的其他眾創空間一并創設【熊貓樂園】，為企業家創業者提供相關服

務；乙方已經知悉甲方的服務內容，愿意加入【熊貓樂園】接受相關服務，經雙方協

商一致，達成如下協議：

whichprovidesrelatedservicesforentrepreneursandpioneers.PartyBhasbeeninformedoftheservice

contentsofPartyAandiswillingtojoininandacceptrelatedservices.Throughconsensus,bothparties

reachthefollowingagreement:

第一條會員服務

Article1MemberService

1.1乙方自愿加入【熊貓樂園】，成為【熊貓樂園】會員，付費接受甲方的相關服

務，自愿遵守本協議的約定。

1.1PartyBvoluntarilyjoinsin[PTC]andbecomesthememberof[PTC].PartyBpaystoaccept

relatedservicesofPartyAandvoluntarilyadherestothestipulationsofthisagreement.

1.2乙方擁有大熊貓金融中心樓單元的面積為平方米專享

商務空間(具體位置見附件一：乙方商務空間建筑面積平面圖；商務空間裝修

及設備見附件二：商務空間交接確認單)。

1.2PartyBownstheexclusivecommercialspaceofUnit_,Building—,PandanIFC,withthearea

of___squaremeters,(theconcretelocationisseeninAppendix1:planofthecoveredareaof

PartyB'scommercialspace;decorationandequipmentofthecommercialspaceisseenin

Appendix2:theformoftakeoverconfirmationofthecommercialspace).

1.3雙方確認，乙方的商務空間須做辦公室使用。會員期間內，未經甲方書面同意，

乙方不得擅自改變商務空間的用途。會員期間內，乙方不得使用、允許或默許

商務空間用作任何非法或損害【熊貓樂園】整體商譽的行為及用途，否則甲方

有權單方面終止本合同，由此造成的一切損失均由乙方承擔。

1.3BothpartiesconfirmthatthecommercialspaceofPartyBshallbeusedastheoffice.

Duringthememberperiod,withoutthewrittenapprovalofPartyA,PartyBshallnot

arbitrarilychangetheuseofcommercialspace.Duringthememberperiod,PartyB

shallnotuse,allownorconniveatcommercialspace'sbeingusedfortheillegalor

harmfulbehavioranduseoftheoverallcommercialreputationof[ThePhoenix

Club].Otherwise,PartyAhastherighttounilaterallyterminatethiscontract.Allthe

lossesarisingoutofthisshallbeassumedbyPartyB.

1.4基本服務

1.4.1依據乙方需求，提供包括內資企業、外資企業、中外合資企業的注冊及變更，人

力資源招聘等基本服務。

1.4.2依據乙方需求，提供深圳市內勞斯萊斯VIP專車接送服務、全國各地酒店協議價

入住服務，價格另行協商。

1.4.3甲方提供精品咖啡服務，乙方可根據使用額度享受相應服務。

1.4.4甲方提供云端健身服務。

1.4BasicServices

1.4.1InaccordancewithPartyB'sdemands,providethebasicservicessuchasregistration

andchangehumanresourcerecruitmentfordomestically-fundedenterprises,

foreign-fundedenterprises,Sino-fbreignjointenterprises.

1.4.2InaccordancewithPartyB'sdemands,providetheVIPexclusivevehiclepickup

servicesofRolls-RoycewithinShenzhen,check-inserviceaccordingtothe

negotiatedpricesofhotelsnationwide.Thepricesshallbeseparatelynegotiated.

1.4.3PartyAshallprovideexcellentcoffeeservice,andPartyBcanenjoythe

correspondingserviceaccordingtoitsamountofuse.

1.4.4PartyAshallprovidecloudfitnessservice.

1.5增值服務

依據乙方實際需求，甲方協助乙方開展發展規劃編制、商業模式研究、商業計

劃書編制、團隊組建、宣傳營銷等咨詢工作，甲方可免收服務費用。乙方要求

甲方幫助深入研究和實際編制的，雙方采取一事一議的方式，由甲方指定的專業

服務機構及其他相應的機構提供有償服務。

1.5Value-addedServices

InaccordancewithPartyB'sactualdemands,PartyAhelpsPartyBtocarryoutthe

consultationworksuchasformulationofdevelopmentplanning,researchof

commercialmode,formulationofcommercialprojectplan,teamsetup,publicity

marketing.PartyAmayexemptserviceexpense.IfPartyBrequiresPartyAtohelp

within-depthresearchandactualformulation,bothpartiesadoptthemodeofone

matterandonediscussion;PartyAdesignatestheprofessionalserviceorganizations

andotheraccordingorganizationstoprovidepaidservice.

1.5.1依據乙方實際需求，甲方幫助引進專業機構，為乙方提供財務顧問、稅務顧問、

法律顧問、管理咨詢、營銷咨詢、研發咨詢等服務，甲方可免收中介服務費。

依據乙方實際需求，甲方幫助乙方配備商業導師，為乙方提供商業指導，甲方

可免收中介服務費。

1.5.1InaccordancewithPartyB'sactualdemands,PartyAhelpsbringintheprofessional

organizationsandprovidesfinancialconsultant,taxconsultant,legalconsultant,

managementconsultation,marketingconsultation,R&DconsultationforPartyB.

PartyAmayexempttheintermediaryserviceexpense.

InaccordancewithPartyB'sactualdemands,PartyAhelpsPartyBtoallocatethe

commercialtutors,providecommercialguidanceforPartyB.PartyAmayexempt

theintermediaryserviceexpense.

1.6資助政策申報輔導服務

依據國家部委/省市/各區下設的科技、經促、發改、文化等相關政府職能部門資

助政策，甲方協助乙方及時申報，協助乙方引進專業機構編制項目可研報告、

項目建議書、科研項目申請等各類申報材料，并在申報過程中協助乙方與相關

職能部門有效溝通。未取得政府資助的項目，甲方免收服務費；取得政府資助

的項目，甲方按照雙方簽訂的中介服務協議收取服務費。

1.6ServiceofSubsidyPolicyDeclarationGuidance

Inaccordancewiththesubsidypoliciesofrelatedgovernmentfunctional

departmentsincludingscience&technology,economicpromotion,development

reform,culturesetbythenationalministries/provincesandcities/districts,PartyA

helpsPartyBtodeclareintime,helpsPartyBtobringinvariousdeclaration

materialssuchastheprojectfeasibilityreports,projectproposal,scientificresearch

projectapplicationformulatedbyprofessionalorganizations.Inthedeclaration

process,PartyAhelpsPartyBwiththeeffectivenegotiationswithrelatedfunctional

departments.Fortheprojectsthatfailtogetthegovernmentsubsidy,PartyA

exemptsserviceexpense.Fortheprojectsthatgetthegovernmentsubsidy,PartyA

chargesserviceexpenseaccordingtotheintermediaryserviceagreementsignedby

bothparties.

1.7融資服務

1.7.1甲方協助乙方開展融資工作、設計融資方案、提供項目路演、對接投資機構。乙

方融資失敗的，甲方可酌情免收服務費；乙方融資成功的，甲方按照雙方簽訂

的融資服務協議的約定收取服務費。

1.7.2依據乙方的實際情況和請求，乙方可向甲方提出融資申請、提交融資材料。經甲

方審核通過后，甲方可使用自有資金或其管理的創業股資基金、股權投資基金

對乙方進行投資。

1.7.3依據乙方項目實際情況和請求，甲方可協調第三方以租金換股權增資入股乙方。

1.7FinancingService

1.7.1PartyAhelpsPartyBcarryoutthefinancingwork,designthefinancingscheme,

providetheprojectroadshow,connectwiththeinvestmentorganizations.Ifthe

financingofPartyBfails,PartyAmayexempttheserviceexpenseaccordingtothe

concreteconditions.IffinancingofPartyBsucceeds,PartyAchargestheservice

expenseaccordingtothestipulationsofthefinancingserviceagreementsignedby

bothparties.

1.7.2InaccordancewithPartyB'sactualconditionsandrequests,PartyBmaypropose

thefinancingapplicationtoPartyA,submitthefinancingmaterials.AfterPartyA

reviewsit,PartyAmayusetheself-ownedcapitaloritsmanagedpioneeringstock

fundandstockinvestmentfundtoinvestinPartyB.

1.7.3InaccordancewithPartyB'sprojectactualconditionsandrequests,PartyAmay

coordinatewiththethird-partytoexchangethestockwithrentalandincreasethe

fundtoPartyB.

1.8其他服務

依據乙方實際需求，甲方與乙方另行簽訂服務協議，甲方協助乙方引進專業機構，

開展包括但不限于產品和股權眾籌、營銷推廣、知識產權及商標申報、高新企業

認定、軟件企業認定及行業內相關的資質認定工作。

1.8OtherServices

InaccordancewithPartyB'sactualdemands,PartyAandPartyBseparatelysign

serviceagreement;PartyAhelpsPartyBintroduceintheprofessionalorganizations,

carryouttheservicesincludingbutnotlimitedtoproductsandstockright

crowd-funding,marketingpromotion,declarationofintellectualpropertyand

trademark,affirmationofhigh-techenterprisesandaffirmationofsoftwareenterprises,

andotherrelatedqualificationcertificationwork.

1.9服務說明

1.9.1本協議第一條約定的內容為選擇性服務內容，乙方可按照公司發展所需自主選擇。

1.9.2甲方對以上會員服務有最終解釋權和調整權，入會會員確認能夠對此理解并無條

件接受。

1.9ServiceInstructions

1.9.1ThecontentsinArticle1ofthisagreementarethealternativeservicecontents.Party

Bmayautonomouslychooseitaccordingtothecorporatedevelopment.

1.9.2PartyAownstherightoffinalinterpretationandadjustmentrightoftheabove

memberservices.Themembersconfirmtounderstandthisandunconditionally

acceptit.

第二條會員費用

Article2MemberExpense

2.1會費（服務費）：根據乙方選擇的會員等級和專屬商務空間面積（按照每平米

398元計算）。乙方應繳納會費每月人民幣元（大寫:）。

服務費自年_月一日起逐年遞增—%=

2.2每月會費乙方應于當月—日前（如—日前一日為國家規定的公眾假期，則乙

方應當提前至前一個工作日繳納）向甲方以轉賬或甲方指定的其他方式支付，

會費繳納以到賬時間為準。甲方指定的收款銀行及賬戶信息:—收款

人:；開戶銀行：；銀行賬戶：。

2.3本合同項下會員費用每半年繳交一次，每次一次性繳交六期會費，乙方應在本合

同簽訂后一個工作日內支付會費共計人民幣元（大寫：），

即自年月日至年月日的會員費用。

2.4本合同項下的稅費由承擔，乙方在足額收款后應向甲方提供相應的服

務費發票。

payitinthepreviousoneworkingday).Thepaymentofmembershipduesshallrefer

tothetimeofreachingtheaccount.Theduebankandaccountinformation

2.3Themembershipfeeunderthiscontractshallbepaideverysixmonthsonetime,and

eachpaymentshallbethesixmembershipfees.PartyBshallpay

第三條服務期限

3.1會員服務期限：年_月_日始，至______年一月—日止，共2年。會

員服務到期前3個月，乙方應與甲方協商續約以及相關費用事宜。

Article3ServiceDeadline

3.1Periodofmembershipserviceistwoyearsfromto.Before

thethreemonthswhentheperiodisdue,PartyBshallnegotiatetherenewaland

relevantcostswithPartyA.

第四條會籍保證金

4.1乙方應繳納相當于一個月會費的保證金，合同終止后30日內，如未發生本合同

第十二條規定情形的，乙方無違反管理守則或規章、無欠費(包含會費、水電

費等一切費用)的情況下，會籍保證金無息退還。

4.2乙方如不履行本合同條款或違反本合同約定提前解除本合同或損壞商務空間及

其附屬設施的，則甲方有權直接將會籍保證金予以扣收，不足部分乙方應及時

補足，并有權要求乙方另行支付違約金、賠償金等。

Article4MembershipCashDeposit

4.1PaityBshallpaythecashdepositequaltothemembershipduesof_months.Within

30daysafterthecontractterminates,ifthestipulatedcaseinArticle12inthis

contractdoesnotoccurandPartyBdoesnotviolatethemanagementrulesand

regulationsandhasnotowedexpenses(includingmembershipdues,waterand

electricityexpense),membershipcashdepositwillberefundedbyinterest-free.

4.2IfPartyBdoesnotpaythecontractsumorviolatethiscontracttoreleasethiscontract

inadvanceordamagethecommercialspaceanditsauxiliaryfacilities,PartyAhas

therighttodirectlydeductthemembershipcashdeposit.Fortheinsufficientpart,

PartyBshallmakeitupintime.PartyAalsohastherighttorequirePartyBto

separatelypayliquidateddamages,indemnity.

第四條裝修期

4.1裝修期為_個月，即從年月日至_____年月—日。

4.2裝修期內，乙方應交的會費標準為每月人民幣元。但如因甲方原因延遲交

付商務空間，則該裝修期以此順延。

Article4DecorationPeriod

4.1Thedecorationperiodlastsfor_months,namelyfromMMDD,YYtoMMDD,

YY.

4.2Withinthedecorationperiod,thestandardofmembershipduesthatPartyBshould

payis___yuanpermonth.Ifdeliveryofthecommercialspaceispostponedforthe

reasonofPartyA,thisdecorationperiodshallbethuspostponed.

第五條進場及交付標準

5.1雙方約定，本合同項下的進場日為年_月_日。本商務空間如有附屬設備，

有關附屬設備應開列清單并由甲、乙雙方清點后簽字確認，附屬設備清單作為

本協議的附件。交付方式：現狀交付。

5.2乙方應于收到甲方通知交付3日內與甲方辦理該商務空間的交接手續。若非因甲

方原因乙方未能在規定時間內辦理所有交接手續的，則視為本合同約定交付日

起已經交接給乙方使用，乙方應自合同約定交付日起承擔該商務空間的相應費

用。乙方超過交付時間一個月后仍未辦理商務空間驗收、交接手續，則甲方有

權單方終止本合同，沒收會籍保證金及已繳付的首月會費。

5.3甲方延遲一個月仍未向乙方交付的，乙方有權解除本合同，并有權要求甲方雙倍

賠償會籍保證金金及退回已繳付的首月會費。

Article5ApproachandDeliveryStandard

5.1BothpartiesagreethatthedayofapproachunderthiscontractisMMDD,YY.Ifthis

commercialspacehastheaffiliatedequipment,listofrelatedaffiliatedequipment

shallbegiven.Afterbothpartiesmakeaninventory,theysigntoconfirmit.Thelist

oftheaffiliatedequipmentisregardedastheappendixofthisagreement.Modeof

delivery:deliveryasitis.

5.2PaityBshalldealwiththetakeoverproceduresofthecommercialspacewithPartyA

within3daysafterreceivingthedeliverynoticeofPartyA.IfPartyBfailstodeal

withallthetakeoverprocedureswithinthestipulatedtimenotforthereasonofParty

A,itisdeemedthatithasbeentakenovertoPartyBsincethedeliverydayagreedby

thiscontract;PartyBshallassumetheaccordingexpensesofthecommercialspace

sincethedeliverydaystipulatedbythiscontract.IfPartyBstillfailstohandlethe

checkandtakeoverproceduresofthecommercialspaceafteronemonthsincethe

deliveryday,PartyAhastherighttounilaterallyterminatethiscontract,confiscate

themembershipcashdepositandthepaidmembershipduesofthefirstmonth.

5.3IfPartyApostponesthedeliverytoPartyBforonemonth,PartyBhastherightto

releasethiscontractandhastherighttorequirePartyAtogivedoublecompensation

ofthemembershipcashdepositandreturnthepaidmembershipduesofthefirst

month.

第六條商務空間的裝飾裝修

6.1若乙方需要對商務空間進行裝修，應自行承擔所有的相應費用包括向物業管理公

司支付裝修保證金。乙方可向甲方咨詢裝修相關設計、風格以及施工等相關事宜。

6.2乙方承諾對裝修設計文件自行承擔全部責任。在裝修過程中服從物業管理公司及

其他單位(如涉及)的管理和指揮，并按照物業管理公司的規定繳納因裝修而發

生的收費項目，包括但不限于裝修保證金、垃圾清運費等。乙方對該商務空間的

裝飾裝修必須符合法律法規，遵守關于裝修設計文件審查的規章制度，且不能破

壞甲方已經完成的裝修。

6.3乙方違反本合同約定的各項要求對該商務空間進行裝飾裝修的，則物業管理部門

有權通知乙方改正。自物業管理公司發出通知之日起超過5日，乙方仍未改正的，

則物業管理公司有權對該商務空間停止水、電等能源供應或直接采取強制措施予

以糾正，因此而發生的一切損失和費用均由乙方承擔，乙方仍應當按本合同約定

承擔會費等費用。

6.4若乙方裝修涉及水、電、消防、空調及排污等中央系統的接駁、更改或移動等，

須征得所屬大廈物業管理處書面同意并建議由本大廈原施工方施工，所需費用由

乙方承擔。

6.5乙方保證不因對商務空間進行裝飾裝修而造成任何的財產損失或人身傷害，否則，

由乙方自行負責糾紛的解決及賠償并承擔一切責任。

6.6本合同期滿或合同提前解除后，裝修部分殘留物由乙方自行清除完畢。

Article6FurnishingandDecorationoftheCommercialSpace

6.1IfPartyBneedstodecoratethecommercialspace,PartyBshallpayallcorresponding

expenses,includingthepaymentofthedecorationdeposittotheProperty

ManagementCompany.PartyBmayseekadviceonrelateddesign,style,and

constructionrelatedmattersofthedecorationfromPartyA.

6.2PartyBpromisestoassumealltheresponsibilitiesofthedecorationdesigndocuments,

obeythemanagementandcommandofthepropertymanagementcompanyandother

units(ifitinvolves)inthedecorationprocess,andpaytheexpenseprojectsarisingout

ofdecorationstipulatedbythepropertymanagementcompany,includingbutnot

limitedtothedecorationcashdeposit,garbagecleaningexpenses.PartyB'sfurnishing

decorationofthecommercialspacemustkeepinlinewithlawsandregulations.Party

Bmustabidebytherulesandsystemsrelatedtothedocumentcensorshipof

decorationdesignandshallnotdestroythedecorationthatPartyAhasfinished.

6.3IfPartyBviolatesthevariousrequirementsstipulatedbythiscontractandconducts

furnishinganddecorationofthecommercialspace,thepropertymanagement

departmenthastherighttonotifyPartyBtocorrectit.IfPartyBstillfailstocorrectit

formorethan5dayssincethedaywhenthepropertymanagementcompanyissuesthe

notice,thepropertymanagementcompanyhastherighttostoptheenergysupplysuch

aswater,electricitytothecommercialspaceordirectlyadoptthecompulsory

measurestocorrectit.Allthelossesandexpensearisingoutofthisshallbeassumed

byPartyB,PartyBshallalsoassumethemembershipduesstipulatedinthiscontract.

6.4IfPartyB'sdecorationinvolvestheconnection,changeormoveofthecentralsystems

suchaswater,electricity,fire,airconditioningandpollutiondischarge,itshallgainthe

writtenapprovalofthepropertymanagementdepartmentofthebuilding.Theoriginal

constructionpartyofthebuildingissuggestedtoconstruct.Theexpensesrequired

shallbeassumedbyPartyB.

6.5PartyBguaranteesnottocauseanypropertylossesorpersonalinjuryarisingoutofthe

furnishinganddecorationofthecommercialspace.Otherwise,PartyBshallbe

responsibleforthedisputesolutionandcompensation,andassumeallthe

responsibilities.

6.6afterthiscontractexpiresorthecontractisreleasedinadvance,PartyBshallclearthe

residuesofdecoration.

第七條緊急狀態和商務空間維修

7.1該商務空間及其所在區域或其相鄰的建筑發生火災、爆炸、恐怖活動等危害公共

安全的事件或發生重大的刑事犯罪行為等不可預測的突發性事件的情形，或存

在發生上述危害公共安全的事件或突發性事件的潛在危險的情形構成本合同項

下所述緊急狀態。

(1)發生緊急狀態時，甲方或物業管理部門可以在不通知乙方的情況下，自

行決定中斷對該商務空間的水、電、燃氣等能源供應或停止空調、電梯

等設施設備的運行。但事后應當通過適當途徑盡快通知乙方，并作出說

明。

(2)因緊急狀態或者公用事業部門或者有關政府部門的要求、命令而導致該

商務空間的水、電、燃氣等能源供應中斷或空調、電梯等設施設備停止

運行的，甲方、物業管理部門不承擔任何責任。

（3）因處置緊急狀態而造成該商務空間及相關設施設備受到損害或其他財產

損失的（無論是因為甲方、物業管理部門或相關政府部門工作人員的行

為），其中凡屬于乙方的貨物、設備等，均由乙方自行承擔。

7.2該商務空間因工程質量原因發生損壞的，甲方應予以維修。但是，甲方不因為

對該商務空間及其相關設施設備和能源供應系統進行維修而向乙方作出任何

形式的賠償或補償。甲方對該商務空間的維修責任只限于該商務空間的結構及

交接時甲方提供的設備設施（本合同另有約定的除外）。此外，甲方亦應維修商

務空間的公共部位/區域。乙方裝修或增設的設施設備由乙方自行維修。

倘在任何時間內非因甲方的過錯，該商務空間的水、電、煤氣供應或空調服務

停止供應或該商務空間內的任何公共設施停止運作，甲方不必為此而向乙方承

擔任何賠償責任或減免乙方任何會費及其它費用。甲方向該商務空間提供的保

安人員、管理人員、任何性質的機械、電子防盜系統（如有），將不構成甲方有

義務負責該商務空間或其內之財物的保安、保管。除甲方的過錯外，乙方在任

何時間都應自行對該商務空間或其內之財物負責。

7.3因乙方原因導致該商務空間的水、電、燃氣等能源供應中斷或空調、電梯等設

施設備停止運行的，乙方應當承擔修復所需的一切費用，并賠償因此給甲方及

第三方所造成的一切損失。

7.4因乙方對該商務空間進行裝飾裝修工程或因乙方的其他行為導致甲方或物業管

理部門無法對相關的管道、線路和設備進行檢修、調試或及時采取補救措施的，

則因此而發生的損失或因此而擴大的損失，應當由乙方自行承擔損失及可能發

Article7EmergencyConditionandRepairoftheCommercialSpace

7.1Thecommercialspaceanditsregionoritsneighboringbuildingshavetheeventsthat

endangerthepublicsecuritysuchasfire,explosionandterroristactivitiesorhavethe

unpredictableemergencyeventssuchasthemajorcriminalbehaviors,orhavethe

aboveeventsofendangeringthepublicsecurityorthecaseswithpotentialdangersof

theemergencyevents,whichconstitutethefollowingemergencyconditionsunder

thiscontract.

(1)Incaseofemergencycondition,PartyAoritspropertymanagementdepartment

mayindependentlydecidetostoptheenergysupplysuchaswater,electricity,gasto

thecommercialspacewithoutnotifyingPartyB,orstoptheoperationofthefacility

andequipmentsuchasairconditioningandelevator,butPartyAshallnotifyPartyB

throughproperapproachesassoonaspossibleaftertheeventandmakeexplanations.

(2)Iftheenergysupplysuchaswater,electricity,gastothecommercialspaceorthe

facilityandequipmentsuchasairconditioningandelevatorisstoppedoutofthe

emergencyconditionortherequirementsofthepublicutilitydepartmentsorrelated

governmentdepartments,PartyAandthepropertymanagementdepartmentshallnot

assumeanyresponsibilities.

(3)Ifharmisdonetothecommercialspaceandrelatedfacilityandequipmentoutof

theemergencyconditionorotherpropertylosses(whetheritisthebehaviorofParty

A,workingstaffofthepropertymanagementdepartmentorrelatedgovernment

departments),PartyBshallindependentlyassumetheproductsandequipmentof

PartyB.

7.2Ifthecommercialspacehasanydamageoutoftheprojectquality,PartyAshall

repairit.However,PartyAdoesnotmakeanycompensationorindemnitytoParty

Boutoftherepairofthecommercialspaceandrelatedfacilityandequipmentand

theenergysupplysystem.PartyA'srepairresponsibilityofthecommercialspaceis

onlylimitedtothestructureofthecommercialspaceandtheequipmentand

facilitiesprovidedbyPartyAinhandover(exceptforotherwiseagreedinthis

contract).Inaddition,PartyAshallrepairthepublicparts/regionsofthecommercial

space.PartyBshallrepairitsdecorationorthefacilityandequipmentitincreases.

Ifthewater,electricity,gassupplyserviceisstoppedoranypublicfacilitystops

operationwithinthecommercialspacenotoutofthemistakeofPartyAatanytime,

PartyAdoesnothavetoassumeanycompensationresponsibilitytoPartyBnor

exemptanymembershipduesandotherexpensesofPartyB.Thesecurityguards,

management,mechanism,electronicsecuritysystem(ifany)providedbyPartyA

forthecommercialspaceshallnotconstitutePartyA'sobligationofbeing

responsibleforthesecurityofthecommercialspaceorthepropertieswithinit.

ExceptforthemistakesofPartyA,PartyBshallberesponsibleforthecommercial

spaceandthepropertieswithinitatanytime.

7.3Ifwater,electricity,gassupplyserviceisstoppedoranypublicfacilitystops

operationwithinthecommercialspaceoutofPartyB,PartyBshallassumeallthe

expensesrequiredforrepairandcompensateallthelossescausedtoPartyAandthe

third-party.

7.4IfPartyAorthepropertymanagementdepartmentfailstooverhaul,debugoradopt

theremedymeasurestotherelatedpipes,routesandequipmentoutofPartyB's

furnishinganddecorationprojectdonetothecommercialorotherbehaviorsof

PartyB,thelossesarisingoutofthisortheexpandedlossesshallbeassumedby

PartyB.PartyBshallalsoassumethecompensationresponsibilityforthepossible

harms.PartyAandthepropertymanagementdepartmentdonotassumeany

compensationresponsibility.

第八條乙方在會員期間的照管責任

8.1自進場日后，未經甲方書面同意，乙方不得擅自改變或損壞該商務空間的空間

結構、外墻部分、以及甲方提供的任何設施設備（包括專用設施設備和共用設

施設備）。

8.2對于設置或通過該商務空間的設施設備，乙方應當給予充分的注意和保護。

8.3乙方在使用該商務空間時，應當遵守中國包括環境保護、衛生、防疫、文化、

安全、治安、消防管理在內的各項法律規定，自行負責該商務空間內經營安全、

消防安全、財產安全保衛工作，承擔因此而產生的一切費用支出和責任，并服

從甲方在安全工作上的統一協調、管理。

8.4乙方保證正常合理的使用該商務空間及其設施設備，不得放置任何超過該商務

空間設計荷載的物品；不得采取任何可能導致不合理的縮短該商務空間建筑物

及設施設備使用期限的行為。

8.5乙方保證不從事任何可能阻礙、影響相鄰區域內甲方或其他會員合法權利的行

為或其他不合理的干涉、擾亂甲方或其他會員正常經營的行為。

8.6對于因乙方原因導致的水、煙、燃氣等相關物質外泄或因乙方原因導致火災、

爆炸等危害公共安全的事件發生或乙方有不良經營行為的，則乙方應當對甲方

及第三方因此而蒙受的損失給予賠償，包括人身損害和財產損害。本款內所述

乙方的責任也適用于乙方的工作人員或其他與乙方相關的人員，并由乙方承擔

連帶賠償責任。

8.7因第三方原因導致乙方財產發生損害或導致乙方蒙受損失的，由乙方自行向第

三方索賠，甲方、物業管理部門不承擔任何賠償或補償責任。

Article8PartyB'sResponsibilityofLookingafterDuringtheMemberPeriod

8.1Sincetheentranceday,withoutPartyA'swrittenapproval,PartyBshallnot

arbitrarilychangeordamagethespacialstructure,externalwallpartandany

facilityandequipmentprovidedbyPartyA(includingtheexclusiveand

commonfacilityandequipment).

8.2Forthefacilityandequipmentofthecommercialspace,PartyBshallgiveadequate

attentionandprotection.

8.3Inusingthecommercialspace,PartyBshallabidebyvariousrulesandstipulations

includingenvironmentprotection,sanitation,anti-epidemic,culture,security,public

security,firemanagementinChina,shallberesponsibleforthesecurity,fire

security,propertysecurityguardworkofthecommercialspace,assumeallthe

expensesandresponsibilitiesarisingoutofthisandobjectPartyA'sunified

coordination,managementintermsofthesecuritywork.

8.4PartyBguaranteestonormallyandreasonableusethecommercialspaceandits

facilityandequipmentandnottosetanyobjectsbeyondtheloaddesignedbythe

commercialspace;PartyBshallnotadoptanybehaviorthatmayunreasonably

shortentheusedeadlineofthebuildingandthefacilityandequipmentofthe

commercialspace.

8.5PartyBguaranteesnottobeengagedinanybehaviorthatmayhinderandinfluence

thelegalrightsofPartyAorothermemberswithinthen
