BusinessAgreement

ThisBusinessAgreement("Agreement")isenteredintothis[date](the"EffectiveDate")byandbetween[PartyA],withitsprincipalplaceofbusinessat[address],and[PartyB],withitsprincipalplaceofbusinessat[address].

1.Purpose

ThepurposeofthisAgreementistoestablishamutuallybeneficialbusinessrelationshipbetweenPartyAandPartyB,wherebybothpartiesagreetocooperateinthefollowingareas:

1.1.ProductSalesandDistribution

PartyAagreestosupplyPartyBwith[specificproductorservice]fordistributioninthedesignatedmarketasoutlinedinAnnexA.PartyBagreestopurchaseanddistributetheproductsaccordingtothetermsandconditionsoutlinedinthisAgreement.

1.2.MarketingandPromotion

Bothpartiesagreetocollaborateonmarketingandpromotionalactivitiestoincreasebrandawarenessanddrivesales.ThespecificmarketinginitiativesandresponsibilitiesofeachpartywillbedetailedinAnnexB.

2.TermandTermination

TheinitialtermofthisAgreementshallbe[duration]commencingfromtheEffectiveDate.EitherpartymayterminatethisAgreementbyproviding[noticeperiod]writtennoticetotheotherparty.Intheeventoftermination,eachpartymustfulfillitsobligationsuntiltheeffectivedateoftermination.

3.PricingandPayment

ThepricesfortheproductsorservicesprovidedbyPartyAtoPartyBwillbeoutlinedinAnnexC.Anychangesinpricingmustbeagreeduponinwritingbybothparties.

3.2.PaymentTerms

PartyBshallpayPartyAfortheproductsorserviceswithin[number]daysfromthedateofinvoicereceipt.Latepaymentsshallbesubjectto[interestrate]%interestpermonth.

4.Confidentiality

BothpartiesagreetokeepallconfidentialinformationsharedinrelationtothisAgreementstrictlyconfidential,bothduringandafteritstermination.Confidentialinformationincludes,butisnotlimitedto,businessstrategies,customerdetails,andfinancialinformation.

5.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[jurisdiction].

6.EntireAgreement

ThisAgreementconstitutestheentireunderstandingbetweenPartyAandPartyBregardingthesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten.
