MANUFACTURER’SAGREEMENT

The?Facility?referencedaboveentersintothisManufacturer?sAgreement(?MA?)fortheexpresspurposeofinducingthereliancethereonbyDisneyEnterprises,Inc.,and/oritsaffiliatesand/oritsauthorizedsublicensors(?Disney?),and/oritsandtheirlicenseesand/orvendors(?AuthorizedParty?),anyofwhichmayorderfromtheFacilitymerchandise,packaging,materialsorfixturescontainingatrademark,character,design,name,symbolorothermaterialowned,copyrightedorlicensedbyDisney(?ProprietaryMaterial?).Allofsuchmerchandise,packaging,materialsorfixturescontainingsuchProprietaryMaterialshallbereferredtohereinbytheterm

TheFacilitywillnotmanufacturetheMerchandisetotheorderofanyonebutDisneyortheAuthorizedParty,willinvoiceonlyDisneyortheAuthorizedParty,ortheirdesignees,andwillnotshiptoanyoneotherthanDisneyortheAuthorizedPartyortheirdesignees.Inadditiontoanyotherremediesatlaw,whichshallbecumulative,theFacilityagreestopayDisneyitsgrossrevenuesfromanysalesofMerchandisenotauthorizedbyoronbehalfofDisney.

TheFacilitywillnotsubcontractproductionoftheMerchandiseorcomponentswhichcontainProprietaryMaterialwithoutDisney?swrittenconsentandthesubcontractor?sexecutionofaManufacturer?sAgreement.

TheFacilitywillnot(withoutDisney?swrittenconsent)manufacturemerchandiseutilizinganypropertiesthecopyrightortrademarktowhichisownedorlicensedbyDisney,otherthantheMerchandiseinaccordancewiththisAgreement.

Fromtimetotime,theFacilitywillpermitDisney?sauthorizedrepresentativetoinspectitsactivitiesandpremises,accountingbooksandinvoicesrelevanttoitsmanufactureandsupplyofMerchandise.

TheFacilitywillnotpublishorcausethepublicationofpicturesoftheMerchandiseinanypublicationorpromotionalmaterial,noradvertisethefactthatitispermittedtomanufactureMerchandise,norusethename?Disney?oranyvariantthereofwithoutDisney?spriorwrittenconsent.

InmanufacturingtheMerchandise,theFacilitywillcomplywithallapplicablelocalandnationallawsandregulations,treaties,voluntaryindustrystandards,codesorotherobligations(collectively,?Laws?),includingbutnotlimitedto,applicablehealthandsafetystandardsandlaborlawsformanufacturingoperations.Specifically,theFacilitycovenantsthatitwillhonorthetermsoftheCodeofConductforManufacturersasfollows:

TheFacilityshallnotusechildlaborinthemanufacturing,packagingordistributionofDisneyMerchandise.Theterm?child?referstoapersonyoungerthanthelocallegalminimumageforemploymentortheageforcompletingcompulsoryeducation,butinnocaseshallanychildyoungerthanfifteen(15)yearsofage(orfourteen(14)yearsofagewherelocallawallows)beemployedinthemanufacturing,packagingordistributionofDisneyMerchandise.TheFacilityemployingyoungpersonswhodonotfallwithinthedefinitionof?children?alsoshallcomplywithanyLawsapplicabletosuchpersons.

TheFacilityshallonlyemploypersonswhosepresenceisvoluntary.TheFacilityshallnotuseanyforcedorinvoluntarylabor,whetherprison,bonded,indenturedorotherwise.

TheFacilityshalltreateachemployeewithdignityandrespect,andshallnotusecorporalpunishment,threatsofviolence,orotherformsofphysical,sexual,psychologicalorverbalharassmentorabuse.

TheFacilityshallnotdiscriminateinhiringandemploymentpractices,includingsalary,benefits,advancement,discipline,termination,orretirementonthebasisofrace,religion,age,nationality,socialorethnicorigin,sexualorientation,gender,politicalopinionordisability.

TheFacilityrecognizesthatwagesareessentialtomeetingemployees?basicneeds.TheFacilityshallcomply,ataminimum,withallapplicablewageandhourLaws,includingminimumwage,overtime,maximumhours,pieceratesandotherelementsofcompensation,andshallprovidelegallymandatedbenefits.IflocalLawsdonotprovideforovertimepay,theFacilityshallpayatleastregularwagesforovertimework.Exceptinextraordinarybusinesscircumstances,theFacilityshallnotrequireemployeestoworkmorethanthelesserof

(1)48hoursperweekand12hoursovertimeor(2)thelimitsonregularandovertimehoursallowedbylocallaw,or,wherelocallawdoesnotlimitthehoursofwork,theregularworkweekinsuchcountryplus12hoursovertime.Inaddition,exceptinextraordinarybusinesscircumstances,employeeswillbeentitledtoatleastonedayoffineveryseven-dayperiod.TheFacilityagreesthat,wherelocalindustrystandardsarehigherthanapplicablelegalrequirements,itwillmeetthehigherstandards.

TheFacilityshallprovideemployeeswithasafeandhealthyworkplaceincompliancewithallapplicableLaws,ensuring,ataminimum,reasonableaccesstopotablewaterandsanitaryfacilities,firesafety,andadequatelightingandventilation.TheFacilityalsoshallensurethatthesamestandardsofhealthandsafetyareappliedinanyhousingitprovidesforemployees.TheFacilityshallprovideDisneywithallinformationDisneymayrequestaboutmanufacturing,packaginganddistributionfacilitiesfortheMerchandise.

TheFacilityshallrespecttherightsofemployeestoassociate,organizeandbargaincollectivelyinalawfulandpeacefulmanner,withoutpenaltyorinterference,inaccordancewithapplicableLaws.

TheFacilityshallcomplywithallapplicableLaws,includingthosepertainingtothemanufacture,pricing,saleanddistributionoftheMerchandise.

TheFacilityshallcomplywithallapplicableenvironmentalLaws.

TheFacilityagreesthatDisneyanditsdesignatedagents(includingthirdparties)andtheAuthorizedPartymayengageinmonitoringactivitiestoconfirmcompliancewiththisMA,includingunannouncedon-siteinspectionsofmanufacturing,packaginganddistributionfacilities,andemployer-providedhousing,suchinspectionstoincludereviewsofbooksandrecordsrelatingtoemploymentmattersandprivateinterviewswithemployees.TheFacilityshallmaintainonsitealldocumentationnecessarytodemonstratecompliancewiththisMA.

TheFacilityshalltakeappropriatestepstoensurethattheprovisionsofthisParagraph6arecommunicatedtoemployees,includingtheprominentpostingofacopyofDisney?sCodeofConductforManufacturersinthelocallanguageandinaplacereadilyaccessibletoemployeesatalltimes.

AllartworkutilizedinthemanufactureoftheMerchandiseshallbesubjecttoDisney?spriorapproval(whichapprovalmaybewithheldatDisney?sabsolutediscretion)andtherightstosaidartworkandthedevicesusedspecificallytomanufacturesaidartwork(molds,plates,engravings,etc.),aswellasallotherProprietaryMaterial,shallatalltimesremainthesolepropertyofDisney.

AsanexpressconditionofthisMA,Facilityshallaffixacopyrightand/ortrademarknotice,inaformtobeauthorizedbyDisney,toanyMerchandisemanufacturedbyFacilitycontainingProprietaryMaterial,beforeitsdeliverythereoftoDisneyortheAuthorizedParty.IfandtotheextenttheMerchandisewillbeincorporatedintootherarticleswhichshallhaveaDisneycopyrightand/ortrademarknoticeaffixedthereto,thenandtothatextentFacilitywillnotberequiredtoaffixDisney?scopyrightand/ortrademarknoticetotheMerchandise;provided,however,thatthiswaiverofDisney?susualrequirementthatFacilitiesaffixtheforegoingcopyrightand/ortrademarknoticetoallMerchandisebeingmanufacturedfororonbehalfofDisneywhichcontainProprietaryMaterialshallonlyapplytoMerchandisedeliveredbyFacilitytoDisneyortheAuthorizedPartyforincorporationintoarticlesonwhichtheforegoingcopyrightand/ortrademarknoticeis
