1、專項調查服務協議本專項調查協議由下述甲乙各方簽訂:甲方:乙方:經甲乙各方協商一致同意如下委托條款:一、甲方委托乙方對xxM公司進行專項調查(以下簡稱“調查”);乙方接受甲方委托并同意按下述條款進行調查。調查內容和要求列在作為本協議組建 部分的附件中。二、乙方在本協議簽訂后一個月內履行本調查并提交報告。三、各方同意付款條件如下:3-1:乙方的調查服務 費用為捌仟美元(美元8,000元)或按當天中國銀行宣布的匯率折算的等額人民幣。3-2:甲方在本協議簽訂后,支付乙方預付款叁仟美元 (3,000美元),或按當天中國銀行宣布的匯率折算的等額人民幣進行支付。3-3:乙方履行附件1要求的調查項目后,向乙方

2、提供中文書面報告。 在乙方按要求履行了調查、甲方對乙方的調查結果滿意時,甲方將按附件1規定的調查內容和付款金額向乙方支付尾款。尾款支付的幣種按條寬3-1和3-2處 理。3-4:如乙方履行了所有的調查內容,并取得了令甲方滿意的結果,甲方同意將總調查費用增加到壹萬美元(10,000)。3-5: 如乙方沒有按要求進行任何調查,或在規定的提交報告時間過后10天之內還沒有提交調查報告的話,乙方應退還甲方全部預付款(3000美元)。如乙方完 成的調查內容沒有超過要求調查內容的50%時,應退還甲方50%的預付款(1,500)。四、乙方的交付物為中文報告。五、爭議的處 理。如發生爭議時,各方本著誠信、公平和友

(200美元)l有沒有進入中國大陸梯具 市場的考慮和計劃?(100美元)l如公司的美國客戶在中國大陸銷售公司的梯具產品,公司將如何服務于這些客戶?(250美元)Agreement on Investigation of a Special SubjectParty A and Party B agree to enter into the agreement on investigation of a special subje

7、ct.Part A:Part B: Now the parties hereby agree as follows:1.Part A agrees to authorize Part B to specifically investigate (hereinafter referred to as investigation) Taiwan company M. Part B accepts the authorization of Part A and agrees to carry out investigation according to the next items. Content

8、 and requirement of investigation adopt the framework set out in the Annex A of this agreement.2.Part B shall complete the investigation and submit the investigation report within one month after entering into the agreement.3. Terms of payment agreed by the parties3-1: the price of investigation is

9、8000 US dollars ($8000) or equivalent RMBs exchanged by the present rate quoted by China Bank.3-2: Part A shall make the payment of 3000US dollars ($3000) in advance or equivalent RMBs exchanged by the present rate quoted by China Bank after entering into the agreement.3-3: Part B completes the inve

10、stigation item according to Annex A and submits written report to Part A in Chinese. In case that the investigation is satisfactory to Part A, he shall pay the balance according to the investigation items and price items in the Annex A. the kind of money is adopted items 3-1,3-2.3-4 Where Part B com

11、pletes the whole investigation, which is satisfactory to Part A, Party A agrees to increase the total payment up to 10000US dollars ($10000).3-5 Where Part B fails to perform any investigation as required or submit report within 10 days till due time, Part B shall return all advancement ($3000).Wher

12、e Part B fails to complete 50% of the investigation, Part B shall return 50% percent of the whole advancement ($1500) to Part A.4.Investigation report shall be made in Chinese.5.Settlement of DisputesAny dispute shall be solved through honest, fair and friendly consultations by both parties. In case

13、 the dispute fails to be solved in such a way, the parties agree to submit it to XiaMeng Middle People Court for settlement.The Agreement is made out in duplicate, one for each party.
