8、全新未曾用過，以及符合本合同規定的技術、性能、規格和技術要求。設備的質量保證期為設備正常運行后之日起的 24(二十四)個月。GuaranteeofQuality:Thesellerguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandnewandunused,andcompliesinallrespectswiththequality,performanceandspecificationsstipulatedinthiscontractandconformstothetech

9、nicalmanualsofthecommoditiescontracted.TheWarrantyPeriodlasts24(twenty-four)monthscommencingfromthedateofthenormalrunningoftheEquipment.3 .檢驗及索賠：在交貨前，賣方應出具關于質量、規格、性能、數量或重量說明書，證明貨物符合合同規定。此證明書形成向付款行議付的完整文件的部分，但不作為質量、規格、性能以及數量或重量的最終結果。賣方開出的檢測結果應形成質量證明書的一部分InspectionandClaim:TheSellershall,beforemakingd

10、elivery,makeapreciseandcomprehensiveinspectionofthegoodsasregardsthequality,specification,performanceandquantity/weightandissuecertificates,certifyingthatthegoodsareinconformitywiththestipulationsofthisContract.Thecertificatesshallformanintegralpartofthedocumentationtobepresentedtothepayingbankforne

11、gotiationbutshallnotbeconsideredasfinalinrespectofquality,specification,performanceandquantity/weight.ParticularsandresultsofthetestcarriedoutbytheSellermustbeshowninastatement,whichhastobeattachedtotheQualityCertificate.待貨物運抵最終用戶現場后，買方應會同國家進出口商品檢驗檢疫局代表和賣方代表共同在現場對設備進行開箱檢驗,并由檢疫局開具檢驗證書。開箱前 1 周，最終用戶需通知

12、賣方參加此項初檢。UponthearrivalofthegoodsatsiteoftheEnd-user,theBuyershallcarryonsiteopenpackageinspectionofthegoodswithparticipationofrepresentativesfromChengduEntry-ExitInspectionAndQuarantineBureauandaSurveyReportshallbeissuedtherefore.EndusershallinformSelleroneweekbeforetheinspectiontohavethepossibilit

18、一切索賠.AnyandallclaimshallberegardedasacceptediftheSellersfailtoreplywithin30daysafterreceiptoftheBuyersclaim.4 .遲交貨如果賣方未能按合同規定的時間按期交貨（本合同第 5 款規定的不可抗力除外），在賣方同意支付核定損失額的條件下，買方將同意延長交貨期。核定損失額的支付將由付款銀行從議付款或從履約保證金中扣除。核定損失額比率為每遲交 7 天，將罰貨物金額的 0.5%,不滿 7 天的按 7 天計算，但是，核定損失額的支付不得超過合同金額的 5%。如果賣方在推遲 10 周仍不能交貨，買方有權因

19、賣方違約終止合同，而賣方仍有義務支付上述遲交貨罰金。基于延期交貨的任何進一步的權利或索賠不包括在內。LatedeliveryandpenaltyShouldthesellerfailtoeffectdeliverywithinthetimeofshipmentasstipulatedinthiscontract（withexceptionofforcemajeure）,thesellershallpaypenaltyduetolatedelivery.TheBuyershallagreetopostponethedeliveryonconditionthattheselleragreetopa

20、ypenaltywhichwillbeductedbythepayingbankfromthepaymentundernegotiation.Thepenaltyshallbecalculatedatarateof0.5%forevery7days,lessthan7daysshallbecountedas7days.However,thetotalamountofpenaltyshallnotexceed5%ofthetotalvalueofthecommoditiesinvolvedinlatedelivery.Incasethesellersfailtomakedeliverytenwe

21、ekslaterthanthetimeofshipmentstipulatedinthiscontract,thebuyershallhavetherighttocancelthecontract,andthesellerstillpaythepenaltyasaforesaidtotheBuyerswithoutdelay.Anyfurtherrightsorclaimsbasedonadelayeddeliveryareexcluded.賣方按照規定時間發貨是有條件的，這是指：買方及時履行了其如下的義務，包括交納可能有的預付款項、如約開設信用證、且及時提供所有可能需要的許可證及批文。如果上

23、anyothercausebeyondthereasonablecontrolofSeller,thedelivery/performanceperiodsshallbeextendedcorrespondingly.5 .不可抗力：在履行合同的過程中，由于不可抗力如戰爭、火災、洪水、臺風及地震等因素或其它雙方認可的因素造成賣方（或買方）不能履行合同，賣方（或買方）對此不負責任。賣方（或買方）應在此后的 14?天之內立即將上述情況通知對方，并將事故發生地政府主管機關出具的事故證明書用空郵寄交買方（或賣方）為證，并取得對方認可。在上述情況下，賣方（或買方）仍有采取一切必要措施從速交貨的責任，如果

24、事故持續 10 個星期以上，買方（或賣方）有權取消本合同。ForceMajeure:TheSeller/theBuyershallnotbeheldresponsibleforbeingunabletocarryoutthiscontractduetoForceMajeursuchaswar,seriousfire,flood.Typhoonandearthquakesorothereventsagreeduponbybothparties,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit

25、.TheSeller/theBuyershalladvicetheBuyer/Sellerimmediatelyoftheoccurrencementionedabovewithinfourteendaysthereafter,theseller/theBuyershallsendbyairmailtotheBuyer/theSellerfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Unders

26、uchcircumstances,theSeller/thebuyer,however,isstillunderobligationtotakeallnecessarymeasurestoexpedite/takethedeliveryofthegoodsincasetheaccidentlastsformorethan10weeks,theBuyerortheSellershallhavetherighttocancelthecontract.6、仲裁：一切因執行本合同所發生或與本合同有關之爭執，雙方應友好協商解決。如雙方協商不能解決時，此爭執應提交中國國際貿易促進委員會仲裁委員會，按照該仲裁委員會仲裁程序暫行規定進行仲裁，仲裁地點在北京。仲裁委員會的裁決為終局裁決，對雙方均有約束力。仲裁費用除非仲裁會另有決定外，均由敗訴一方負擔。Arbitration:AlldisputesinconnectionwiththisContractorexecutionthereofshallbeamicablesettledthroughnegotiation.Incasenosettlementcanbereachedbetweenthetwoparties,thecaseunderdisputeshallbesubmittedtotheForeignTradeArbitr
