2、 laws or regulations, we reach to sign this agreement through amicablenegotiation whereby Party A agrees to consign its partial Customs clearance、 CIQclearance 、 transfer 、 transportation and other relevant business of turnout parts which be imported from China .一、甲方責任和義務Responsibilities and obligat

3、ion of Party A1、貨物到港前,甲方及時向乙方提供進口貨物清關所需完整的、準確的和合法的單據,否那么由此產生的滯報等費用由甲方承擔；Before the good's arrival at the port, Party A shall provide the complete、accurateand legal documents required regarding any customs declaring and transportationservices. In case of the failure, Party A will be responsible f

4、or all theconsequences;2、甲方有責任就貨物形態及貨物裝載要求等事宜提供給乙方；Party A shall provide the information with details on the size and loadingrequirements of the goods to Party B;3、乙方運輸車隊運至甲方廠內后,甲方要積極組織卸車事宜,如因不能及時卸車產生的壓車費用由甲方承擔；After the completion of the transportation by Party B to the workshop of Party A,Party A

5、shall organize the discharging actively. In case of failure to dischargein time, the additional costs will be charged by responsible side;4、集裝箱貨物到廠后,甲方開箱卸貨時應預防損壞集裝箱,如因開箱、卸貨原因導致集裝箱損壞,甲方承擔直接責任；After the arrival of containers, Party A shall avoid to damage the containers whenopen it, the damage which d

6、one by Party A when open containers and unload, Party Awill be responsible for the consequences;5、甲方在收到關稅和增值稅 件經審核無誤后即刻支付稅款,如因甲方支付關稅及增值稅不及時所產生的滯報、滯港等費用由甲方承擔.Party A shall pay the Duty & VAT in advance after the acceptance of the bill ofDuty & VAT which sent by Party B, Party A will be respon

7、sible for the customsdemurrage、 port demurrage etc. if Party A could not pay it in time;二、乙方的義務和責任Responsibilities and obligation of Party B1、乙方有責任向甲方提供運輸咨詢,設計最平安、經濟、快捷的運輸、裝卸方案.對于已運輸貨物,乙方應根據甲方要求有責任就貨物狀況做出報告；Party B is responsible to provide the transportation proposal with safe、 quick andeconomical

8、plan. Party B shall make a report on good conditions according to PartyA's requirements;2、乙方對甲方提供的全套單證在 個工作日內完成審核整理,使之符合報關報 檢要求.如內容有遺漏,乙方應馬上通知甲方并向甲方索取所需資料信息；Party B shall examine the whole set of documents which provided by Party A immediately and prepare it to meet the requirements of customs d

9、eclaring and inspection application. Should there be any missing, Party B shall immediately remind Party A and collect the relevant information from Party A;3、乙方應及時、合理的完成清關工作.除因海關、商檢原因外,清關放行不超過個工作日,并使貨物及時、快捷運達甲方廠內.貨物到廠后,乙方要協助甲方協調卸貨事宜并完成貨物到達工廠后的相關商檢工作；Party B shall complete the customs clearance and

10、do all necessary acts in a promptand reasonable manner. The period of customs clearance shall not exceedworking days except for custom reasons, with a view to transport thegoods to Party A's workshop as soon as possible. After the completion oftransportation, Party B shall support Party A to arr

11、ange the discharging and Party B shall complete the CIQ inspection at the factory;4、乙方要做好貨運業務監督治理工作,合理安排作業流程,維護甲方利益,發現問題必須及時通知甲方,并提供合理化建議積極協助甲方積極解決；Party B shall make inspection and supervision of transportation, arrange areasonable transportation procedure. Party B shall protect the interest of Par

12、ty Aand shall notify Party A in time and provide the reasonable proposal and supports when meeting some problems. In case of any unforeseen costs, Party B shall notifyParty A in time;5、如因乙方原因造成貨物的延期以及因乙方原因造成的貨物損壞等情況,由此產生的各種額外費用和滯期費等,由乙方負擔；Party B shall take the responsibilities caused by Party B'

13、;s wrong operations;6、清關完成后,乙方要首先與甲方確認費用,待甲方確認后應在清關結束后 天內將稅單、增值稅單和報關單付匯證實聯等相關報關單據及時交予甲方；After the completion of customs clearance, Party B should inform Party A about thecharges, and Party B shall forward the customs declaration as well as the bill ofDuty & VAT to Party A within days;三、代理費及結算方式C

14、learance charge and payment items1、代理包干費包括港雜費、港建費、換單費和港口裝卸費等費用以及內陸運費由乙方在每票貨物到港前 天以報價協議書?書面形式交予甲方確認,報價協議書? 在甲、乙雙方確認后生效 件有效；All-inclusive charge of clearanceincluding THC、port construction charge 、B/Lexchange fee and port load&unload charge and also the inland transportationchargeshall be sent by

15、Party B as a formal« Quotation agreement » to Party Adays earlier before the shipment arrival date,« Quotation agreement »will go into effect if both parties confirm itfax version of« Quotationagreement ? is valid ;2、代理包干費、內陸運費等費用實報實銷并由乙方先行墊付,關稅和增值稅由甲方按稅單、增值稅單 件及時支付；All-incl

16、usive charge of clearance、inland transportation charge at cost and shallbe paid by Party B in advance, Party A shall pay Duty & VAT against the fax version of it in time.3、結算周期：結算前乙方將業務發票及結算單交付甲方審核,甲方在收到業務發票及結算單后 個工作日內審核完畢,審核無誤后 個工作日內付款；Payment period: Party B shall transfer the invoice and debi

17、t note to Party A, andParty A shall check it within working days after receive it, Party Ashall pay the payment within working days if accept the charges.4、在完成 或目的地的商檢檢驗和驗貨工作后,甲方支付乙方先行墊付的相關商檢費用.After the completeness of CIQ inspection work inor other destinations,Party A pay the relevant CIQ clearan

18、ce charges which have already paid by Party B in advance.四、索賠處理Compensation treatment1、假設乙方發現貨物外表出現異常,應及時通知甲方,并應甲方要求和指示,協助甲方相 應處理；When Party B discover some problem of the goods, should immediately inform Party A and cooperate with Party A to handle the problem according to the instruction and requi

19、rement of Party A.2、乙方在提供本協議效勞時,假設貨物在乙方或其指定的分包商運輸,包管,儲存之下 時,由于乙方或分包商的過錯或過失導致貨物損壞、貨差等事故,那么應由乙方承擔賠償責任； If some problem appears during the service of Party B, for example the goods are delivered in a wrong manner or the quantity is wrong and the goods are still in the charge of Party B or the freighter

20、, which is by Party B appointed, Party B must be responsible for the mistake and take the loss on.3、甲方提供給乙方的貨物運輸要求為本協議的附件是不可分割的局部,與本協議具有同等效力.乙方要以本運輸要求標準為甲方安排貨物運輸.As attachment, the transportation requirement offered by Party A, is an unavoidablepart of the agreement, the agreement and the attachment

PartyB should organize the goods transportation for Party A according to thetransportation requirement standard.五、爭議解決Settlements of disputes甲乙雙方在貨物進口的合作過程中,應密切配合、互助協助,以保證貨物運輸的順利進行.凡與本協議有關的爭議,甲乙雙方應根據?中華人民共和國合同法?等有關的法律規定,雙方友好協商解決.協商無效任何一方都可以向當地人民法院起訴.協商解決期間除有爭議待決的事項外,協議其他局部那么繼續進行；Both Parties shall cooperate perfectly during the import procedure, with a view toens
