3、乙方負擔本協(xié)議有效期內(nèi)在_銷售代理商品做廣告宣揚的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準。 10、傭金 對乙方直接獲取并經(jīng)甲方確認接受的訂單，甲方按凈發(fā)票售價向乙方支付5的傭金。 傭金在甲方收到每筆訂單的全部貨款后才會支付。 11、政府部門間的交易 在甲、乙雙方政府部門之間達成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計入第五條規(guī)定的最低業(yè)務(wù)量。 12、工業(yè)產(chǎn)權(quán) 在本協(xié)議有效期內(nèi)，為銷售有關(guān)_，乙方可以使用甲方擁有的商標，并承認使用于或包涵于_中的任何專利商標、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨家擁有。 一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)馬上通知甲方并協(xié)助甲方采用措施保護甲方權(quán)益。 13、

4、協(xié)議有效期 本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為1年，從_年_月_日至_年_月_日。 除非作出相反通知，本協(xié)議期滿后將延長12個月。 14、協(xié)議的終止 在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)背離協(xié)議條款，另一方有權(quán)終止協(xié)議。 15、不可抗力 由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預見、控制、避免和克服的其他事件導致不能或暫時不能全部或部分履行本協(xié)議，該方不負責任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證實寄交對方。 16、仲裁 因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭議提交
