CONTRACTAGREEMENT

I.Recitals

WHEREAS,PartyAisengagedin[describePartyA'sbusiness];

WHEREAS,PartyBisengagedin[describePartyB'sbusiness];

WHEREAS,thepartiesdesiretoenterintoamutuallybeneficialagreementto[describethegeneralpurposeoftheagreement].

II.ScopeofServices

PartyAshallprovidethefollowingservicestoPartyB:[Describeindetailtheservicestobeprovided,includingspecifictasks,deliverables,andtimeframes].PartyBshallcooperatefullywithPartyAandprovideallnecessaryinformationandaccesstoenablePartyAtoperformtheservices.

III.PaymentTerms

IV.Confidentiality

1.EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty.Confidentialinformationshallinclude,butnotbelimitedto,businessplans,customerlists,financialinformation,andanyotherinformationthatismarkedasconfidentialorshouldreasonablybeunderstoodtobeconfidential.

2.Thereceivingpartyshallkeeptheconfidentialinformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty,exceptasrequiredbylaw.

3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears].

V.IntellectualPropertyRights

1.PartyAshallretainallintellectualpropertyrightsinanyworkproductcreatedinthecourseofprovidingtheservices,unlessotherwiseagreedinwriting.

2.PartyBshallhavetherighttousetheworkproductsolelyforthepurposeof[describethepermitteduse].PartyBshallnotmodify,sublicense,ortransfertheworkproductwithoutthepriorwrittenconsentofPartyA.

VI.RepresentationsandWarranties

1.EachpartyrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

2.PartyArepresentsandwarrantsthattheservicesshallbeperformedinaprofessionalandworkmanlikemanner,inaccordancewithallapplicablelawsandregulations.

3.PartyBrepresentsandwarrantsthatitwillprovideaccurateandcompleteinformationtoPartyAasrequiredfortheperformanceoftheservices.

VII.TermandTermination

1.ThisAgreementshallcommenceonthedateofsigningandshallremaininforceforaperiodof[numberofmonths/years],unlessterminatedearlierinaccordancewiththeprovisionsherein.

2.EitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherpartythatremainsuncuredafter[numberofdays]days'notice.

3.UponterminationofthisAgreement,PartyBshallpayPartyAforallservicesrendereduptothedateofterminationinaccordancewiththepaymenttermsherein.

VIII.Liability

1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandalllosses,damages,liabilities,andexpensesarisingoutoforinconnectionwithitsbreachofthisAgreementoritsnegligenceorwillfulmisconductintheperformanceofitsobligationshereunder.

2.Innoeventshalleitherpartybeliabletotheotherpartyforanyindirect,consequential,special,orpunitivedamages,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.

IX.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governinglawjurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[jurisdiction].

X.EntireAgreement
