2025國際醫療器械貿易合同簽訂與合同履行2025InternationalMedicalDeviceTradeContractContractNumber:DateofContractSigning:ThisContractisEnteredintoontheDateFirstAboveWrittenBetween:Seller:NameofSeller:Address:City/State/ZipCode:Country:ContactInformation:Buyer:NameofBuyer:Address:City/State/ZipCode:Country:ContactInformation:WITNESSETH:1.DefinitionsandInterpretationsForthepurposesofthisContract,thefollowingtermsshallhavethemeaningssetforthbelow:MedicalDevices:Referstoanydevices,instruments,orequipmentformedical,surgical,ordiagnosticuse,specificallylistedinScheduleAattachedhereto.QualityStandards:Meansthestandardsandspecificationssetforthintherelevantinternational,national,orindustrystandards,includingbutnotlimitedtoISO,FDA,CE,etc.ForceMajeure:Meansanyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtonaturaldisasters,war,strikes,governmentactions,orpandemics.2.ScopeoftheContractTheprovisionsofthisContractshallapplytothetradeofMedicalDevicesbetweentheSellerandtheBuyer,includingbutnotlimitedtothedelivery,payment,quality,andlegalresponsibilitiesofbothparties.AllgoodsandservicesrelatedtotheMedicalDevicesshallbeconductedinaccordancewiththetermsandconditionsstipulatedherein.3.RightsandObligationsofBothPartiesSeller’sResponsibilities:TheSellershallsupplytheMedicalDevicesinaccordancewiththespecifications,quantities,andtimelinesdetailedinScheduleA.TheSellershallensurethattheMedicalDevicescomplywithallapplicableinternational,national,andlocalregulations,includingbutnotlimitedtosafetystandards,CEmarking,andFDAclearance,asapplicable.TheSellershallprovideallnecessarydocumentation,includingbutnotlimitedtocertificatesofconformity,technicalfiles,andusermanuals.Buyer’sResponsibilities:TheBuyershallprovidetheSellerwithaccurateandcompleteinformationregardingtheintendeduseoftheMedicalDevices.TheBuyershalltimelyreviewandconfirmtheconformityofthedeliveredMedicalDeviceswiththeagreedspecifications.TheBuyershallpaytheinvoicesinaccordancewiththeagreedpaymenttermsandconditions.4.DeliveryandTransportationThedeliverydateandtermsshallbespecifiedinScheduleA.AnydelaysindeliveryshallbecommunicatedbytheSellertotheBuyerinwritingatleast10dayspriortothescheduleddeliverydate.TheSellershallarrangeforthetransportationoftheMedicalDevicestothedesignateddeliverylocation.TheriskoflossordamageshallpasstotheBuyeruponthecompletionofdeliveryaspertheagreedterms.TheBuyershallinspectthegoodsuponreceiptandnotifytheSellerofanydiscrepanciesordefectswithin7daysofdelivery.5.PaymentTermsThetotalamountpayablebytheBuyershallbeasdetailedinScheduleA.TheBuyershallpaytheinvoiceswithindaysfromtheinvoicedate,unlessotherwiseagreedinwriting.PaymentsshallbemadeincurrencyandtransferredtotheSeller’sdesignatedaccount.Latepaymentsshallincuralatepaymentfeeof%permonthorthemaximumrateallowedbylaw,whicheverislower.6.QualityAssuranceandInspectionTheMedicalDevicessuppliedbytheSellershallmeettheagreedqualitystandardsandspecifications.AnydiscrepanciesshallberesolvedbytheSelleratitsownexpense.TheBuyerreservestherighttoconductinspectionsandtestsontheMedicalDevices.Ifanydefectsarefound,theBuyershallpromptlynotifytheSellerandprovidereasonableevidencethereof.TheSellershallreplaceorrepairdefectivegoodsatnoadditionalcosttotheBuyerwithindaysofreceivingthenotice.7.IntellectualPropertyRightsAllintellectualpropertyrightsrelatedtotheMedicalDevices,includingbutnotlimitedtotrademarks,patents,anddesigns,shallremainwiththeSeller.TheBuyershallnotuseanylogos,trademarks,orproprietaryinformationoftheSellerwithoutpriorwrittenconsent.TheSellershallprovidetheBuyerwithawrittenconfirmationthatithastherightstosupplytheMedicalDevices,includinganynecessarylicensesorpermits.8.ContractModification,Termination,andPerformanceAnyamendmentstothisContractshallbemadeinwritingandsignedbybothparties.EitherpartymayterminatethisContractwithwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisContractandfailstocurethebreachwithindaysofreceivingwrittennotice.Intheeventofearlytermination,theSellershallpromptlyrefundanyprepaymentsmadebytheBuyer,lessanydamagesorcostsincurredbytheBuyerasaresultofthetermination.9.LiabilityforBreachofContractIntheeventofabreachofthisContractbyeitherparty,thenon-breachingpartyshallbeentitledtoseekappropriateremedies,includingbutnotlimitedtodamages,specificperformance,orinjunctiverelief.TheliabilityofeitherpartyshallnotexceedthetotalamountpaidorpayableunderthisContract,exceptincasesofwillfulmisconductorgrossnegligence.10.ForceMajeureIfeitherpartyisunabletoperformitsobligationsunderthisContractduetoaForceMajeureevent,itshallpromptlynotifytheotherpartyandtakeallreasonablestepstomitigatetheeffectsoftheevent.TheobligationsoftheaffectedpartyshallbesuspendedduringtheperiodoftheForceMajeureevent.Thenon-affectedpartyshallbeentitledtoextendthedeadlinesorterminatetheContractiftheForceMajeureeventpersistsformorethan90days.11.DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好協商.Ifthepartiesfailtoreachasettlementwithin30daysofthedisputearising,thedisputes
