I.DescriptionoftheSubjectMatterorService

II.RightsandObligationsoftheParties

A.PartyA'sRightsandObligations

1.Rights

PartyAhastherighttoreceivearefundinaccordancewiththetermsandconditionsofthisAgreementifPartyBfailstoperformitsobligationsasspecifiedherein.

PartyAhastherighttoinspectandreviewtheservice/productprovidedbyPartyBtoensureitplieswiththeagreeduponspecifications.

2.Obligations

PartyAshallpaytheagreeduponpricefortheservice/productinatimelymannerasperthepaymenttermsagreeduponbetweentheparties.

PartyAshallcooperatewithPartyBinprovidinganynecessaryinformationorassistancerequiredfortheprovisionoftheservice/product.

PartyAshallusetheservice/productinaccordancewiththeusageguidelinesandlegalrequirementsprovidedbyPartyB.

B.PartyB'sRightsandObligations

1.Rights

PartyBhastherighttoreceivepaymentfromPartyAinaccordancewiththeagreeduponpaymenttermsfortheservice/productprovided.

PartyBhastherighttobeindemnifiedbyPartyAagainstanylosses,damages,orliabilitiesarisingoutofPartyA'sbreachofthisAgreement.

2.Obligations

PartyBshallprovidetheservice/producttoPartyAinaccordancewiththespecifications,qualitystandards,anddeliveryscheduleagreeduponbetweentheparties.

PartyBshallensurethattheservice/productisfreefromdefectsandshallremedyanydefectsordeficienciespromptlyupondiscoveryornoticefromPartyA.

PartyBshallmaintainconfidentialityofanyconfidentialinformationprovidedbyPartyAinthecourseofthebusinessrelationship.

III.RefundConditions

1.FullRefundConditions

IfPartyBfailstoprovidetheservice/productwithintheagreedupondeliveryschedule,PartyAshallbeentitledtoafullrefundoftheamountpaid.

Iftheservice/productprovidedbyPartyBfailstomeetthespecifiedqualitystandardsandcannotberemediedwithinareasonabletimeframe(asdeterminedbybothparties),PartyAshallbeentitledtoafullrefund.

IfPartyBviolatesanymaterialtermsofthisAgreement,suchasconfidentialityobligationsorintellectualpropertyrightsrelatedtotheservice/product,PartyAshallbeentitledtoafullrefund.

2.PartialRefundConditions

Iftheservice/productprovidedbyPartyBmeetsonlyaportionofthespecifiedrequirements,andthenonpliancecannotbefullycured,PartyAmaybeentitledtoapartialrefund,whichshallbecalculatedbasedontheproportionofnonpliance.Thecalculationmethodforthepartialrefundshallbe[describetheformulaormethodforcalculatingthepartialrefund].

IV.RefundProcess

1.NoticeofRequestforRefund

PartyAshallnotifyPartyBinwritingofitsrequestforarefundwithin[numberofdays]daysafterdiscoveringthegroundsforrefund.Thenoticeshallspecifythereasonsfortherefundrequest,includingdetailsofanynonplianceorbreachbyPartyB.

2.InvestigationbyPartyB

Uponreceiptofthenoticeofrefundrequest,PartyBshallconductaninvestigationwithin[numberofdays]daystodeterminethevalidityoftherequest.PartyBshallhavetherighttorequestanyrelevantinformationfromPartyAtosupportitsinvestigation.

3.RefundDecision

Aftertheinvestigation,ifPartyBdeterminesthattherefundrequestisvalid,itshallissuearefundtoPartyAwithin[numberofdays]days.Therefundshallbemadeby[specifythemethodofrefund,e.g.,banktransfertotheoriginalpaymentaccount].IfPartyBdeterminesthattherefundrequestisnotvalid,itshallnotifyPartyAinwritingwithin[numberofdays]days,statingthereasonsforitsdecision.

V.DefaultandLiability

1.DefaultbyPartyA

IfPartyAfailstopaytheamountduetoPartyBinaccordancewiththepaymentterms,PartyAshallbeindefault.Incaseofdefault,PartyAshallpayPartyBtheoverdueamountplusinterestattherateof[interestrate]%perannumcalculatedfromtheduedateuntilthedateofactualpayment.PartyAshallalsoindemnifyPartyBforanylossesordamagessufferedasaresultofitsdefault.

2.DefaultbyPartyB

IfPartyBfailstoprovidetheservice/productasagreed,failstoremedydefects,orfailstoprocessarefundinatimelymannerasrequiredbythisAgreement,PartyBshallbeindefault.Incaseofdefault,PartyBshallrefundtheamountpaidbyPartyAimmediatelyandpayPartyAdamagesequivalentto[amount]%ofthetotalamountpaidfortheservice/producttopensateforanylossessufferedbyPartyA.PartyBshallalsoindemnifyPartyAforanyotherlossesorliabilitiesarisingoutofitsdefault.

VI.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationwithin[numberofdays]daysfromthedateoftheoccurrenceofthedispute.

2.Arbitration

Ifthepartiesareunabletoresolvethedisputethroughnegotiation,thedisputeshallbesubmittedtoarbitrationinaccordancewiththearbitrationrulesof[nameofarbitrationinstitution].Thearbitrationshallbeconductedin[locationofarbitration].Thedecisionofthearbitrationtribunalshallbefinalandbindingonbothparties.

3.GoverningLaw

VII.EntireAgreement
