I.SubjectMatteroftheContract

1.DescriptionoftheSubjectMatter

Thepartiesenteredintoa[ContractName]on[ContractSigningDate](hereinafterreferredtoas"theOriginalContract").ThesubjectmatteroftheOriginalContractis[detaileddescriptionofthegoodsorservices,includingquantity,quality,specifications,etc.].Forexample,ifitisagoodscontract,itmaystate:"PartyAshallsupplyPartyBwith[x]setsof[productname],whichshallmeetthequalitystandardsof[relevantstandards]intermsofperformance,appearance,etc.ThegoodsshallbedeliveredtoPartyB'sdesignatedlocationwithin[deliveryperiod]."Ifitisaservicecontract,itmaystate:"PartyAshallprovidePartyBwith[servicetype]services,includingbutnotlimitedto[detailedscopeofservices],andshallensuretheservicequalitytomeetPartyB'srequirementsduringtheserviceperiodof[serviceduration]."

II.ReasonsforSuspensionofContractPerformance

1.Asaresultof[specificreasons,suchasforcemajeureevents,changesinlawsandregulations,orunforeseencircumstances],theperformanceoftheOriginalContracthasbeenaffected.Forexample,duetoanaturaldisasterthathasdamagedPartyA'sproductionfacilities,makingitimpossibleforPartyAtosupplythegoodsasscheduled;orduetoanewlawthatprohibitscertainaspectsoftheserviceprovidedintheOriginalContract,resultinginbothpartiesbeingunabletocontinuewiththeoriginalperformanceplan.

2.ThepartieshavereachedanagreementthroughfriendlynegotiationtosuspendtheperformanceoftheOriginalContracttemporarilytoassessthesituationandexploresolutions.

III.RightsandObligationsduringtheSuspensionPeriod

(A)RightsoftheParties

1.RighttoInformation

Eachpartyhastherighttorequesttheotherpartytoproviderelevantinformationanddataregardingthereasonsforthesuspension,thecurrentsituationofthesubjectmatter,andanyplansforfutureperformance.

PartyAhastherighttorequestPartyBtoprovideinformationonPartyB'susageandstorageofthegoods(ifapplicable)duringthesuspensionperiodtoensurethepropermaintenanceandpreservationofthesubjectmatter.

PartyBhastherighttorequestPartyAtoprovideinformationonPartyA'sprogressinresolvingtheissuesthatledtothesuspension,suchastherepairprogressofproductionfacilitiesincaseofforcemajeuredamage.

2.RighttoTerminate(SubjecttoLegalConditions)

Ifthesuspensionperiodcontinuesforanunreasonablylongtimeandcausessignificantlossestooneparty,andthereisnoprospectofresumingnormalperformance,eitherpartyhastherighttoconsiderterminatingtheOriginalContractinaccordancewiththelawandrelevantprovisionsofthisAgreement.However,beforeexercisingthisright,thepartyshallgivewrittennoticetotheotherpartyandprovideareasonableperiodfortheotherpartytorespondandtakecorrectivemeasures.

(B)ObligationsoftheParties

1.ObligationtoMaintaintheStatusQuo

Bothpartiesshalltakereasonablemeasurestomaintainthestatusquoofthesubjectmatterduringthesuspensionperiod.

Ifthesubjectmatterisgoods,PartyAshallensurethatPartyBstoresthegoodsproperlyinaccordancewiththeagreedstorageconditions,andPartyBshallberesponsibleforthesafetyandproperstorageofthegoods.PartyBshallnotuseordisposeofthegoodswithoutPartyA'spriorwrittenconsent,exceptforthepurposeofnecessarypreservation.

Ifthesubjectmatterisservices,PartyAshallsuspendprovidingrelevantservices,andPartyBshallnotrequestPartyAtoperformservicesthatareinconsistentwiththesuspensionarrangement.

2.ObligationtoNotifyandCommunicate

Thepartiesshallpromptlynotifyeachotherofanysignificantdevelopmentsorchangesrelatedtothesuspensionandthesubjectmatter.

PartyAshallnotifyPartyBinwritingofanyprogressinresolvingtheissuesthatledtothesuspension,suchastheexpectedtimefortheresumptionofproductionifitisduetoforcemajeuredamagetoproductionfacilities.PartyBshallalsoprovidefeedbacktoPartyAinatimelymannerregardinganyconcernsorsuggestionsduringthesuspensionperiod.

3.ObligationnottoSeekRemediesfromThirdParties

Duringthesuspensionperiod,neitherpartyshallseekremediesfromthirdpartiesinrelationtotheperformanceoftheOriginalContractwithoutthepriorwrittenconsentoftheotherparty,unlesssuchactionsarerequiredbylaw.

IV.ResumptionofContractPerformance

1.ConditionsforResumption

ThepartiesshallresumetheperformanceoftheOriginalContractwhenthereasonsforsuspensionareeliminatedorpropersolutionsarefound.Forexample,ifthesuspensionisduetoforcemajeure,theproductionfacilitiesarerepairedandPartyAcanresumenormalproductionandsupply;orifitisduetoachangeinlawsandregulations,thepartieshaveadjustedthecontractinaccordancewiththenewlegalrequirementsandarereadytocontinuewiththeperformance.

Beforeresumingperformance,thepartiesshallconductajointreviewandconfirmationofthestatusofthesubjectmatter,theprogressofanynecessaryadjustments,andthereadinessforresumption.

2.ProcedureforResumption

PartyAorPartyBmayproposetotheotherpartytheintentiontoresumecontractperformanceinwriting.Theproposalshallincludetheproposedresumptiondate,theexpectedstepsandarrangementsforresumingperformance,andanynecessarysupplementaryagreementsorclarifications.

Afterreceivingthewrittenproposal,theotherpartyshallreviewitwithin[reviewperiod]days.Iftherearenoobjections,thepartiesshallsignawrittenconfirmationofresumptionofperformance,specifyingthedetailedresumptionplan,includingthedeliveryschedule(ifapplicable),servicestarttime,andqualityassurancemeasures.

V.LiabilityforBreach

1.LiabilityforFailuretoComplywithObligationsduringSuspension

IfeitherpartyfailstofulfillitsobligationsduringthesuspensionperiodasstipulatedinthisAgreement,suchasfailingtomaintainthestatusquoofthesubjectmatterorfailingtoprovidetimelynotice,itshallbearthecorrespondingliabilityforbreach.

Thebreachingpartyshallpensatethenonbreachingpartyforanylossesdirectlycausedbyitsbreach.Forexample,ifPartyBimproperlyusesthegoodsduringthesuspensionperiodandcausesdamagetothegoods,PartyBshallberesponsibleforpensatingPartyAforthelossofthegoodsorthecostofrepair.

2.LiabilityforFailuretoResumePerformance

IfapartyfailstoresumetheperformanceoftheOriginalContractinaccordancewiththeagreedconditionsandproceduresafterthereasonsforsuspensionareeliminated,itshallbedeemedinbreachofcontract.

Thebreachingpartyshallbeliableforpensatingthenonbreachingpartyforalllossessufferedasaresultofthefailuretoresumeperformance,includingbutnotlimitedtodirecteconomiclosses,lostprofits,andadditionalcostsincurredbythenonbreachingpartytomitigatethelosses.

VI.DisputeResolution

1.Negotiation

IncaseofanydisputesarisingoutoforinrelationtothisAgreement,thepartiesshallfirstattempttoresolvethedisputesthroughfriendlynegotiation.Thepartiesshallappointrepresentativestoholdmeetingsanddiscussionstoseekamicablesolutionswithin[negotiationperiod]daysaftereitherpartynotifiestheotherpartyoftheexistenceofthedispute.

2.ArbitrationorLitigation

Ifthenegotiationfails,thepartiesshallchooseeitherarbitrationorlitigationtoresolvethedisputesinaccordancewiththeprovisionsoftheOriginalContract.

IftheOriginalContractprovidesforarbitration,thearbitrationshallbeconductedinaccordancewiththerulesof[arbitrationinstitution],andthearbitrationawardshallbefinalandbindingonbothparties.

IftheOriginalContractdoesnotprovideforarbitration,eitherpartymaybringalawsuitinthepetentpeople'scourtwithjurisdictionoverthematter.

VII.Miscellaneous

1.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.AmendmentsandSupplements

Noamendment,modification,orsupplementtothisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

3.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

4.Waiver

NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementonSuspensionofContractPerformanceasofthedatefirstabovewritten.

ThisAgreementispreparedinaccordancewiththerelevantprovisionsoftheCivilCodeofthePeople'sRepublicofChina.Article[relevantarticlenumber]oftheCivilCodestipulatesthatincaseofforcemajeureorotherunforeseen,unavoidable,andinsurmountablecircumstancesthatpreventtheperformanceofacontract,thepartiesmaybeexemptedfromliabilityinpartorinwholedependingontheimpactofthecircumstances,unlessotherwiseprovidedbylaw.InthisAgreement,thereasonsforsuspensionareclearlyd
