2025附加協議英文合同范本2025AdditionalAgreementEnglishContractTemplateTHISADDITIONALAGREEMENT(the"Agreement")enteredintoasof(the"EffectiveDate"),byandbetween(the"PartyA")and(the"PartyB"),whoseprincipalplacesofbusinessarerespectivelylocatedatand.WHEREAS,PartyAandPartyBhaveenteredintoaprimaryagreementdated(the"PrimaryAgreement");andWHEREAS,thepartiesheretodesiretoamendand/ormodifycertaintermsofthePrimaryAgreementand/ortoaddadditionaltermsandconditionsgoverningtheirrelationship;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.DEFINITIONSANDINTERPRETATION1.1Definitions.Unlessthecontextrequiresotherwise,alltermsdefinedinthePrimaryAgreementshallhavethesamemeaningsasinthisAgreement.1.2Interpretation.ThisAgreementshallbeconstruedinaccordancewithitstermsandwithoutregardtoanyprioragreementsorrepresentations,whetheroralorwritten,unlessexpresslyreferredtoherein.2.PARTIESANDRELATIONSHIP2.1ScopeofRelationship.TherelationshipbetweenPartyAandPartyBunderthisAgreementshallbegovernedbythetermsandconditionssetforthhereinandshallnotbedeemedtobeinpartnership,jointventure,oranyotherformofbusinessassociation,exceptasexplicitlyprovidedherein.2.2Capacity.Eachpartyheretoshallactinitsrespectivecapacityasa(e.g.,vendor,serviceprovider,client,etc.)asfurtherdefinedinthePrimaryAgreement.3.TERMOFAGREEMENT3.1**commencement.**ThisAgreementshallbecomeeffectiveontheEffectiveDateandshallremaininfullforceandeffectuntil(the"TerminationDate"),unlesssoonerterminatedasprovidedherein.3.2Renewal.Uponmutualagreement,thisAgreementmayberenewedundermutuallyagreedterms,whichshallbedocumentedinaseparatewrittenagreementexecutedbybothparties.4.RIGHTSANDOBLIGATIONS4.1DutiesofPartyA.PartyAshall,amongotherthings,(specificdutiesasperthePrimaryAgreement).4.2DutiesofPartyB.PartyBshall,amongotherthings,(specificdutiesasperthePrimaryAgreement).4.3PerformanceStandards.AlldutiesunderthisAgreementshallbeperformedinamannerconsistentwithindustrystandardsandinaccordancewithapplicablelawsandregulations.5.PAYMENTTERMS5.1FeesandCharges.PartyAshallpaytoPartyBthesumof(the"Fees")inaccordancewiththepaymentscheduleoutlinedinthePrimaryAgreement.5.2Invoices.AllinvoicessubmittedbyPartyBshallbemadeoutinthenameofPartyAandshallincludesufficientdetailtoenableverificationoftheservicesrenderedorgoodsdelivered.5.3LatePayment.Ifanypaymentismadeaftertheduedate,PartyAshallberequiredtopayalatefeeofpermonthoroftheoverdueamount,whicheverisgreater,exceptincasesofdocumenteddisputes.6.CONFIDENTIALITY6.1ConfidentialInformation.Eachpartyagreestomaintaintheconfidentialityofallnon-public,proprietary,orsensitiveinformationdisclosedbytheotherparty(the"ConfidentialInformation").6.2ScopeofConfidentiality.ConfidentialInformationshallinclude,butisnotlimitedto,businessplans,financialdata,customerlists,technicalspecifications,andanyotherinformationmarkedasconfidential.6.3TermofObligation.TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodofyears.7.INTELLECTUALPROPERTY7.1Ownership.Allrights,title,andinterestinanyintellectualpropertycreatedordevelopedinthecourseoffulfillingthisAgreementshallbeownedbytherespectivepartyunlessotherwiseagreedinwriting.7.2UsageRights.PartyAgrantsPartyBanon-exclusive,royalty-freelicensetousetheintellectualpropertyforthepurposesofperformingtheirobligationsunderthisAgreement.7.3Enforcement.Eachpartyshallpromptlynotifytheotherofanyactualorsuspectedinfringementofintellectualpropertyrightsandshallprovidereasonableassistanceindefendingagainstsuchclaims.8.LIMITATIONOFLIABILITY8.1LiabilityCap.SubjecttotheprovisionsofSection9(Insurance),neitherpartyshallbeliableforanyindirect,incidental,punitive,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.8.2Indemnification.Eachpartyagreestoindemnifyandholdharmlesstheotherpartyagainstanyclaims,losses,damages,andexpenses,includingreasonableattorneys'fees,arisingoutoforrelatedtoanybreachofthisAgreement,excepttotheextentsuchbreacharisesoutoftheotherparty'sgrossnegligenceorwillfulmisconduct.9.INSURANCE9.1Maintenance.Eachpartyshallmaintain,atitsownexpense,insurancecoverageinsuchamountsandagainstsuchrisksasarecustomaryinitsrespectiveindustry.9.2Notice.EachpartyshallprovidewrittennoticetotheotherpartyofanymaterialchangeinitsinsurancecoveragethatmayaffectthetermsofthisAgreement.10.MISCELLANEOUS10.1GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionof.10.2EntireAgreement.ThisAgreement,togetherwiththePrimaryAgreementandanyexhibitsorschedulesattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations.10.3Amendments.AnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.10.4Waiver.ThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforcesuchprovisionatalatertime.10.5ForceMajeure.Neith
