PartyBshallundertaketheresearchanddevelopmentworkasspecifiedinExhibitA(hereinafterreferredtoas"theWork")onbehalfofPartyA.TheWorkshallinclude,butnotbelimitedto,thefollowing:
a.Conductingmarketresearchandanalysis;
b.Designinganddevelopingthe[specificproduct/service];

d.Providingtechnicalsupportandtrainingforthe[specificproduct/service];
e.Deliveringthefinalproduct/servicetoPartyA.
2.TermandDelivery

3.Payment

4.IntellectualPropertyRights

5.Confidentiality
ThepartiesheretoagreetokeepallconfidentialinformationdisclosedbytheotherpartyduringtheexecutionofthisContractstrictlyconfidential.SuchconfidentialinformationshallnotbeusedforanypurposeotherthantheperformanceofthisContract.
6.GoverningLawandJurisdiction
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/City].AnydisputesarisingfromorinconnectionwiththisContractshallbesubmittedtothecompetentcourtsof[Country/City]forresolution.
7.Miscellaneous

5.Confidentiality
ThepartiesheretoagreetokeepallconfidentialinformationdisclosedbytheotherpartyduringtheexecutionofthisContractstrictlyconfidential.SuchconfidentialinformationshallnotbeusedforanypurposeotherthantheperformanceofthisContract.
6.PartyC'sResponsibilitiesandRights
PartyCshall:
a.ProvideexpertadviceandguidancetoPartyAandPartyB;
b.EnsurethequalityandcomplianceoftheWorkwithregulatoryrequirementsandindustrystandards;
c.MaintaintheconfidentialityoftheinformationprovidedbyPartyAandPartyB.
PartyCshallhavetherightto:
a.ReceivetheConsultantFeefortheservicesprovided;
b.BerecognizedasaconsultantandadvisorinanypromotionalmaterialsorpublicationsrelatedtotheWork.
7.PartyB's違約及限制條款
a.IntheeventofPartyB'sfailuretocomplywiththeobligationsunderthisContract,PartyAshallhavetherighttoterminatetheContractandseekdamagesforanylossesincurred.
