Article1:SubjectMatteroftheAgreement

1.1TheLessorherebyleasesthefactorylocatedat[FactoryAddress](hereinafterreferredtoasthe"LeasedProperty")totheLesseeforthepurposeofconducting[Lessee'sBusiness].

1.2TheLesseeshallusetheLeasedPropertyinaccordancewiththeprovisionsofthisAgreementandapplicablelawsandregulations.

Article2:LeaseTerm

2.1TheleasetermofthisAgreementshallcommenceon[StartDate]andterminateon[EndDate],unlessotherwiseagreedbytheParties.

2.2TheleasetermmaybeextendeduponmutualwrittenconsentoftheParties,subjecttotheprovisionsofthisAgreement.

Article3:RentandPayment

3.1TheLesseeshallpaytherenttotheLessorinaccordancewiththefollowingschedule:

-[SubsequentPaymentDates]:[AmountperPaymentDate]

3.2Therentshallbepaidby[PaymentMethod],suchascash,check,orelectronictransfer.

Article4:UseoftheLeasedProperty

4.1TheLesseeshallusetheLeasedPropertysolelyforthepurposeofconducting[Lessee'sBusiness]asdescribedinArticle1.

4.2TheLesseeshallnotusetheLeasedPropertyforanyillegal,hazardous,orharmfulactivities.

4.3TheLesseeshallcomplywithallapplicablelawsandregulationsregardingtheuseoftheLeasedProperty.

Article5:MaintenanceandRepair

5.1TheLesseeshallberesponsibleforthemaintenanceandrepairoftheLeasedPropertyduringtheleaseterm,exceptforanyrepairsorreplacementsrequiredduetonaturalwearandtearorforcemajeureevents.

5.2TheLesseeshallpromptlyreportanydamageordefectstotheLessorupondiscovery.

Article6:Insurance

6.1TheLessorshallobtainandmaintaininsurancecoveragefortheLeasedProperty,includingbutnotlimitedtopropertyinsurance,liabilityinsurance,andworkers'compensationinsurance.

6.2TheLesseeshallobtainandmaintaininsurancecoverageforanyactivitiesconductedontheLeasedProperty,asrequiredbyapplicablelawsandregulations.

Article7:TerminationandRenewal

7.1ThisAgreementmaybeterminatedbyeitherPartyupontheoccurrenceofanyofthefollowingevents:

-DefaultbytheLesseeinpaymentofrentorotherobligationsunderthisAgreement;

-BreachofanymaterialtermorconditionofthisAgreementbyeitherParty;

-Insolvency,bankruptcy,orliquidationofeitherParty;

7.2UponterminationofthisAgreement,theLesseeshallvacatetheLeasedPropertyandreturnittotheLessorinthesameconditionasatthecommencementoftheleaseterm,exceptforreasonablewearandtear.

7.3ThisAgreementmayberenewedforanadditionaltermuponmutualwrittenagreementoftheParties.

Article8:Miscellaneous

8.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

8.2ThisAgreementmaybeamendedormodifiedonlybyawrittenagreementexecutedbybothParties.

8.3IfanyprovisionofthisAgreementisfoundtobeunenforceableorinvalid,theremainingprovisionsshallremaininfullforceandeffect.

Article1:Introduction

1.2ThePartiesagreethattheLesseeshallhavetheprimaryrightsandobligationsunderthisAgreement,whiletheThirdPartyshallprovidespecializedservicestotheLessee.

Article2:Lessee'sRightsandObligations

2.1TheLesseeshallhavetheexclusiverighttooccupy,use,andoperatetheLeasedPropertyforthedurationofthisAgreement.

2.2TheLesseeshallpaytherenttotheLessorinaccordancewiththepaymentscheduleprovidedinArticle3.

2.3TheLesseeshallensurethatallactivitiesconductedontheLeasedPropertycomplywithapplicablelawsandregulations.

2.4TheLesseeshallberesponsibleforanydamageorlosstotheLeasedPropertycausedbytheLesseeoritsagents,exceptfornormalwearandtear.

Article3:Lessor'sRightsandObligations

3.1TheLessorshallprovidetheLesseewithpossessionandquietenjoymentoftheLeasedPropertyforthedurationofthisAgreement.

3.2TheLessorshallmaintainthestructuralintegrityoftheLeasedPropertyandensurethatitisingoodconditionatthecommencementoftheleaseterm.

3.3TheLessorshallberesponsibleforanyrepairsormaintenancerequiredduetostructuraldefectsorforcemajeureevents.

Article4:ThirdParty'sRightsandObligations

4.1TheThirdPartyshallprovideconsultingandadvisoryservicestotheLesseeregardingtheLeasedProperty,includingbutnotlimitedtomarketanalysis,financialplanning,andoperationaloptimization.

4.2TheThirdPartyshallactinthebestinterestsoftheLesseeandshallnotengageinanyactivitiesthatmaybedetrimentaltotheLessee'sbusiness.

4.3TheThirdPartyshallprovideawrittenreportofitsservicesandrecommendationstotheLesseeattheendofeachfiscalyear.

Article5:Lessee'sAdditionalRightsandInterests

5.1TheLesseeshallhavetherighttoterminatethisAgreementwithimmediateeffectintheeventofabreachofanymaterialtermorconditionbytheLessorortheThirdParty.

5.2TheLesseeshallhavetherighttoreceiveadetailedaccountingofallexpensesincurredinrelationtotheLeasedProperty.

5.3TheLesseeshallhavetherighttonegotiatewiththeLessorforanymodificationstotheleasetermsthatmaybeintheLessee'sbestinterest.

Article6:Lessee'sLimitationsandRestrictions

6.1TheLesseeshallnotsublet,assign,ortransfertheLeasedPropertywithoutthepriorwrittenconsentoftheLessor.

6.2TheLesseeshallnotusetheLeasedPropertyforanyillegal,hazardous,orharmfulactivities.

6.3TheLesseeshallnotmakeanyalterationstotheLeasedPropertywithoutthepriorwrittenconsentoftheLessor.

Article7:Lessee'sDefaultandConsequences

7.1IftheLesseefailstopayrentorcomplywithanyotherobligationsunderthisAgreement,theLessorshallhavetherighttoterminatethisAgreementandrecoveranylossesincurred.

7.2IntheeventofabreachbytheLessee,theLesseeshallbeliableforanydamagesorlossessufferedbytheLessorortheThirdPartyasaresultofsuchbreach.

Article8:TerminationandRenewal

8.1ThisAgreementmaybeterminatedbyeitherPartyupontheoccurrenceofanyoftheeventsdescribedinArticle7.

8.2UponterminationofthisAgreement,theLesseeshallvacatetheLeasedPropertyandreturnittotheLessorinthesameconditionasatthecommencementoftheleaseterm.

8.3ThisAgreementmayberenewedforanadditionaltermuponmutualwrittenagreementoftheParties.

Article9:Conclusion

9.1TheinvolvementoftheThirdPartyinthisAgreementaimstoenhancetheLessee'sbusinessoperationsandensurethattheLessee'sinterestsareadequatelyrepresented.

9.2ThePartiesagreethattheLessee'srightsandinterestsareofparamountimportance,andtheLessorandtheThirdPartyshallactinamannerthatupholdstheLessee'sbestintereststhroughoutthedurationofthisAgreement.

9.3ThePartiesrecognizetheimportanceofabalancedrelationshipbetweentheLessee,theLessor,andtheThirdParty,andshallendeavortomaintainsucharelationshipforthebenefitofallpartiesinvolved.

INWITNESSWHEREOF,thePartiesheretohaveexecutedthisFactoryLeaseAgreementasofthedatefirstabovewritten.

Article5:Tenant'sAdditionalRightsandInterests

5.2TheTenantshallhavetherighttoreceiveadetailedaccountingofallexpensesincurredinrelationtotheLeasedProperty.

5.3TheTenantshallhavetherighttoterminatethisAgreementwithimmediateeffectintheeventofabreachofanymaterialtermorconditionbytheLandlordortheManager.

Article6:Landlord'sLimitationsandRestrictions

6.1TheLandlordshallnotentertheLeasedPropertywithoutpriornoticetotheTenant,exceptinthecaseofanemergencyortoperformnecessaryrepairs.

6.2TheLandlordshallnotsubletorassigntheLeasedPropertywithoutthepriorwrittenconsentoftheTenant.

6.3TheLandlordshallnotmakeanyalterationstotheLeasedPropertywithoutthepriorwrittenconsentoftheTenant.

Article7:Landlord'sDefaultandConsequences

7.1IftheLandlordfailstomaintaintheLeasedPropertyingoodconditionorfailstoperformanyobligationsunderthisAgreement,theTenantshallhavetherighttoterminatethisAgreementandrecoveranylossesincurred.
