公司之間合作的保密協議范本(2024版)合同編號：__________partiesthisnondisclosureagreement(hereinafterreferredtoas"nda")isenteredintoasof__________(the"effectivedate")andbetween:referredtoindividuallyasa"party"andcollectivelyasthe"parties."backgroundWHEREAS,partyaandpartybarebothengagedinthebusinessofprovidingcertainproductsandservices(the"business");WHEREAS,inthecourseoftheirbusinessoperations,thepartiesmayexchangecertainconfidentialandproprietaryinformation(the"confidentialinformation")thattheyconsidervaluableandwishtoprotectfromunauthorizeduseanddisclosure;WHEREAS,thepartiesdesiretoestablishcertainrightsandobligationswithrespecttotheuseandprotectionofsuchconfidentialinformation.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesagreeasfollows:article1confidentialinformation1.1definition.asusedinthisnda,"confidentialinformation"meansallinformationdisclosedapartytotheotherparty,whetherorally,inwriting,electronically,orinanyotherform,thatisidentifiedasconfidentialorthatareasonablepersonwouldunderstandtobeconfidential,including,butnotlimitedto,businessplans,strategies,operations,finances,customerandsupplierlists,pricingpolicies,productspecifications,researchanddevelopmentactivities,andanyotherinformationthatisrelatedtothebusinessofthedisclosingparty.1.2protectionofconfidentialinformation.eachpartyagreesthatitwillholdtheotherparty'sconfidentialinformationinconfidenceandwillnotdisclosesuchinformationtoanythirdpartyorusesuchinformationforanypurposeotherthantheperformanceofthisnda.eachpartywilltakereasonablestepstoprotecttheconfidentialityoftheotherparty'sconfidentialinformation,atleastasstringentasthepartywouldtakewithitsownsimilarinformation.article2exceptions2.1exceptions.theobligationssetforthinarticle1willnotapplytoanyinformationthat:(b)wasrightfullyinthereceivingparty'spossessionpriortodisclosurethedisclosingparty;(c)isindependentlydevelopedthereceivingpartywithoutuseofthedisclosingparty'sconfidentialinformation;or(d)isrequiredtobedisclosedacourtorderorotherlegalprocess,providedthatthereceivingpartyprovidesthedisclosingpartywithpromptnoticeofsuchrequirementandreasonableassistanceinseekingaprotectiveorderorotherappropriaterelief.article3durationandtermination3.1duration.theconfidentialityobligationssetforthinthisndawillcontinueforaperiodof__________yearsfromtheeffectivedate(the"term").3.2termination.eitherpartymayterminatethisndauponwrittennoticetotheotherparty.upontermination,eachpartywillreturnallconfidentialinformationoftheotherpartyinitspossessionorcontrol,andwilldestroyallcopiesofsuchinformation,exceptthatapartymayretainacopyoftheconfidentialinformationforpurposesofenforcementofthisnda.article4indemnification4.1indemnification.eachpartyagreestoindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththebreachofthisndaortheuseordisclosureofconfidentialinformationinviolationofthisnda.article5generalprovisions5.1EntireAgreement.ThisNDAconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.5.2Amendments.ThisNDAmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.5.4GoverningLaw.ThisNDAwillbegovernedandconstruedin一、附件列表：保密信息清單保密協議執行細則保密信息處理流程保密信息存儲和安全措施違約行為舉證材料保密協議終止證明文件法律名詞解釋匯編二、違約行為及認定：未經授權使用或披露保密信息未能遵守保密協議中的保護措施未能按時歸還或銷毀保密信息未能提供必要的協助以保護保密信息違反協議中的其他條款三、法律名詞及解釋：保密信息：指在協議期間由一方披露給另一方，并被標識為保密或按合理標準應被視為保密的所有信息。違約行為：違反協議條款的行為。執行中：協議生效期間，雙方履行協議義務的過程。保密協議：旨在保護特定信息不被未授權披露或使用的協議。四、執行中遇到的問題及解決辦法：問題：如何處理一方未能履行保密義務的情況？解決辦法：立即通知違約方，并要求其在一定期限內糾正違約行為。如違約方未能糾正，可尋求法律途徑維權。問題：如何確保保密信息的安全？解決辦法：實施加密存儲和傳輸措施，
