股票市場資金監控合同編號：__________stockmarketcapitalmonitoringstockmarketcapitalmonitoringagreementthisagreement(the"agreement")ismadeandenteredintoasof__________(the"effectivedate"),andbetween:__________("investor")__________("monitoringfirm")(eacha"party"andcollectivelythe"parties").referencestoapartyincludeitssuccessorsandassigns.1.purpose1.1theinvestordesirestoengagethemonitoringfirmtoprovidecapitalmonitoringservicesfortheinvestor'sstockinvestments(the"services")inaccordancewiththetermsandconditionssetforthinthisagreement.1.2themonitoringfirmagreestoprovidetheservicestotheinvestorinaccordancewiththetermsandconditionssetforthinthisagreement.2.services(a)thedateuponwhichtheservicesareterminatedinaccordancewithsection10.2;or(b)thedatewhichis__________yearsaftertheeffectivedate(the"term").2.2duringtheterm,themonitoringfirmshallprovidetheservicesinaccordancewiththefollowing:(a)themonitoringfirmshallmonitortheinvestor'sstockinvestmentsonadailybasistoensurethattheinvestor'sexposuretoanysinglestockorgroupofstocksdoesnotexceedtheinvestor'spredeterminedrisklimits;(b)themonitoringfirmshallprovidetheinvestorwithregularreportssettingforththeperformanceoftheinvestor'sstockinvestmentsandthemonitoringfirm'sanalysisofmarketconditions;and(c)themonitoringfirmshallprovidetheinvestorwithsuchotherassistanceandadviceastheinvestormayreasonablyrequestinconnectionwiththeinvestor'sstockinvestments.3.1inconsiderationfortheservicesprovidedunderthisagreement,theinvestorshallpaythemonitoringfirmafee(the"fee")equalto__________%oftheaveragedailyvalueoftheinvestor'sstockinvestmentsduringtheterm,calculatedonamonthlybasisinarrears.3.2theinvestorshallmakeallpaymentsofthefeetothemonitoringfirminaccordancewiththetermsoftheapplicablepaymentinstructionsprovidedthemonitoringfirm.4.termination4.3eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartyceasestoengageinthebusinessofprovidingcapitalmonitoringservices.4.4thisagreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyiftheotherpartyisindefaultofanyobligationunderthisagreementandsuchdefaultcontinuesforaperiodof__________daysafterreceiptofwrittennoticeofsuchdefaultfromthenonbreachingparty.4.5uponterminationofthisagreementforanyreason,themonitoringfirmshallimmediatelyceaseprovidingtheservicesandshallprovidetheinvestorwithanfinalreportsettingforththeperformanceoftheinvestor'sstockinvestmentsduringthetermandthemonitoringfirm'sanalysisofmarketconditions.5.Confidentiality5.1duringthetermofthisagreementandforaperiodof__________yearsfollowingtheterminationofthisagreement,thepartiesagreetomaintaintheconfidentialityofallconfidentialinformation(asdefinedinsection5.2)disclosedonepartytotheotherparty.5.2"confidentialinformation"meansallinformationdisclosedeitherpartytotheotherpartyunderthisagreement,whichisidentifiedasconfidentialatthetimeofsuchdisclosureorwhichshouldreasonablybeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofsuchdisclosure.5.3thepartiesagreethattheaboveobligationsofconfidentialityshallnotapplytoanyinformationwhich:(b)isrightfullyreceivedthereceivingpartyfromathirdpartywithoutanobligationofconfidentiality;(c)isindependentlydevelopedthereceivingpartywithoutuseofthedisclosingparty'sconfidentialinformation;or一、附件列表：1.投資者股票投資記錄2.監控公司資本監測報告3.投資者風險限制設定4.監控公司服務記錄5.雙方之間的通信記錄二、違約行為及認定：1.監控公司未能按照約定提供服務，或服務質量不符合協議要求。2.投資者未能按時支付費用。3.任何一方未經對方同意，泄露了保密信息。4.任何一方未能履行合同中的其他義務。三、法律名詞及解釋：1.違約：違反合同約定的行為。2.保密信息：指在合同過程中，一方披露給另一方的，并且被標識為保密或因其性質和披露情境應合理理解為保密的信息。3.資本監測服務：指監控公司為投資者提供的，對其股票投資進行日常監測，以確保投資者風險限制得到遵守的服務。4.有效日期：合同開始執行的日期。四、執行中遇到的問題及解決辦法：1.監控公司未能按時提供報告及時與監控公司溝通，要求其提供詳細情況和解決方案，必要時根據合同條款要求賠償。2.投資者未能按時支付費用發送催款通知，明確逾期支付的違約責任，并在必要時
