2024版英文咨詢服務合同Consulting合同編號：__________ConsultingServicesAgreement1.Services1.1Services.TheConsultantagreestoprovidetheClientwithconsultingservices(the"Services")inaccordancewiththetermsandconditionssetforthinthisAgreement.TheServicesshallinclude,butnotbelimitedto,thefollowing:(b)Conductingresearchandanalysisinrespectof____________________;(c)Preparinganddeliveringreports,presentationsandotherdocumentsasrequiredtheClient;and(d)Suchotherservicesasmaybeagreeduponthepartiesfromtimetotime.1.2Performance.TheConsultantshallperformtheServiceswithduecare,skillandexpertise,andinaprofessionalandtimelymanner.2.Term2.2Termination.eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticefromtheterminatingpartyspecifyingthenatureofsuchbreach.3.FeesandPaymentTerms3.1Fees.InconsiderationfortheServicesprovidedtheConsultant,theClientshallpaytheConsultantthefollowingfees(the"Fees"):(a)Afixedfeeof__________(the"FixedFee");and(b)Suchadditionalfeesasmaybeagreeduponthepartiesfromtimetotime.3.2PaymentTerms.TheClientshallmakepaymentoftheFeestotheConsultantwithin__________daysafterthedateoftheinvoiceissuedtheConsultant.4.Confidentiality4.1Confidentiality.Thepartiesagreetomaintaininstrictconfidenceandnotdisclosetoanythirdpartyanyconfidentialinformation(the"ConfidentialInformation")concerningthebusiness,operations,properties,personnel,financialaffairs,strategies,methods,processes,tradesecretsorotherproprietaryinformationoftheotherparty,exceptasmayberequiredlaworregulation,orasmaybenecessarytoperformtheServicesunderthisAgreement.4.2Exceptions.TheobligationsofconfidentialitysetforthinthisAgreementshallnotapplytoinformationthat:(b)Wasinthepossessionofthereceivingpartypriortothedisclosuretheotherparty;(c)IsindependentlydevelopedthereceivingpartywithoutuseoftheConfidentialInformation;or(d)Isrequiredtobedisclosedlaworregulation,oraspartofalegalproceeding.5.Indemnification5.1IndemnificationConsultant.TheConsultantagreestoindemnifyandholdharmlesstheClientfromandagainstanyandallclaims,losses,damages,liabilities,costsandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyactoromissionoftheConsultantintheperformanceoftheServicesunderthisAgreement.5.2IndemnificationClient.TheClientagreestoindemnifyandholdharmlesstheConsultantfromandagainstanyandallclaims,losses,damages,liabilities,costsandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeuseordisclosureoftheConfidentialInformationtheClient.6.GoverningLawandDisputeResolution6.1GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofthestateof____________________,withoutregardtoitsconflictoflawsprinciples.6.2DisputeResolution.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedarbitrationinaccordancewiththerulesofthe____________________仲裁委員會,andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.7.EntireAgreement7.1EntireAgreement.ThisAgreementconstitutestheentireagreementbetween一、附件列表：1.咨詢服務協議2.服務范圍詳細說明3.費用結構明細4.保密協議5.服務時間表6.付款憑證模板7.服務成果交付模板8.違約通知模板9.仲裁申請模板二、違約行為及認定：1.未按約定時間提供服務或交付成果2.未達到服務質量和標準3.未保守秘密導致信息泄露4.未按約定時間支付費用5.未履行合同約定的其他義務三、法律名詞及解釋：1.咨詢服務（ConsultingServices）：專業顧問為客戶提供的智力服務，如建議、分析、報告等。2.保密信息（ConfidentialInformation）：合同中未公開的與另一方業務相關的重要信息。3.違約（Breach）：未能履行合同中的任何義務。4.仲裁（Arbitration）：通過第三方仲裁機構解決合同爭議的非訴訟程序。5.適用法律（GoverningLaw）：支配合同解釋和執行的法律。四、執行中遇到的問題及解決辦法：1.服務進度延誤：與顧問溝通，制定新的時間表，必要時調整合同條款。2.
