賣方應保證本合同項下的商品由最好的材料制造、工藝一流、全新、未使用過，并且在質量、規格和功能各方面符合本合同的約定。

賣方同意采用慣常的和合理的商業作法滿足買方上述列明的交付日的要求。買方知悉裝運日期取決于場地的準備就緒、賣方從買方及時收到所有必要的信息以及賣方的轉供貨商對產品的及時發運。賣方不應對超出其控制的原因導致的未交付、延遲交付或錯誤交付(并且未在合理的時間內補救)對買方承擔賠償責任。

如果賣方應對貨物的不符承擔責任，并且買方已經在第15條至18條規定的索賠期限或質量保證期內提出索賠，賣方應根據其與買方達成的協議以下列方式向買方理賠：

a)Anycomplaintsoferroneousdespatchand/orapparentdamagetothegoodssuppliedshallbenotifiedinwritinggivingthereasonfortherequesttoreturnthegoodsandthedateandnumberoftheSeller'sinvoice.IfreturnofthegoodsisagreeduponbytheSellerinwritingbymeansofareturnauthorisationnotice,thegoodsshallbeforwardedinaccordancewiththeSeller'sinstructions;allgoodsreturnedmustbepackedintheiroriginalpacking.

對于提供的貨物的錯誤發運和/或顯而易見的損壞的投訴應以書面方式通知要求退貨的理由以及賣方的發票日期和編號。如果賣方通過發出退貨許可通知的書面方式同意退貨，貨物應根據賣方的指示發運，并且包裝應為其原始包裝。

b)Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer.

根據質量差的程度、損壞的程度和買方遭受的損失金額，降低貨物的價款。

c)Replacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformancestipulatedinthisContract.

用全新的符合本合同規定的規格、質量和功能的貨物更換有缺陷的貨物。

NogoodsmaybereturnedunlesstheSellerhavepreviouslyagreedinwritingtosuchreturnandtheBuyerhasfullyobservedanyconditionstheSellerhaveprescribed.UndernocircumstanceswilltheSelleracceptthereturnofgoodsspeciallyprocuredfortheBuyer.

除非賣方事先書面許可退貨并且買方遵守賣方制定的任何條件，否則任何貨物不得退回。在任何情況下，賣方均不接受對于買方專門采購的貨物的退回。

國際合同范本中英第5篇ShouldanythinghappenwhichpreventseitherPartyfromexecutingtheContractwhichcouldnotbecontrolled,avoidedandovercome,suchaswar,seriousfire,typhoon,earthquake,floodsandothercases,theconcernedPartyshallnotifytheotherPartybyfaxortelexwithintheshortestpossibletimeandsendbyregisteredairmailtotheotherPartyacertificateissuedbycompetentauthoritiesforconfirmationwithinfourteen(14)daysfollowingtheoccurrenceofthecaseofforcemajeure.

如果發生任何不能控制、不能避免并且不能克服的事件防礙任何一方對本合同的履行，諸如戰爭、重大火災、臺風、地震、水災和其他事件，受到影響的一方應在盡可能短的時間內以傳真或電傳通知另一方，并且應在該等不可抗力事件發生后14天內以掛號航空的方式向另一方發出一份由主管機關出具的證明加以確認。

TheconcernedPartyshallnotberesponsibleforanydelayorfailureinperforminganyoralloftheobligationsduetotheeventofforcemajeure.However,theconcernedPartyshallinformtheotherPartybytelexorfaxtheterminationoreliminationofthecauseoftheforcemajeureassoonaspossible.
