Collectivelyreferredtoasthe"Parties".

WHEREAS,PartyAisengagedin[DescriptionofPartyA'sbusiness],andPartyBisengagedin[DescriptionofPartyB'sbusiness];

WHEREAS,PartyAandPartyBdesiretoestablishabusinessrelationshipforthepurposeof[PurposeoftheAgreement];

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,thePartiesagreeasfollows:

1.ScopeofWork

PartyAagreestoprovide[DescriptionofProducts/Services]toPartyB,andPartyBagreestopurchasethesaidproducts/servicesfromPartyA.Thespecificdetailsoftheproducts/services,quantity,quality,deliveryterms,andpaymenttermsshallbesetforthinExhibitAattachedhereto.

2.TermandTermination

ThisAgreementshallcommenceon[EffectiveDate]andshallcontinueuntilterminatedbyeitherpartyupon[NoticePeriod]priorwrittennoticetotheotherparty.EitherpartymayterminatethisAgreementwithimmediateeffectintheeventofamaterialbreachbytheotherparty.

3.PriceandPaymentTerms

PartyBshallpayPartyAtheagreed-uponpricefortheproducts/servicesassetforthinExhibitA.Paymentshallbemadein[Currency]within[NumberofDays]daysfromthedateofdelivery.Latepaymentsshallincurinterestatarateof[InterestRate]permonth.

4.IntellectualPropertyRights

Anyintellectualpropertyrightsassociatedwiththeproducts/servicesprovidedbyPartyAshallremaintheexclusivepropertyofPartyA.PartyBshallnotuseorreproduceanysuchintellectualpropertywithoutthepriorwrittenconsentofPartyA.

5.Confidentiality

BothPartiesagreetokeepconfidentialanyandallproprietaryinformation,tradesecrets,customerlists,andotherconfidentialinformationdisclosedbyeitherpartyduringthecourseofthisAgreement.ThePartiesshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

6.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].

7.EntireAgreement

ThisAgreement,includinganyexhibitsattachedhereto,constitutestheentireagreementbetweenthePartiesandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten,relatingtothesubjectmatterhereof.
