常年法律顧問合同Long-termlegalcounselingAgreement甲方： (下稱甲方 )上海咨詢有限公司PartyA:.(Hereinafterreferredtoas “PartyA”)地址：Address：聯(lián)系人 Contactperson ：聯(lián)系方式 Contactnumber ：乙方：上海正地律師事務所 (下稱乙方 )PartyB:ShanghaiZhengDiLawFirm(Hereinafterreferredtoas “PartyB”)地址：上海市澳門路 736弄1號6樓Address:6F.No.1,Lane736,AomenRoad,shanghai聯(lián)系電話 Contactnumber ：64399013(fax) 本合約由上列甲乙雙方于中華人民共和國上海市訂立。ThisAgreementismadeandenteredintobyandbetweenthetwopartiesinShanghai,thepeople'srepublicofChina鑒于甲方?jīng)Q定聘用乙方為其常年法律顧問，甲乙雙方經(jīng)友好、充分之協(xié)商，就聘請合約的 條款及內容達成如下協(xié)議：WhereasPartyAdecidestoretainPartyBasitsIong-termlegalcounsei,thepartiesagreedthefollowingtermsandconditionsafterfriendlyandthoroughnegotiation.第一條聘用與期間Article1Retainingandserviceperiod1.1甲方聘請乙方作為常年法律顧問 ，聘用期間為壹年，從 2016年1月1日至2016年12月31日;PartyAretainsPartyBasitsIong-termlegalcounsel,theserviceperiodisoneyear,from1January2016to31December2016.1.2乙方指定 、 作為主要聯(lián)系人，負責跟進和處理甲方法律顧問事宜。PartyBassignslawyer , asmajorcoordinators,theywillberesponsibleforfollowinglawconsultingaffairsofPartyA.第二條服務內容及費用Article2Servicecontentandservicefees2.1本合約期（一年）的法律顧問費共人民幣 萬元整，包括如下內容：Thelegalcounselingpriceoftheagreement （Oneyear）isRMB Yuan,theservicecontentisasfollows:a） 法律咨詢：解答法律疑問，提供法律建議，出具法律意見 ；Legalconsult:Answerlegalquestions,givelegalsuggestions,andgivelegalopinions.b） 合同審查：起草審閱合同，提出修改意見，規(guī)范合同管理 ；Reviewcontract:draftandreviewcontract,giveamendingsuggestions,standardizecontractmanagement.c)參與決策：參與客戶決策，提供法律依據(jù)，防范法律風險 ;Participatedecision:participatedecisionoftheclient,providelegalbasis,andkeepawaylegalrisks.d)發(fā)函交涉：發(fā)出律師信函，代表甲方交涉，催促相關事宜 ;Givelettertocommunicate:givelawyer 'sletter,representtheclienttodealwith,pressrelatedissues.e)公開聲明：受權發(fā)表聲明，陳述甲方立場，澄清事實真相 ;Publicdeclaration:publishauthorizeddeclaration,statestheopinionofPartyA,clarifythefacts.f) 內部培訓：修改規(guī)章制度，舉辦法律講座，培訓客戶員工 ;Internaltraining:modifyrulesandpolicies,holdlegalseminars,andgivetrainingtoemployeesoftheclient.其它約定.Anyotherbusinessagreedbybothparties.2.2下列事務，甲方委托乙方辦理的，須另付律師費 .IfPartyAconsignsPartyBtodealwiththefollowingaffairs,PartyAwillpayadditionalattorneyfeetoPartyB:PartyAhaslawsuitorarbitrationneedtoentrustPartyBtoonbehalfofpartyAoncourt,includingthefirstinstanceinfringementordefense,secondinstanceinfringementordefense,Retrialappealordefend.Domesticarbitrationorinternationalarbitration,appealexecutingofsentenceorarbitration,promoteexecutiondispute.Applynationalcompensationetc,2.3以上乙方收取的法律服務費用不包括由法院或其他行政、事業(yè)機構收取的官方費用， 如訴訟費、查檔費、公證費等以及乙方為處理甲方事務去外地出差的差旅、住宿費等。TheaboveservicefeeschargedbypartyBdoesnotincludefeeschargedbycourtsorotherpublicauthorities (filingfee,notaryfee,feeofconsultingarchivesetc. )transportationand andlodgingcostsincurredwhenpartyBneedstodealwithaffairesofpartyAoutsideofShanghai.第三條 服務方式Article3servicemethod3.1甲方獲得或者乙方提供法律服務的方式或途徑包括：3.1ThewaysandmethodsPartyAgotlegalservicefromPartyB:電話咨詢;Phoneconsultation;面見商談;Interview;書面意見;Writte
