華南理工大學(xué)講座教授聘任合同EmploymentContractforChairProfessorofSouthChinaUniversityofTechnology聘任方：華南理工大學(xué)（簡稱甲方）受聘方：（簡稱乙方）PartyA:SouthChinaUniversityofTechnologyPartyB: 為進(jìn)一步實(shí)施人才強(qiáng)校戰(zhàn)略，保證我校講座教授工作的順利實(shí)施，保障甲乙雙方的合法權(quán)益，根據(jù)《中華人民共和國教師法》、《華南理工大學(xué)講座教授聘任辦法》的相關(guān)規(guī)定，經(jīng)甲乙雙方協(xié)商訂立本合同。Inordertofurtherimplementthepolicyof“StrengtheningtheUniversitybyRecruitingTalentedPeople”,toensurethatthechairprofessorundertakehis/herdutiessuccessfully,andtoguaranteethelegitimaterightsandinterestsofbothparties,thetwopartieshavereachedthefollowingagreementsinaccordancewithTheTeacher’sLawofthePeople’sRepublicofChinaandRulesandRegulationsforEmployingChairProfessorsatSCUT.聘期I.EmploymentTerm甲方聘任乙方為我校講座教授，崗位聘期為三年。聘期自20年月日至20年月日。聘任期滿，聘任合同自動解除。PartyAemploysPartyBaschairprofessoratSCUTforthreeyearsstartingfrom_______(date)of(month),(year)to(date)of(month),________(year).Upontheagreementexpiration,thecontractisautomaticallyterminated.乙方在聘期內(nèi)的工作任務(wù)II.DutiesandTasksofPartyB一、教學(xué)任務(wù)（包括承擔(dān)核心課程的講授任務(wù)，開設(shè)本學(xué)科前沿領(lǐng)域課程或講座等）：2.1Teaching(whichincludesteachingcoreandfrontiercoursesintherelatedfields,andlecturesandpresentations.)二、科研任務(wù)（包括以甲方為第一作者單位發(fā)表SCI收錄論文或出版論著，以甲方為依托單位主持或參與科研項(xiàng)目等）：2.2Scientificresearch(whichincludesSCIjournalpapersormonographswithPartyAasthefirstauthor’saffiliation,orresearchprojectsheadedbyPartyBorPartyB’sparticipationwithPartyAashis/heraffiliation.)三、學(xué)科建設(shè)任務(wù)（包括協(xié)助甲方相關(guān)學(xué)科建設(shè)，對學(xué)科發(fā)展方向和研究重點(diǎn)提供重要建議，擴(kuò)大甲方相關(guān)學(xué)科的國際影響力）：2.3DisciplineConstruction(whichincludesassistingPartyAinrelateddisciplineconstruction,puttingforwardsuggestionsondisciplinedevelopmentandonresearchpriorities,andhelpingPartyAtoenhanceitsinternationalinfluenceandstatusintherelateddisciplines.)四、人才培養(yǎng)任務(wù)（組建或參與組建科研團(tuán)隊(duì)，聯(lián)合培養(yǎng)博士、碩士研究生，指導(dǎo)博士后研究人員、青年教師，互派高級訪問學(xué)者等）：2.4Personnelcultivation(whichincludessettinguporhelpingsettingupscientificresearchteams,joint-supervisingPhDcandidatesandMA/MSCcandidates,supervisingpostdoctoralresearchersandyoungteachers,andhelpingwithorganizingexchangingvisitingscholars.)五、國際交流合作（包括促進(jìn)甲方與國外科研機(jī)構(gòu)或企業(yè)在科研項(xiàng)目合作、學(xué)術(shù)互訪、學(xué)生聯(lián)合培養(yǎng)等方面的合作，邀請知名外國專家來校訪問等）：2.5Internationalcommunicationsandcooperation(whichincludespromotingcooperationbetweenPartyAandinternationalresearchinstitutesandenterprisesonscientificandresearchprojects,academicvisitsandjoint-cultivationofstudents,andinvitingrenownedforeignexpertstoSCUT).六、其他任務(wù)：2.6Othertasks第三條 權(quán)利和義務(wù)III.RightsandObligations一、甲方權(quán)利3.1RightsofPartyA甲方根據(jù)學(xué)校的有關(guān)規(guī)定，對乙方進(jìn)行管理；甲方依照合同約定的工作目標(biāo)及任務(wù)，對乙方進(jìn)行考核。PartyAisentitledtosupervisePartyBinaccordancewithrelevantUniversityrulesandregulations,toassessPartyB’sperformanceonthebasisofthecontract.二、甲方義務(wù)3.2ObligationsofPartyA1．依法維護(hù)乙方應(yīng)享有的各項(xiàng)權(quán)利。3.2.1ToguaranteetherelevantrightsofPartyBinlinewiththecontract.2．為乙方提供的工作和生活條件：3.2.2ToprovidePartyBwiththefollowingworkingandlivingconditions:（1）乙方來校工作期間，甲方為乙方提供講座教授周轉(zhuǎn)公寓，入住期間發(fā)生的水電煤氣費(fèi)等由乙方自行繳納，學(xué)校按專家公寓房租標(biāo)準(zhǔn)收取租金；3.2.2.1ToprovidePartyBwithappropriateapartmentwithstandardschoolrent.PartyBneedstopayfortherentaccordingtothestandardofSCUT,aswellastheutilityfees(includingwater,electricity,andgas,etc.).（2）甲方為乙方在聘期內(nèi)購買一份保額拾萬左右的國內(nèi)意外傷害商業(yè)保險；3.2.2.2Topurchaseaccidentinsuranceof100,000RMBforPartyB.（3）在聘期內(nèi)，甲方根據(jù)講座教授工作需要提供科研活動經(jīng)費(fèi)貳拾萬元（主要用于國際差旅費(fèi)）。3.2.2.3ToprovidePartyBwithscientificresearchfundof200,000RMB(whichincludestravelexpenses)duringtheemployment.三、乙方權(quán)利3.3RightsofPartyB1．甲方根據(jù)乙方實(shí)際來校工作時間（附護(hù)照出入境記錄及來校機(jī)票復(fù)印件），按人民幣肆萬元/月（稅前）的標(biāo)準(zhǔn)計(jì)算薪酬。3.3.1PartyAshallpayPartyBpre-taxsalaryof40,000RMBpermonthinaccordancewithhis/heractualstayatSCUT.2．享受甲方為其提供的工作和生活條件。3.3.2PartyBhastherighttoenjoyworkandlivingfacilitiesprovidedbyPartyA.四、乙方義務(wù)3.4ObligationsofPartyB1.認(rèn)真遵守國家法律、法規(guī)和甲方的各項(xiàng)規(guī)章制度。3.4.1PartyBshallobservelawsanddecreesenactedbyPeople’sRepublicofChinaaswellasPartyA’srelevantregulations.2.聘期內(nèi)保證每年來校工作2個月（含）以上。3.4.2Duringtheemploymentterm,theactualin-servicetimeofPartyBshallbemorethan2months(include2months).3.全面履行崗位職責(zé)，完成崗位的工作目標(biāo)及任務(wù)；聘期結(jié)束時乙方須按要求向甲方提交聘期考核表；接受甲方的管理、監(jiān)督及考核。3.4.3PartyBshallfulfillthecorrespondingpostresponsibilitiesassignedtohim/herwithhighstandards.Attheendoftheemploymentterm,PartyBshallsubmittheemploymentperiodassessmentformtoPartyAasrequired.PartyBshallacceptPartyA’smanagement,supervision,inspectionandreviewofhis/herworkingperformance.4.乙方在校期間，應(yīng)遵守我國有關(guān)宗教法律法規(guī)，不得在校內(nèi)傳教，不得在校外組織或參加非法宗教活動，不得組織學(xué)生在校外參加任何宗教活動。3.4.4PartyBshallabidebythelawsandregulationsconcerningreligionsofChina,andshallnotpreachanyreligionoranyinappropriatebeliefinSCUT.PartyBshallnotorganizeorparticipateinanyillegalreligiousactivitiesororganizestudentstoparticipateinanyreligiousactivitiesoutsideSCUT.5.乙方應(yīng)根據(jù)中華人民共和國法律法規(guī)的規(guī)定繳納個人所得稅，并由甲方代扣代繳；如根據(jù)乙方國籍所在地法律法規(guī)的規(guī)定，乙方需就上述勞務(wù)費(fèi)在該地繳納稅費(fèi)的，乙方應(yīng)依法繳納并承擔(dān)因未繳納而產(chǎn)生的全部法律責(zé)任。3.4.5PartyBshallpaypersonalincometaxinaccordancewiththelawsandregulationsofthePeople’sRepublicofChina,andPartyAshallwithholdandremittax.IfPartyBisrequiredtopaytaxesorfeesontheabovesalaryinaccordancewiththelawsandregulationsoftheplaceofbirthofPartyB,PartyBshallpaycorrespondingtaxesorfeesaccordingtolawandbearalllegalliabilitiesarisingfromthenon-payment.第四條 考核IV.Assessment一、甲方根據(jù)聘任合同崗位目標(biāo)和工作任務(wù)對乙方進(jìn)行聘期考核，乙方須按要求向甲方提交考核材料，考核結(jié)果作為其績效評估的主要依據(jù)。4.1PartyAisentitledtoorganizeafinalassessmentonPartyBinaccordancewiththedutiesandtasksstipulatedinthecontract.ItisPartyB’sobligationtosubmitassessmentmaterialsanddocumentstoPartyA.TheresultsoftheassessmentshallberegardedasthemainbasisofPartyB’sperformance.二、聘期考核合格，經(jīng)個人申請，學(xué)校同意，可續(xù)聘講座教授；考核不合格者，不予續(xù)聘。4.2ThecontractmaybereneweduponPartyB’srequest，approvaloftherelevantschoolandatPartyA’sconsentifPartyBsucceedsinthefinalassessmentattheendofhis/heremployment.Thosewhohavefailedinthefinalassessmentarenoteligibletorenewtheircontracts.第五條 合同的變更與解除V.AlternationandTerminationoftheContract一、乙方在聘期內(nèi)如不能履行本合同所規(guī)定的職責(zé)，考核不合格或有違法違紀(jì)違反師德行為，甲方有權(quán)予以解聘，終止本合同。5.1PartyAisentitledtodismissPartyBandterminatethecontract,ifPartyBfailstoperformhis/herresponsibilitiesunderthiscontractorfailstopasstheperformanceassessment,orisinvolvedinanycriminalactivities,orviolatesteachers’moralityandobligations.二、乙方在聘期內(nèi)因特殊原因提出辭聘的，需提前三個月向甲方提出申請，經(jīng)甲方同意后方可辭聘，并視具體情況承擔(dān)相應(yīng)的違約責(zé)任。5.2PartyBmustsubmitwrittennoticetoPartyAthreemonthsinadvanceifhe/shewishestoterminatethecontractduetoeventsbeyondhis/hercontrol.PartyBcannotterminatethecontractwithoutPartyA’sconsent.PartyBisliabletobreachpenalties.三、乙方在聘期內(nèi)因考核不合格或因特殊原因提出辭聘的，甲方視具體情況要求乙方將撥發(fā)的科研活動經(jīng)費(fèi)退還甲方。5.3PartyAisentitledtodemandthatPartyBreturnthescientificresearchfundshouldPartyBsubmitarequesttoresignduetohis/herfailureintheassessmentoreventsbeyondhis/hercontrol.四、聘任期間如發(fā)生雙方無法預(yù)見、無法防范而致使合同無法正常履行的事由，需要變更或解除合同的，聘任雙方應(yīng)按照國家的有關(guān)法律妥善處理。5.4Shouldtherebeanyunpredictableorunavoidableeventsthatpreventthecontractfromfullimplementation,theconcernedpartiesshouldhandletheprobleminaccordancewithrelevantstatelawsandregulations.第六條 雙方約定的其他事項(xiàng)VI.Othermattersagreeduponbybothparties一、聘期內(nèi)，乙方在講座教授崗位上所取得的教學(xué)、科研等成果均屬職務(wù)成果，須歸屬甲方。其發(fā)表有關(guān)論文、著作等須屬甲方為第一作者單位；申報有關(guān)獎勵、專利和科研項(xiàng)目及經(jīng)費(fèi)等，均須署甲方為乙方第一工作單位。6.1AllteachingandresearchachievementsofPartyBinthepositionappointedbyPartyAwithinthetermshallbeserviceachievementsandbelongtoPartyA.AnypublishedpapersormonographsmustbepublishedwithPartyAasthefirstauthor’saffiliation;awards,patents,projects,andfundsshallbemarkedwithPartyAastheauthor’saffiliation.二、聘期內(nèi)，乙方保證對其科研成果擁有全部知識產(chǎn)權(quán)，不會對任何第三方構(gòu)成侵權(quán)，不違反其與其他高校或機(jī)構(gòu)的任何協(xié)議。如第三方就乙方的科研成果提出異議或者乙方所取得的科研成果造成對任何第三方的權(quán)利侵犯的，則由乙方負(fù)責(zé)處理并承擔(dān)相應(yīng)后果，如給甲方造成損失的，乙方應(yīng)當(dāng)予以賠償。6.2DuringPartyB’semploymentterm，PartyBshallguaranteetheownershipofallintellectualpropertyrightsofPartyB’sscientificresearchresultsobtained,andwithoutinfringementonanythirdpartyandviolationofanyagreementwithotheruniversitiesorinstitutions.IfanythirdpartylodgesanobjectiontoPartyB’sscientificresearchresultsorPartyB’sscientificresearchresultsinfringetherightsofanythirdparty,PartyBshallberesponsibleforhandlingandbearingcorrespondingconsequences.Insuchacase,shouldanylossbecausedtoPartyA,PartyBshallmakecorrespondingcompensation.三、聘期內(nèi)，乙方保證其未與其他高校或機(jī)構(gòu)簽訂競業(yè)禁止協(xié)議，乙方簽訂本合同不違反其與其他高校或機(jī)構(gòu)簽訂的任何協(xié)議；如因乙方與甲方簽訂本合同而導(dǎo)致乙方對第三方違約的，應(yīng)由乙方負(fù)責(zé)處理并承擔(dān)相應(yīng)后果，如給甲方造成損失的，乙方應(yīng)當(dāng)予以賠償。6.3DuringPartyB’semploymentterm,PartyBshallguaranteethatthereisnoprohibitionofbusinessstrifeagreementornon-disclosureagreementsignedwithanyotheremployer,norshallthiscontractviolateanyagreementsignedwithotheruniversitiesorinstitutions;ShouldPartyBbreachthecontractsignedwithathirdpartyduetothiscontractsignedbetweenPartyBandPartyA,PartyBshallbeliableforhandlingandbearingthecorrespondingconsequences.Insuchacase,shouldanylossbecausedtoPartyA,PartyBshallmakecorrespondingcompensation.第七條附則=7\*ROMANVII.Appendix一、本合同一式三份，甲方、乙方以及乙方所聘學(xué)院各持一份。本合同于簽字蓋章之日起生效。每份合同均用中文和英文寫成，兩種文字版本的合同于雙方當(dāng)事人簽字后生效，具有同等效力。如中英文版本之間有任何沖突，以中文版本為準(zhǔn)。7.1Thecontractismadeintriplicate.Eachpartyandtherelevantschoolholdonesetrespectively.Thecontractwillbecomevalidsincethedayofsigning.ThiscontractismadeinbothChineseandEnglish,andthecontractinbothlanguagesshallhavethesamelegaleffectuponsigningo
