公司可根據(jù)其業(yè)務(wù)需要以及員工的專業(yè)技能和工作表現(xiàn)等調(diào)整員工的工作崗位。WORKINGHOURS,HOLIDAYS,ANDLEAVE工作時間、節(jié)日、和假期BasedonthenatureoftheEmployee’sposition,theEmployee’sworkinghoursarestipulatedaccordingtoitem__below:基于員工工作崗位的性質(zhì),員工的工作時間如下文第項(xiàng)所述:Standardworkinghours:TheEmployeeshallwork8hoursadayand40hoursperweek;or標(biāo)準(zhǔn)工作時間:員工應(yīng)每日工作八小時,每周工作四十小時;或(ii) Flexible workinghours:TheEmployeeshall performhis/herdutiesattheCompanyflexiblyandinatimelymanner,pursuanttothebusinessneedsoftheCompanyandbasedontherequirementsoftheEmployee ’sposition. AstheEmployeehasflexible workinghours,務(wù)工中英文合同theEmployeeherebyexplicitlyacknowledgesthathe/sheshallnotbeentitledtoovertimepaymentasotheremployeeswhohavestandardworkinghoursmaybefortheirworkafternormalworkinghoursattheCompanyorduringholidays.不定時工作時間:根據(jù)公司的業(yè)務(wù)需要和員工工作崗位的要求,員工應(yīng)靈活和及時地履行其在公司的職責(zé)。因?yàn)閱T工的不定時工作時間,員工特此確認(rèn):與其他實(shí)行標(biāo)準(zhǔn)工作時間的員工不同,該員工不因?yàn)樵跇?biāo)準(zhǔn)工作時間之外的時間和節(jié)假日工作而享受加班費(fèi)的待遇。3.2TheEmployeeshallbeentitledto____workingdaysofannualpaidleaveduringthefirstcalendaryearofservice.Foreachsubsequentcalendaryear,thedaysoftheannualpaidleaveoftheEmployeeshallincreasebyone(1)day,providedthat,themaximumdaysofannualpaidleaveisfifteen(15)workingdays.ForanycalendaryearthattheEmployeedoesnotworkfortheCompanyforafullyear,thedaysofannualpaidleavefortheEmployeeshallbecalculatedpro-rataonthebasisoftheactualmonthsthattheEmployeehasworkedfortheCompanyinthatyear.員工在第一個日歷年的服務(wù)期間享受個工作日的帶薪年假。在隨后的日歷年度里,員工的帶薪年假天數(shù)將每年增加一(1)天,但最多不超過十五(15)個工作日。在任何日歷年度中,如果員工在公司沒有工作滿一整年,則員工的帶薪年假天數(shù)將按員工該年度在公司實(shí)際工作的月數(shù)按比例計(jì)算。TheEmployeeshalltakeannualpaidleavebasedonthebusinessneedsoftheCompanyandshallfollowrelevantcorporateapprovalproceduresfortakingannualpaidleavesoastoensurethat thebusinessoftheCompanywill務(wù)工中英文合同notbeadverselyaffectedowingtotheabsenceoftheEmployee.員工應(yīng)根據(jù)公司的業(yè)務(wù)需要并應(yīng)依照公司的有關(guān)批準(zhǔn)程序安排帶薪年假,以保證公司的業(yè)務(wù)不會因員工休假而受到不利影響。3.3 TheEmployeeshallenjoytheChinesepublicholidays,statutory leaveapplicable totheconcernedEmployee,andall otherholidays that aregrantedinaccordancewiththerulesandregulationsoftheCompany.員工應(yīng)享受xx的公共節(jié)假日、適用于該員工的法定假期、以及按照公司的規(guī)章制度確定的其他全部假期。LABOURPROTECTIONANDWORKINGCONDITIONS勞動保護(hù)和勞動條件TheCompanyshallprovidetheEmployeewiththenecessaryworkingconditionsandfacilities/equipment.TheCompanyshallalsoestablishandmaintainalaborsecurityandsanitarysystemthatcomplywithapplicablelawsandregulationsonworkplacehealthandsafety.公司應(yīng)為員工提供必要的勞動條件和設(shè)施/設(shè)備。公司亦應(yīng)建立和保持一個符合工作場所健康和安全法規(guī)規(guī)定的勞動安全和衛(wèi)生體系。務(wù)工中英文合同REMUNERATION勞動報酬5.1 TheCompanyshallprovidethefollowingremunerationtotheEmployee:公司應(yīng)向員工提供下列待遇:(i) Abasesalary ofRMB_______________Yuanpermonth;Notwithstandingtheforgoing,duringtheprobationary periodassetforth inSection1.3above,thebasesalaryshallbeattheamountofRMBYuanpermonth;Themonthlysalary shall bepaidon10ineachmonth.月基本工資為人民幣元(盡管有上述規(guī)定,在上文第1.3條規(guī)定的試用期內(nèi),月基本工資為人民幣_____________元);月薪應(yīng)于每月 10日支付。Ayearendbonus,basedontheEmployee'sperformance,attheCompany'sdiscretion(notwithstandingtheforgoing, forthefirst calendaryearattheCompany,theyearendbonusoftheEmployeewillbepaidpro-rataonthebasisofactualmonthsthattheEmployeehasworkedfortheCompanyinthat calendaryear);年終獎應(yīng)由公司根據(jù)員工的表現(xiàn)自行決定(盡管有上述規(guī)定,對于員工在公司工作的第一個日歷年度,員工的年終獎將按員工該年度在公司實(shí)際工作的月數(shù)按比例支付);(iii) Standardemployeebenefits oftheCompany,includingparticularlyannualpaidholidaysandmedical務(wù)工中英文合同insurance,asspecifiedinthisAgreementandtheCompany'semployeehandbook.公司的標(biāo)準(zhǔn)員工福利,特別包括在本合同中和公司員工手冊中規(guī)定的帶薪年假和醫(yī)療保險。TheEmployeeherebyagreesthattheCompanymayatitssolediscretionandfromtimetotimeadjusttheremunerationoftheEmployeeafterdiscussionandconsultationwiththeEmployeeaccordingtotheCompany’srelevantcompensationandbenefitspolicy.員工特此同意:經(jīng)與員工討論和協(xié)商,公司可自行酌處,根據(jù)其相關(guān)薪酬xx政策不時地調(diào)整員工的待遇。5.2 TheCompanyshallmakeamandatorysocialinsurancecontribution(includingtheportionthattheEmployeeisobligatedtocontribute)totherelevantsocialinsuranceagenciesfortheEmployeeattheCompany'sowncost.公司應(yīng)向相關(guān)的社保機(jī)構(gòu)自費(fèi)為員工繳納法定的社會保險(包括員工個人應(yīng)承擔(dān)的部分)。5.3 TheCompanyshalldeductandwithholdfromtheEmployee'smonthlysalarythecorrespondingamountofindividualincometaxthattheEmployeeisobligatedtopayaccordingtolaw.公司應(yīng)從員工的月工資中依法代為扣繳員工應(yīng)繳納的相應(yīng)個人所得稅。5.4 IftheEmployeefollowsthesystemof"standardworkinghours"asstipulated initem(i) ofSection3.1above,theCompanyshallmakeovertimepaymentstotheEmployeeforhis/herovertimeworkfortheCompanyinaccordancewith務(wù)工中英文合同Chineselaw.Notwithstandingtheforegoing,anyovertimeworkmustbeapprovedinadvancebytherelevantmanagementoftheCompanyaccordingtotherelevantrulesandregulationsoftheCompany.如果員工按照上文第3.1條第(ⅰ)項(xiàng)規(guī)定的“標(biāo)準(zhǔn)工作時間”工作,公司應(yīng)根據(jù)xx法律的規(guī)定就員工的加班工作向員工支付加班費(fèi)。盡管有上述規(guī)定,任何加班需經(jīng)公司相關(guān)管理層按照公司的有關(guān)規(guī)章制度事先批準(zhǔn)。LABORDISCIPLINE,RULES,ANDREGULATIONSOFTHECOMPANY勞動紀(jì)律和公司的規(guī)章制度6.1 TheCompanyshall beentitled, inits solediscretion, toformulateandreviseitslabordisciplineanditscorporaterulesandregulationsfromtimetotime,providedtheCompanynotifiestheEmployeeofanyneworrevisedlabordiscipline,orcorporaterulesorregulationsbeforetheytakeeffect.公司有權(quán)自行酌處,不時地制訂和修訂其勞動紀(jì)律和公司規(guī)章制度;但是,在任何新制訂或修訂的勞動紀(jì)律或公司規(guī)章制度生效前,公司應(yīng)通知員工。6.2 TheEmployeeshallcarefullyreadandfullyunderstandalllabordiscipline,rules,andregulationsoftheCompany;and,theEmployeeshallstrictlycomplywithandabidebythesame.員工應(yīng)仔細(xì)閱讀、充分理解、并嚴(yán)格執(zhí)行公司的全部勞動紀(jì)律和規(guī)章制度。務(wù)工中英文合同Anyviolationofthelabordiscipline,rules,orregulationsoftheCompanyshallbedeemedaseriousviolationoftheAgreement.任何對公司的勞動紀(jì)律或規(guī)章制度的違反均應(yīng)被視為本合同項(xiàng)下的重大違約。6.3 Asaconditionofemployment,EmployeeshallsignandagreetoabidebytheConfidentiality,Non-CompetitionandIntellectualPropertyRightsAgreement,whichisattachedasExhibitAhereto.作為本合同的條件,員工應(yīng)簽署并同意遵守《保密,競業(yè)禁止及知識產(chǎn)權(quán)保護(hù)協(xié)議》(見本合同附件A)。AMENDMENT,NULLIFICATION,ANDTERMINATIONOFTHISAGREEMENT合同的變更、解除和終止7.1 Exceptasotherwisespecifiedherein,anyamendmenttothisAgreementshallbemadejointlybythePartiesinwriting.除本合同另有約定之外,本合同的任何修訂均應(yīng)由雙方共同書面做出。7.2 ThisAgreementmaybenullifiedandthendeemednullandvoidifmutuallyagreedtoinwritingbybothParties.經(jīng)雙方書面協(xié)商一致,可解除本合同。7.3 TerminationoftheAgreement務(wù)工中英文合同合同終止 ThisAgreementshall beterminated inanyofthefollowingcircumstances:有下列情形之一的,本合同終止:theAgreementexpiresandisnotrenewedaccordingtoSection1.2above;合同期滿并且未依照上文第 1.2條續(xù)延;theEmployeehaslosttherelevantprofessionalqualificationrequiredforperformanceofhis/herworkingdutiesasagreedherein(e.g.,driver'slicense,accountant'squalification);員工不再具有為履行其在本合同項(xiàng)下的工作職責(zé)所要求的相關(guān)專業(yè)資質(zhì),例如,駕駛執(zhí)照,會計(jì)師資格;theEmployeeretiresinaccordancewithapplicableChineselaw,dies,orisdeclareddeadordisappearedbyacourt;員工根據(jù)xx法律退休,死亡,或被法院宣告死亡或失蹤;theCompanygoesintobankruptcy,dissolution,orrevocation;公司破產(chǎn)、解散、或者被撤銷;theEmployeehasbeenconfirmedbyaqualifiedexaminationagencyashavingpartiallylostthecapacitytoworkowingtoanoccupationaldiseaseoranon-dutyinjury;and,theCompanyhaspaidrelevantdisabilitysubsidyaccordingtolaw;務(wù)工中英文合同員工患職業(yè)病或因工負(fù)傷,已被合格的鑒定機(jī)構(gòu)確認(rèn)為部分喪失勞動能力,并且公司已依法支付傷殘就業(yè)補(bǔ)助金;theEmployeehasbeenconfirmedbyaqualifiedexaminationagencyashavingcompletelyormateriallylostthecapacitytoworkowingtoanoccupationaldiseaseoranon-dutyinjury;theCompanyhaspaidrelevantdisabilitysubsidyaccordingtolaw;and,theCompanyandtheEmployeehaveconsultedandreachedagreementtoterminatethisAgreement;or員工患職業(yè)病或因工負(fù)傷,已被合格的鑒定機(jī)構(gòu)確認(rèn)為完全或大部分喪失勞動能力,公司已依法支付傷殘就業(yè)補(bǔ)助金;并且,公司和員工協(xié)商一致終止本合同;或anyothercircumstancesasprovidedforinlaworanyotherterminationeventsthattheCompanyandtheEmployeehaveagreedherein.法律規(guī)定的任何其他情形、或公司和員工在本合同中約定的任何其他終止情形。 務(wù)工中英文合同不論上文第條有何不同規(guī)定,有下列情形之一的,本合同應(yīng)順延至下列情形消失時方可根據(jù)上文第條被終止:theEmployeeisundergoingaprescribedperiodofmedicaltreatmentforanillnessorforanoff-dutyinjury;員工患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期內(nèi);theEmployee(iftheEmployeeisafemale)ispregnant,inconfinementornursing;or員工(若是女員工)在孕期、產(chǎn)期、哺乳期內(nèi);或othercircumstancesunderwhichtheapplicablelawprohibitstheterminationofthisAgreement.適用法律禁止本合同終止的其他情形。7.4 TheCompanymayunilaterally andimmediately nullify thisAgreementinanyofthefollowingcircumstanceswhere:有下列情形之一的,公司可以單方面隨時解除本合同:theEmployeehasfailedtosatisfythespecifiedrecruitmentrequirementsoftheCompanyduringtheprobationaryperiodassetforthinSection1.3above;員工在上文第1.3條規(guī)定的試用期內(nèi)被證明不符合公司的有關(guān)錄用條件;theEmployeehasseriouslyviolatedthelabordisciplineortherulesorregulationsoftheCompany;務(wù)工中英文合同員工嚴(yán)重違反勞動紀(jì)律或者公司的規(guī)章制度;theEmployeehasbreachedmaterialagreementsenteredbetweentheCompanyandtheEmployee,includingbutnotlimitedto,theConfidentiality,Non-CompetitionandIntellectualPropertyRightsAgreement(SeeExhibitA);員工違反和公司另行簽訂的重大協(xié)議,包括但不限于,保密,競業(yè)禁止及知識產(chǎn)權(quán)保護(hù)協(xié)議(見附件A);theEmployeehascommittedanactionofseriousderelictionofdutyorcorruption,andtherebycausedsubstantialharmtotheinterestsoftheCompany,forexample,causingseriousinjuryordeathofanotherperson;員工嚴(yán)重失職或營私舞弊,并因此造成對公司利益的重大損害,例如,致使他人重大傷亡;theEmployeeprovidedfalseinformationinhis/herapplicationfortheposition(e.g.,informationpertainingtohis/heridentity,educationbackground,andemploymenthistory);(vi)(vii)
員工在應(yīng)聘時提供虛假信息,例如,身份、教育背景、和工作經(jīng)歷;theEmployeeissubjecttocriminalpenalty;or員工被依法追究刑事責(zé)任的;或Othercircumstancesasprovidedbyapplicablelaw.適用法律規(guī)定的其他情形。務(wù)工中英文合同7.5 UnilateralNullificationbytheCompany公司單方解除合同 TheCompanymayunilaterally nullify this Agreementwiththirty(30)daysadvancewrittennoticeinanyofthefollowingcircumstanceswhere:有下列情形之一的,公司可以單方解除本合同,但是應(yīng)當(dāng)提前三十(30)日書面形式通知員工:(i) theEmployeehasfallenillorhassustainedoff-dutyinjuryandcannotengageintheoriginalworkoranyotherworkassignedbytheCompanytohim/herupontheconclusionofhis/hermedicaltreatment;員工患病或者非因工負(fù)傷,醫(yī)療期滿后不能從事原工作,亦不能從事公司安排的其他工作;(ii) theEmployeehasbeenincapableofdoinghis/herandremainsincapableofdoingsoafterreceivingtrainingorbeingtransferredtoanotherpost;or
job員工不勝任工作,經(jīng)過培訓(xùn)或者調(diào)整工作崗位仍不能勝任工作;或therehasoccurredamajorchangetotheobjectivecircumstancesunderwhichthisAgreementwasconsummated,whichhasrenderedthisAgreementincapableofbeingperformed,andthePartieshavefailedtoreachanagreementontheamendmenttothisAgreementafterconsultation.本合同訂立時所依據(jù)的客觀情況發(fā)生重大變化,致使本合同無法履行,經(jīng)雙方協(xié)商仍不能就變更合同達(dá)成一致。務(wù)工中英文合同 但是有下列情形之一的,公司不得依據(jù)上文第條的規(guī)定解除本合同:theEmployeehassufferedfromanoccupationaldiseaseorhassustainedanon-dutyinjury,andithasbeenconfirmedthattheEmployeehascompletelyorpartiallylostthecapacitytowork;員工患職業(yè)病或因工負(fù)傷,并被確認(rèn)完全或者部分喪失勞動能力;theEmployeeisundergoingaprescribedperiodofmedicaltreatmentforanillnessorforanoff-dutyinjury;員工患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期內(nèi);theEmployee(iftheEmployeeisafemale)ispregnant,inconfinementornursing;or員工(若是女員工)在孕期、產(chǎn)期、哺乳期內(nèi);或othercircumstancesunderwhichtheapplicablelawprohibitstheCompanyfromnullifyingthisAgreement.適用法律禁止公司解除本合同的其他情形。7.6 UnilateralNullificationbytheEmployee員工單方解除合同務(wù)工中英文合同 Generally,theEmployeemayunilaterallynullifythisAgreementbyservingninety(90)daysadvancewrittennoticetotheCompany.通常情況下,員工經(jīng)提前九十(90)天書面通知公司,方可單方解除本合同。 immediatelynullifythisAgreementunderanyofthefollowingcircumstances:盡管有上文第條的規(guī)定,有下列情形之一的,員工可隨時通知公司并單方解除本合同:duringtheprobationaryperiodassetforthinSection1.3above;在上文第1.3條規(guī)定的試用期內(nèi);theCompanyisunabletopaythesalaryinaccordancewiththisAgreement;or公司未能按照本合同支付勞動報酬;或theCompanyforcestheEmployeetoworkbymeansofviolence,threat,andillegalrestrictionoftheEmployee’spersonalfreedoms.公司以暴力、威脅、或者非法限制人身自由的手段強(qiáng)迫勞動。7.7 TheCompanymaynullify this AgreementbymeansoflayingofftheEmployeeinaccordancewiththerelevantstatutoryproceduresiftheCompanyexperiencesserioushardshipin務(wù)工中英文合同itsbusinessoperationanditisnecessarytolayoffitsemployees.若公司遭遇嚴(yán)重的經(jīng)營困難必須裁員時,公司可以依據(jù)相關(guān)的法定程序通過裁員的方式解除本合同。7.8 Ifapplicable,intheeventthateitherPartynullifiesshallindemnifythelossesoftheotherParty.在適用的情況下,若一方未按照上文第條或第條的規(guī)定以事先書面通知的形式解除本合同,該一方應(yīng)賠償另一方的損失。7.9 Incasethis Agreementisnullified orterminated pursuanttothetermsandconditionsofthisAgreementandasstipulatedabove,theCompanyshallissueawrittencertificatetotheEmployeetoevidencethattheemploymentrelationshipbetweentheCompanyandtheEmployeehasended.若本合同根據(jù)本合同的條款和上述規(guī)定被解除或終止,公司應(yīng)向員工出具書面證明,以證明公司和員工的勞動關(guān)系結(jié)束。ECONOMICCOMPENSATIONANDINDEMNITY經(jīng)濟(jì)補(bǔ)償和賠償8.1 Ifapplicable,theCompanyshallmakeseverancepaymenttotheEmployeeinaccordancewithapplicableChineselawwherethisAgreementisnullifiedorterminated.務(wù)工中英文合同如適用,在本合同被解除或終止時,公司應(yīng)依照xx有關(guān)法律的規(guī)定給予員工經(jīng)濟(jì)補(bǔ)償。8.2 WheretheCompanyrecruitstheEmployeebymeansofheadhunting,providestheEmployeewithtrainingattheCompany'sexpense,orprovidesanyspecialpreferentialtreatmenttotheEmployee,iftheEmployeenullifiesthisAgreementinviolationoftherelevantagreement(s)betweentheCompanyandtheEmployee,thentheEmployeeshallreimbursetheCompanytheexpensesinaccordancewiththespecificagreement(s).在公司通過獵頭聘用員工、出資培訓(xùn)員工、或給予員工特殊待遇的情況下,若員工違反公司和員工間的有關(guān)協(xié)議解除本合同,則員工應(yīng)依據(jù)相應(yīng)協(xié)議補(bǔ)償公司的相應(yīng)費(fèi)用。8.3 IfthisAgreementisnullifiedduetotheEmployeebreachofthisAgreementortheNon-CompetitionandIntellectualPropertyRightsAgreementbetweentheCompanyandtheEmployee,andtheEmployeehascausedlossestotheCompany,theEmployeeshallcompensatethelossesoftheCompany.

Anyinformation whichthecustomersand/orbusinesspartnersoftheCompanyoranyAffiliateconsiderconfidential andinrespect ofwhichtheCompanyoranyAffiliatemaybesubjecttoconfidentialityornon-disclosureobligations,whetherexpressedorimplied;and務(wù)工中英文合同公司或任何xx公司的客戶和/或商業(yè)伙伴認(rèn)為屬于保密的,并且公司或任何xx公司對此承擔(dān)保密或不披露義務(wù)(不論是明示的還是默示的)的任何信息;以及(iii) All otherinformation ofanynaturewhatsoeverwhichmaybedisclosed ormadeknowntotheEmployeeatanytimeduringthecourseoftheemploymentwiththeCompany,whetherornotheorsheisperformingduties foror isundergoing trainingby theCompanyoranyAffiliate.員工在受雇于公司期間的任何時候(不論員工是為公司或任何xx公司工作還是接受其培訓(xùn))被告知或得知的任何性質(zhì)的任何其他信息。TheConfidentialInformationdoesnotincludeanyinformationthat:(i)becomesgenerallyavailabletothepublicotherthanasaresultofadisclosurebytheEmployeeinviolationofthisAgreement;(ii)wasavailabletotheEmployeepriortoitsdisclosuretotheEmployeebytheCompanyoritsrepresentatives;or(iii)isotherwisemadeavailabletotheEmployeewithoutawrongfulactonthepartofthepartyprovidingtheinformation.保密信息不包括任何下述信息:(I)為公眾所能普遍獲取的信息(但因員工違反本協(xié)議的約定進(jìn)行披露導(dǎo)致該等信息成為公眾所能普遍獲取的信息除外);(ii)在公司或其代表向員工披露之前,員工已獲知的信息;或(iii)其他在信息提供方無過錯的情況下向員工提供的信息。CONFIDENTIALITY保密務(wù)工中英文合同2.1 TheEmployeeherebyrepresents,warrants,and/orcovenantstotheCompanythat:員工茲此向公司聲明、保證和承諾如下:(i)theexecutionandperformanceoftheEmployee’sobligationsundertheEmploymentAgreementandthisAgreementbytheEmployeewillnotbreachanycovenantoragreementthattheEmployeehasenteredintowithanyofhis/herformeremployer(s),orbreachanyobligationowedtoanyotherthirdparty,orinfringeanyrightsofanythirdparty;員工對勞動合同和本協(xié)議的簽署以及對協(xié)議項(xiàng)下勞動義務(wù)的履行,不違反員工對其任何前雇主作出的任何承諾或員工與其任何前雇主所簽訂的任何協(xié)議、不違反員工對任何第三方的任何義務(wù)、亦不侵害任何第三方的任何權(quán)利;(ii) theEmployeewillnotdisclosetotheCompany,oruseorinducetheCompanytouse,anyconfidentialorproprietaryinformationormaterialbelongingtoanypreviousemployeroranyotherthirdparty;or,員工不得向公司披露、使用、或促使公司使用,屬于其任何前雇主或其他第三方的任何保密信息、專有信息、或資料;或theEmployeeisnotcurrentlyaparty,andwillnotbecomeaparty,toanyotheragreementthatisinconflict,orwillpreventtheEmployeefromcomplying,withthisAgreement.務(wù)工中英文合同2.22.3
員工未簽署,并保證不簽署任何與本協(xié)議存在沖突或妨礙員工履行本協(xié)議義務(wù)的任何其他協(xié)議。TheEmployeeshallkeepstrictconfidentialityoftheConfidentialInformationandshallnotdiscloseanyConfidentialInformationorallowsuchinformationtobedisclosedtoanythirdparty(forthepurposeofclarification,suchthirdpartiesshallincludeanyotheremployeesoftheCompany,unlesssuchdisclosureisnecessaryforthepurposeoftheemployment)andthattheEmployeeshalluseanyandallConfidentialInformationsolelyforthepurposeoftheemploymentandshallnotdisclose,duplicate,orotherwiseusetheConfidentialInformationforanyotherpurpose.員工應(yīng)對保密信息嚴(yán)格保密,不得向任何第三方(為避免疑問,該等第三方應(yīng)包括公司的其他員工,除非該等披露是出于工作的需要)披露任何保密信息或允許該信息被披露給上述任何第三方。員工應(yīng)僅為工作目的使用任何及所有保密信息,不得為其他任何目的披露、復(fù)制或以其他方式使用任何保密信息。Forthepurposeofclarification,theEmployeeherebyacknowledgesthattheconfidentialityobligationsasstipulatedinSection2.2aboveshallcontinueexistingaftertheEmployeeendshis/heremploymentwiththeCompanyforwhatsoeverreasons(suchasterminationornullificationoftheEmploymentAgreement),untiltherelevantConfidentialInformationbecomesgenerallyavailabletothepublicotherthanasaresultofadisclosure bytheEmployeeinviolation ofthis Agreement.務(wù)工中英文合同為避免疑問,員工特此聲明:在員工結(jié)束其與公司的勞動關(guān)系之后,不論原因如何(如勞動合同的終止或解除),上述第2.2條規(guī)定的保密義務(wù)將保持有效,直至相關(guān)保密信息已成為公眾所能普遍獲取的信息(但因員工違反本協(xié)議的約定進(jìn)行披露而導(dǎo)致該等信息成為公眾所能普遍獲取的信息除外)。2.4
Upontheterminationornullificationofhis/heremploymentwiththeCompany,theEmployeeshall forthwithreturn totheCompanyortherelevant Affiliate (andwillnotkeepinhis/herpossession,reproduceordelivertoanyoneelse) anyandall computers,discs, CDs,software,documents,papers, books,materials, archives, receipts,vehicles, credit cards, correspondence, manuals,records,and/orotherpropertyanddocumentsthatbelongtotheCompanyoritsAffiliates,aswellasanyandallcopiesthereofwhichareunderhisorherpossessionand/orcontrol.在其與公司的勞動關(guān)系終止或解除時,員工應(yīng)立即向公司或相應(yīng)的xx公司歸還(并不得繼續(xù)占有、復(fù)制或向他人交付)任何及所有屬于公司或xx公司的計(jì)算機(jī)、盤片、CD、軟件、文件、紙張、書籍、資料、檔案、收據(jù)、車輛、信用卡、信件、手冊、記錄、其他所有的財(cái)產(chǎn)和文件、以及員工占有和/或控制的任何和全部上述物件的復(fù)制件。2.5 TheEmployeeherebyagreesthat,iftheEmployeehasstoredanyConfidentialInformationinhis/herownpersonalproperty(suchaspersonalcomputer),theEmployeeshallprovidetheCompanywithacopyofsuchConfidentialInformationandthendeletetheConfidentialInformationfromtheEmployee'spersonalpropertyforever.IfthecopyingorthedeletionasdiscussedinthisSection2.5isnotfeasibleforwhatsoeverreasons,uponthe務(wù)工中英文合同requestoftheCompany,theEmployeewilltransfertheownershipofsuchpersonalpropertiestotheCompany;and,theCompanyshallcompensatetheEmployeeatanamountequaltotheactualvalueoftheconcernedpersonalproperty.員工茲此同意:若員工在其個人財(cái)產(chǎn)(如個人電腦)中存有任何保密信息,員工應(yīng)向公司提供該等保密信息的復(fù)制件,并將該等保密信息從員工的個人財(cái)產(chǎn)中永久刪除。若本第2.5條提及的復(fù)制或刪除因任何原因而無法實(shí)現(xiàn),應(yīng)公司要求,員工應(yīng)向公司轉(zhuǎn)移該個人財(cái)產(chǎn)的所有權(quán),公司應(yīng)向員工支付金額等于該個人財(cái)產(chǎn)實(shí)際價值的補(bǔ)償金。2.6 UpontheterminationornullificationoftheEmployee'semploymentpursuanttotheEmploymentAgreement,theEmployeewillsignanddelivertotheCompanyawrittencertificationofhis/hercompliancewithhis/herobligationsunderthisSection2.4andSection2.5.在員工與公司基于勞動合同的勞動關(guān)系終止或解除時,員工應(yīng)簽署并交付給公司一份書面證明,證明其已履行本第2.4條和第2.5條項(xiàng)下的義務(wù)。NON-COMPETITION競業(yè)禁止3.1 Duringhis/her employmentwiththeCompanyandwithin two(2)yearsafter his/her employmentwiththeCompanyends,tothefurthestextentpermittedbytheChineselaw,theEmployeeshallnot,directlyorindirectly,establish,carryon,participatein,workfor,providefinancialsupportorsecurityfor,oradvise,anyentitiesor務(wù)工中英文合同individuals
