The contract documents sh

11、 xxxx1.1.7 工程質量：質量合格，達到本合同要求和國家質量驗收標準，并確保竣工驗收一次合格。驗收內容包括但不僅限于：隱蔽工程；分項工程；實驗報告；材料檢驗報告。如果由于驗收未能一次通過而導致后續工程開工的延遲，乙方將按照每日工程總款的2 金額賠償給甲方作為罰金，但最多不超過工程總價款的5% 。Quality ofProject: The quality should be“ Excellent” , and shall meet the requirements bythis contract and the National Quality Standards, and should

Party B shallcompensate PartyA at the daily rate of 2 of the total contract amount as penalty, but thetotal amount shall not exceed 5% of the total contract amount.1.1.8 工程資質：在實施此合同所涉及的工程時，乙方應確保其具有相關資質。如乙方因為不具備相關

14、資質導致甲方的損失或工程進度的滯后，乙方承擔全部責任。Qualifications: Party B represents and warrants it is competent and legitimate to carry out the services that set forth under this Agreement when implementing this contract. Party B shall be responsible for any delay of the construction induced by their insufficient qualif

15、ications.1.2 合同價款：Contract Amount本合同價款為人民幣xxxx ，為固定總價合同價款。The total contract amount is xxxx, which is fixed contract amount本合同包括設備材料費、人工費、機械費、管理費、利潤、稅金、代辦費用、保險費、運輸費、勞務費用、總承包服務費以及為完成工程所必須的其他一切費用，和工程各系統檢驗檢測、安裝調試等費用。該款項為甲方應付給乙方的全部費用，并已經包含物價變動因素。This agreement includes the cost of equipment and material

22、le 2 Government Approvals2.1 乙方負責協助甲方辦理此項施工需要辦理的所有政府報批，包括但不僅限于消防、環保的報批與其他與本工程相關的報批，甲方負責政府行政審批的費用。Party B shall be responsible to process government approvals related to the project, including but not limited to: fire control, environment protection and other approvals related tothis Project. Party A

23、 is responsible for the costs of these approvals 2.2 乙方負責其工程報備Party B shall be responsible for construction applications, approvals and related costs.2.3 乙方應承擔2.2 所述報備不全而導致的政府罰金，并且不能順延工期。Party B shall be responsible for any government fines due to incomplete approval processes, and should NOT cause

24、delay in the construction period.第三條：甲方的權利和義務Article 3 Rights and Obligations of Party A3.1 向乙方提供經確認的施工圖紙或做法說明五份，并向乙方進行現場交底，向乙方提供施工所需要的水電設備，并說明使用注意事項。Party A shall provide FIVE copies of confirmed construction drawings and explanations of work procedures, and shall conduct technical clarification. P

25、arty A shall provide Party B with necessary water and power equipment and the instructions on using the equipment.3.2 指派 xxxx 為甲方駐工地代表，負責合同的履行。對工程質量、進度進行監督檢查，辦理驗收、變更事宜。甲方的工地代表如果認為乙方的某雇員行為不當或散漫不羈，或甲方認為該雇員不能勝任，則乙方應立即進行撤換，并且未經甲方實現書面許可，乙方不得在施工中再行雇傭該等人員。被撤換的任何人員應盡可以能立即由甲方代表所批準的勝任的人員代替。Party A appoints xx

26、xx as the on-site representative to supervise the fulfillment of contractobligations,to overseethe qualitycontroland checkthe projectprogress,andto handleissues such as acceptance and variations. In the event of the on-site representative of Party A believes that any employee of Party B has improper

27、 conduct or misbehaviors, or if Party Aconsider such employee is not competent for the relevant work, Party B shall dismiss and replace this employee immediately; and unless having received consent by Party A in writingin advance, Party B shall no longer hire the specified employee in the following

28、phase of this project. Party B should make every effort to replace the dismissed employee with competent personnel authorized by on-site representative of Party A.43.3 甲方按照付款約定向乙方支付工程款。Party A should make payments to Party B according to the payment terms.3.4 如甲方認為乙方確已無能力繼續履行合同的，則甲方有權解除合同，乙方必須在接到甲方書

29、面通知后兩周內撤離場地以便乙方繼續施工。對乙方完成工程量的結算不作為撤離場地的條件，結算應在竣工一個月之內完成，付款方式按照本合同條款。In the event of Party A consider Party B is indeed unable to further fulfill its contract obligations, then Party A has the right to terminate the contract, and Party B should vacate the project site within two weeks after receiving

30、 Party A's notice, so that Party A can resume construction assoon as possible.Confirmation of finished quantity shall NOT be regarded as a prerequisiteto Party B's vacation of the project site, and the confirmation should be processed within onemonth after the project completion.Payment shal

31、l be made according to the payment termsin this contract.3.5 甲方有權要求乙方按照甲方的組織設計和施工工期進行施工，乙方如對甲方的要求和指令不予執行的，則按照乙方違約處理，乙方應承擔違約責任。Party A has the right to instruct Party B to do the construction according to Party A's organization and planned construction period; in the event of Party B ignores and

32、refuses toobserve Party A's instructions, Party B will be deemed as breach of the contract, and Party B shall be held responsible for the liabilities of breaching the contract.3.6 甲方有權要求乙方服從甲方的統一安排和管理，乙方的施工人員必須遵守各項規章制度。對于乙方施工人員違規操作所產生的后果，乙方承擔全部責任。甲方有權從工程總價款中扣除相應的款項。Party A has the right to instr

33、uct Party B to observe the general arrangement and managementby Party A, and the construction staffs of Party B must observe all rules and regulations. Party B shall be fully responsible for the consequences of such violations by the staff of PartyB. Party A has the right to directly deduct the corr

34、esponding amount from the total contract amount.3.7 甲方所有的通知可以以書面或口頭形式發出，乙方接獲甲方的通知后應根據通知規定的內容執行。All notices from Party A can be made both in writing and orally, but the oral instructions areonly applicable to the representative of Party A. Party B shall, upon receiving notices from Party A, execute t

35、he corresponding matters according to the content of the notices.3.8 未經甲方同意，乙方不得將工程轉讓或分包，對于乙方將工程擅自轉讓或分包的，甲方有權解除合同，乙方必須接受并承擔由此造成的一切后果。Party B shall NOT transfer or subcontract the project to any third party without the consent of Party A; in the event of Party B transfers or subcontracts the project

36、to any third party without the consent of Party A, Party A has the right to terminate the contract, and Party B must accept and be responsible for any consequence of such violation.3.9 甲方有權制定專業分包商，并按照乙方在投標文件中承諾的配合管理費率向乙方支付配合管理費。Party A has the right to appoint special sub-contractors, and shall pay

37、the management fee to Party B according to the rate of subcontract management and coordination fee stipulated in5the bidding documents3.10 按照招標文件中的相關條目，甲方有權自行采購材料供給乙方，并按照乙方在投標文件的相關條目中汲取人工費、機械費、輔助材料費等向乙方支付費用。甲方沒有義務向乙方支付其他費用。Party A has the right to purchase and provide Party B with materials on its o

Party A has no obligations to pay any other costs to Party B第四條：乙方的權利義務Article 4 Rights and Obligations of Party B4.1 參加甲方組織的施工圖紙或做法說明的現場交底，擬定施工方案和進度計劃，交由甲方審定。施工過程中，乙

39、方按照甲方的有關指示及修改變更要求進行相應調整。Party B shall participate in the technical clarification on construction drawings and explanations of work procedures organized by Party A, and should develop the constructionplan and the progress schedule for Party A to review. During construction, Party B should make such a

40、djustment to the construction plan and the progress schedule per Party A's instruction and change-orders.4.2 指派 xxxx 為乙方駐工地代表，負責合同的履行，按照要求組織施工，保質保量、按期完成施工任務。解決由乙方負責的各項事宜。乙方駐工地代表在本公司的工作時間不得少于90% 工作日。Party B appoints xxxx as the on-site representative of Party B to take charge of fulfilling thecon

The on-site representative of Party B shall organize the construction according to contract requirements so that the project can be completed according to the quality and quantity requirements and on a timely manner. The on-site representative of Party B shall work on the project

42、site for no fewer than 90% of the total working days.4.3 嚴格執行施工規范、安全操作規程、防火安全規定、環境保護規定。嚴格按照圖紙或做法說明進行施工，做好各項質量檢查記錄，參加竣工驗收，編制竣工資料及工程結算。Party B shall strictly observe construction guidelines, safety requirements, fire safety regulations, environment protection regulations and LEED requirements. Party B

43、 shall do the construction by strictly adhering to the construction drawings and explanations of work procedures, and shall effectively record each QA/QC inspection. Party B shall attend the completion acceptance, and develop at-built submittals and final project audit.4.4 根據甲方和設計方一致通過的設計圖紙進行施工，遵從甲方

44、工地代表和設計方的指示，如乙方發現在工程標準和設計圖之間存在不一致時，應以書面形式通知甲方和設計方。Party B shall carry out the construction according to the design drawings agreed upon by both Party A and the designer, shall observe the instructions of designer and the representative ofParty A; in the event of Party B finds inconsistence between p

45、roject standards and design drawings, Party B should inform the designer and Party A in writing.4.5 遵守國家或地方政府及有關部門對施工現場管理的規定及甲方的規章制度，妥善保護好施工現場周圍的建筑物、設備管線等不受損壞。做好施工現場保衛、消防和垃圾消納等工作，處理好由于施工帶來的擾民問題及周圍單位（住戶）的關系；如果由于乙方導致任何設施、設備6或管道在工地內外受損。將由乙方賠償損失。乙方負責與甲方的施工協調事項，并獨自完全承擔所有相關責任。Party B shall observe policie

46、s of on-site management by the state and local government authorities as well as Party A's rules and regulations; Party B shall compensate for the lossesto any facilities, equipment or pipelines both inside and outside of the construction yard caused by party B. Party B shall be responsible for

50、eafter abbreviated as "subcontractors") should purchase corresponding insurance for their own or other parties' properties, such as temporary construction barracks, iron frames and towers, scaffolding, utensils and other materials.4.9 從工程開始至工程竣工驗收報告上所列明的日期之日止，乙方應全權負責整項工程。不管任何原因導致的工程的損壞
