2、s,partyaandpartybhavereachedthefollowingagreementonissuesofinternationaleducationcooperation.一,合作雙方甲方是中國教育部直屬211工程大學,是具有自主辦學資質的高等教育機構可與外國教育機構合作,開展教師交流,學生交換和留學預科教育和中外合作辦學等國際教育交流合作.美國xxxx大學是xxxx性質大學,也是中國教育部承認學歷的美國正規(guī)大學i. thetwopartiesasoneof211projectuniversitiesdirectlysubordinatedtotheministryofeduca

3、tionofp.r.china,partyaisahighereducationalinstitutionhavingthequalificationofrunningaschoolindependently.theinternationaleducationexchangeandcooperationcancoversuchareasascooperationwithforeigneducationalinstitutions,teacherexchange,studentexchangeandprogramsofpreparatorycoursesaswellasrunningaschoo

4、lwithforeigncounterparts.xxxxxxuniversity,xxxxxxinstitutionofhigherlearningintheunitedstates,isaccreditedbythehigherlearningcommissionofthenorthcentralassociation.asaregularuniversityofu.s.a,itsacademiccredentialshavealsobeenadmittedbythechineseministryofeducation.二,合作目的與宗旨甲乙雙方以互惠,互信,互利為原則,發(fā)揮各自的資源優(yōu)勢

6、wnsocialinfluencepower.partyashalloffertheeducationalplatformandeducationalhardware,eratively.三,合作內容及方式,在甲方開辦赴美留學的培訓項目赴美培訓項目為非學歷教育,引

7、進全美大學通用的,可替代托福成績的esl英語證書培訓課程,目的是為了使留美學生到美國后,其英語水平能夠達到與母語為英語的學生一起上課的要求.由甲方提供場所及教學設施,負責招生,乙方提供課程的全部師資,教材,教育教學軟件和證書.招生人數(shù)少于xx人不得開班.iii. content&modebothsidesshallcooperateinlaunchingatrainingprogramatpartyaforthestudenttostudyintheus.beinganon-academiccredentialeducationprogram,theu.s.atrainingprogr

9、partyashallofferclassroomsandteachingfacilitiesandisresponsibleforrecruitingnewstudents,whilepartybshallprovidetheoverallteachingmaterials,educationalsoftware,teachersofeslcourseaswellaseslenglishcertificatewhichisuniversallyrecognizedamongusuniversities.thenewclassshallnotbestartedincasetheenrollme

10、ntislessthanxx.,甲乙雙方的權利與義務（一）甲方負責赴美留學項目開辦的相關立項和報批手續(xù).負責提供赴美留學英語培訓項目的教學設施及相關服務.負責教學質量的監(jiān)控,確保教學計劃的順利實施.如乙方所提供的師資質量出現(xiàn)問題,甲方有權保留提出整改并進一步更換師資的權利負責項目宣傳和招生.負責收取學生的學費,住宿費等.負責按照本協(xié)議的約定,將乙方應分得學費及時,足額地支付給乙方.負責教學安排和學生管理.負責美方教師的食宿安排,并支付規(guī)定的食宿費,共計每人每年人民幣xxxx元,其中住宿費為人民幣xxxx元/年/人,伙食費為xxxx元/年/人.（二）乙方同意甲方以與美國xxxx大學合作的名義開展

11、赴美留學英語培訓項目.負責為甲方提供招生宣傳資料和招生簡章的主要內容.負責提供留美預科班的全部師資,教材,教學軟件和全美大學通行的esl英語證書.并確保提供師資的質量,自愿接受甲方的教學監(jiān)控.負責美方教師往返中國的機票和薪酬.負責美方教師在中國期間的人身意外和醫(yī)療保險.負責為參加赴美留學英語培訓班學習的學生申請美國大學,并為美國大學錄取.負責為赴美留學英語培訓班的學生申請到美國大學給予國際學生最優(yōu)厚的獎學金.負責為赴美留學英語培訓班的學生提供赴美簽證培訓和代理赴美簽證服務iv. rights&obligationsofbothparties(I) partya:1. toberespo

16、providingalltheteachersofthestudyinu.s.apreparatorycourseprogram,teachingmaterials,teachingsoftwareandeslenglishcertificatecommonlyrecognizedamongusuniversities.toberesponsiblefortheusteachers'planeticketsandsalarytochina.toberesponsiblefortheusteachers'personalaccidentandmedicalinsurancedur

17、ingtheirstayinchina.toapplyforstudentswhoparticipateintheprogramofstudyinginu.s.atrainingprogramofesl,andensurethattheyareadmittedbyausuniversity.toberesponsibleforapplyingforthebestscholarshipwhichtheusuniversitycangranttointernationalstudentsforstudentsintheprogramofstudyingatu.s.atrainingprogramo

18、fesl.toofferthenecessarytrainingandserviceofvisaapplicationtostudentsintheprogramofstudyinginu.s.atrainingprogramofesltofacilitatetheirobtainingtheusentryvisa.五,收費和雙方利益分配學費:培訓,考試及證書費用為每人每期xxxx元人民幣,報到注冊時一次性交清.其中甲方分得xx%乙方分得xx%;各自用于辦學成本開支.學費由甲方統(tǒng)一收取,在每個學期開學后15個工作日內由甲方將乙方應分得部分劃入乙方在北京的指定賬戶.教材費:由乙方以合理價格收取.

19、學生住宿費:按甲方標準收取.v.chargesandprofitsdistribution1. tuitionfee:rmbxxxxyuanperstudentfortheprogram,collectedatthetimeofregistration.partyashallgetaproportionofxx%fromthetuitionandpartybshallgetxx%,eachsideshalluseittocovertherespectiveeducationcost.allthetuitionshallbecollectedbypartya,andwithin15workday

20、satthebeginningoftheeachsemester,partyashalltransferthepartoftuitionduetopartybintothedesignatedaccountofpartybinbeijing.2. textbookchargeshallbecollectedbypartybatreasonableprice.3. dormitoryshallbechargedatthestandardsetbypartya.六,合作期限本協(xié)議自甲,乙雙方簽字之日起生效,有效期兩年.協(xié)議到期前三個月,如雙方一致認為可以繼續(xù)合作,可正式續(xù)簽書面協(xié)議.coopera

21、tiontermtheagreementshallcomeintoeffectafterbeingsignedbybothsides,anditshalllastfortwoyearssincethesigneddate.ifbothsidesconsideritnecessarytocontinuethecooperation,thenanofficialwrittenagreementofextensionshallbesignedthreemonthsbeforetheexpiration.七,協(xié)議的變更本協(xié)議未盡事宜,或需變更,需經甲,乙雙方共同協(xié)商,做出書面補充協(xié)議;補充協(xié)議與本協(xié)議

22、具有同等法律效力.vii.changeoftheagreementanychangeoraffairsnotstatedinthisagreementshallbecoveredbywrittensupplementalagreementreachedbetweenbothsidesthroughnegotiation.thesupplementalagreementhasthesamelegaleffectasthisagreement.八,協(xié)議的終止和不可抗力本協(xié)議有效期滿時,自動終止.由于政治原因,自然災害,戰(zhàn)爭及其它不可預見因素,或對其發(fā)生及后果不能防止或避免的不可抗拒因素影響本協(xié)議的

23、履行或不能按預定條件履行的,遇上述不可抗拒因素的一方應立即通知對方,并應在三十日內提供詳情及有效證明文件因不可抗力致使本協(xié)議中止時,簽約雙方互不承擔經濟責任.因不可抗力致使本協(xié)議中止時,簽約雙方應共同對參加本教育項目學習的學生做出妥善安排,并將學生的損失降到最低限度.本協(xié)議執(zhí)行期間,任何一方如有不規(guī)范操作,違背協(xié)議約定,在對方提出三次整改要求后仍未改正的情況下,對方有權提出解除本協(xié)議.但甲,乙雙方應繼續(xù)履行各自職責,完成未完成的培訓,不得侵犯已入學學生的合法權益.viii.terminationandforcemajeure1. theagreementwillbeautomaticallyt

24、erminateduponexpiration.2. whenunpredictablecircumstanceslikepoliticalpolicy,naturaldisasters,warorotherforcemajeurewhoseoccurrenceandconsequencescannotbeprevented,andwhichleadstothesituationinwhichtheagreementcannotbecarriedoutorbeimplementedasplanned,thepartywhosuffersoneoftheaboveshallnotifytheco

25、unterpartwithoutdelayandprovidedetailsandvalidsupportingdocumentswithinthirtydays.iftheagreementhastoterminatebecauseofforcemajeure,neithersideshallbeartheeconomicresponsibilities.inaddition,bothpartiesshallmakeproperarrangementsforparticipantsoftheeducationprogram,anddotheirbesttominimizethestudent

26、s'loss.3. duringimplementationoftheagreement,ifanyparty'simproperconductsbreachtheagreement,andthesaidpartymakesnocorrectionsafterthecounterpart'swarningforthreetimes,thecounterpartshallhavetherighttosuggestterminatingtheagreement.nevertheless,bothsideshavedutiestocompletetheongoingtrain

27、ingandmustnotviolatethelegalrightsandinterestsoftheenrolledstudents.九,違約責任的認定和賠償簽約的任何一方,不能按約定的時間,方式和要求履行本協(xié)議應承擔的責任義務,均視為違約.違約方因其違約行為造成本協(xié)議目標不能實現(xiàn)或給簽約對方造成經濟損失,均應承擔相應的賠償責任.違約方因其違約行為或因已方不當行為侵害了教育項目的學生合法權益,或社會相關方面合法權益,或違反了中國法律及政府法令,均應獨自承擔相應的法律責任.違約方因其違約行為或因已方不當行為引發(fā)與第三方糾紛,致使無責任的簽約方被要求承擔連帶賠償責任時,無責任的簽約方有權要求有違

28、約責任或實施不當行為的簽約方賠償相應的損失.ix.establishmentofbreachresponsibilitiesandindemnifications1. itshallberegardedasbreachifanysidecannotimplementtheagreementandperformitsowndutiesorresponsibilitiesinaccordancewiththetime,mannerandrequirementsstipulated.2. ifbehaviorsofthebreachsidecausetheobjectiveoftheagreemen

29、tnotbeingrealizedorcauseeconomiclossforthecounterpart,thebreachsideshallbeartherelevantcompensationduties.3. ifthebreachbehaviororimproperbehaviorofthebreachsideviolatesthelegalrightsorinterestsofthestudentsinthiseducationprogram,ortherelevantlegalrightsorinterestsofrelatedorganizationsinthesociety,orthelawsorgovernmentdecreesofprc,thebreachsideshallundertaketherelatedlegaldutiesindependently.4. ifthebreachbehaviororimproperbehaviorofthebreachsidecausesdisputewithathirdpartyandinvolvesthecounterpartintothecompensa
