7、損失的索賠權。10. SHIPMENT （運輸）：The Sellers shall ship the goods with in the shipme nt time from the port of shipme nt to the desti nati on.Tran sshipme nt are allowed. Partial shipme nt is not allowed.賣方應于交貨期內將合同貨物從裝貨港運到目的港，允許轉運、不允許分批裝運。11. SHIPPING ADVISE（裝船通知）：賣方應于裝貨完成后，用郵件方式將有關合同號、品名、數量、發票價值、毛重、運輸工具名稱、

8、交貨日期、貨物預計抵達日等資料通知買方，買方提前做好接貨準備。The sellers shall upon the completi on of the loadi ng of the goods, advise by mail to the buyers of the Con tractNo., commodity, qua ntity, in voiced value, gross weight, n ame of vessel, date of delivery and tran sport cargo arrival date information etc. The buyer sh

QUALITY AGREEMENT（質量約定）：賣方保證合同貨物符合出口國、進口國質量技術要求（由賣方提供進口國技術標準）。The seller guara ntees that the con tract goods conform to the quality and tech ni cal requireme nts of exporter and importer （ the technical requirements of importer should be provided by s

Discrepancy and Claim （異議與索賠）：In case of quality discrepa ncy, claim should be lodged by the Buyers with in 30 days after the arrival of the goods at the port of dest in atio n, while for qua ntity discrepa ncy, claim should be lodged by the Buyers with in 15 days after the arrival of the

11、goods at the port of destination. In all cases, claims must be accompanied by Survey Reports of Recog ni zed Public Surveyors agreed to by the Sellers. Should the resp on sibility of the subject un der claim be found to rest on the part of the Sellers.The buyer raises object ions if exceed the objec

12、ti on period of con tract,the seller shall not be approved and does not assume resp on sibility品質異議須于貨到目的口岸之日起30天內提出，數量異議須于貨到目的口岸之日起15天內提出，但均須提供經賣方同意的公證行的檢驗證明。如責任屬于賣方者，賣方于收到異議20天內答復買方并提出處理意見。買方超出合同約定的異議期限內提出異議的，賣方不予認可并不承擔責任。14. FORCE MAJEURE（不可抗力）：The Sellers shall not be held resp on sible if they

13、fail, owi ng to Force Majeure cause or causes, to make delivery within the time stipulated in this on tract or cannot deliver the goods. However, the Sellers shall inform immediately the Buyers by cable. The Sellers shall deliver to the Buyers by registered letter, if it is requested by the Buyers,

14、a certificate issued by the China Council for the Promotion of International Trade or by any compete nt authorities, attest ing the existe nee of the said cause or causes. The Buyers failure to obta in the relative Import Lice nee is not to be treated as Force Majeure.因人力不可抗拒事故使賣方不能在本售貨合約規定期限內交貨或不能交

15、貨，賣方不負責任，但是賣方必 須立即以電報通知買方。如果買方提出要求，賣方應以掛號函向買方提供由中國國際貿易促進委員會或 有關機構出具的證明，證明事故的存在。買方不能領到進口許可證，不能被認為系屬人力不可抗拒范圍。15. ARBITRATION （仲裁）：Any dispute aris ing from or in connection with this Con tract shall be submitted to China Intern ati onal Econo mic and Trade Arbitrati on Commissi on for arbitrati on whi

16、ch shall be con ducted in accorda nee with the Commissio ns arbitrati on rules in effect at the time of appl ying for arbitrati on. The arbitral award is final and binding upon both partied. Arbitrati on fee shall be borne by the losi ng party. Performa nee of this con tract and dispute resolutio n

17、are apply to the law of the Peoples Republic of China.與此合同有關的爭議應通過友好協商解決。如果協商無法解決，提交中國國際經濟貿易仲裁委員會進行 仲裁。按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。仲 裁費用由敗訴方承擔。本合同履行及爭議解決適用中華人民共和國法律。16. BANK CHARGES （銀行費用）All bank charges outside the Peoples Republic of China mainland will be on the acco unt of the buye

18、r.所有中華人民共和國大陸地區之外的銀行費用均由買方承擔。17.OTHER TERMS （其它條款）：+The covering Letter of Credit shall stipulate the Sellers s option of shipping the indicated percentage more orless tha n the qua ntity hereby con tracted and be n egotiated for the amount coveri ng the value of qua ntity actually shipped. （The Buy

19、ers are requested to establish the L/C in amount with the in dicated perce ntage over the totalvalue of the order as per this Con tract.）信用證內應明確規定賣方有權可多裝或少裝所注明的百分數，并按實際裝運數量議付。（信用證之金額按本售貨合約金額增加相應的百分數。）+The contents of the coveri ng Letter of Credit shall be in strict con formity with the stipulati on

The Sellers shall not be held resp on sible for possible delay of shipme nt result ing from await ing the ame ndme nt of the L/C and reser
