ExecutiveSummary

ThisStockIncentivePlan(the"Plan")isdesignedtoaligntheinterestsofemployeeswiththelong-termsuccessandperformanceof[CompanyName](the"Company").ThePlanaimstoattract,retain,andmotivatehighlyskilledindividualsbyprovidingthemwiththeopportunitytoparticipateintheCompany'sgrowthandsuccessthroughequityownership.Thisdocumentoutlinesthekeyfeatures,eligibilitycriteria,andadministrationofthePlan.

1.Introduction

1.1Purpose

ThepurposeofthisPlanistocreateacomprehensiveequitycompensationprogramthatwill:

-AttractandretainkeyemployeeswhocontributesignificantlytotheCompany'ssuccess.

-AligntheinterestsofemployeeswiththeCompany'sshareholders.

-RewardemployeesfortheirperformanceandcontributiontotheCompany'sgrowth.

-EnhancetheCompany'scompetitivepositioninthemarketplace.

1.2Definitions

ForthepurposesofthisPlan,thefollowingtermsshallhavethefollowingmeanings:

-"Employee"meansanyindividualemployedbytheCompanyoranyofitssubsidiaries,whoiseligibletoparticipateinthePlan.

-"Participant"meansanEmployeewhohasbeengrantedanequityawardunderthePlan.

-"Award"meansagrantofshares,options,restrictedstockunits,oranyotherequitycompensationgrantedunderthePlan.

-"Vesting"meanstheprocessbywhichaParticipant'srightstoanAwardbecomeexercisableorarenolongersubjecttoarestriction.

-"Exercise"meanstheconversionofanoptionintosharesorthepurchaseofsharesbyaParticipant.

-"FairMarketValue"meansthevalueofashareoftheCompany'scommonstockasdeterminedbytheCompany’svaluationcommittee.

2.Eligibility

2.1EligibleEmployees

ThefollowingcategoriesofemployeesareeligibletoparticipateinthePlan:

-ExecutiveOfficers

-KeyManagementPersonnel

-EmployeeswhoaredeemedtobecriticaltotheCompany’ssuccessbytheCompany’sBoardofDirectorsorCompensationCommittee.

2.2EligibilityCriteria

EligibilityforparticipationinthePlanisdeterminedbytheCompensationCommittee(the"Committee")basedonthefollowingcriteria:

-Jobtitleandlevel

-Lengthofservice

-Performanceagainstpre-establishedgoals

-ContributionstotheCompany'ssuccess

3.TypesofAwards

ThePlanprovidesforthefollowingtypesofequityawards:

3.1StockOptions

StockoptionsaregrantedtoParticipantsandentitlethemtopurchaseoneshareoftheCompany'scommonstockatapredeterminedprice(the"ExercisePrice")onorbeforetheexpirationdateoftheoption.

3.2RestrictedStockUnits(RSUs)

RSUsaregrantedtoParticipantsandrepresentarighttoreceiveashareoftheCompany'scommonstockuponvesting.ThesharesaredeliveredtotheParticipantuponvesting,andtheParticipantbecomestheowneroftheshares.

3.3PerformanceShares

PerformancesharesaregrantedtoParticipantsandvestbasedontheachievementofpre-establishedperformancegoalssetbytheCommittee.ThesharesaredeliveredtotheParticipantuponvesting.

4.GrantingofAwards

4.1GrantingProcess

AwardsunderthePlanaregrantedbytheCommittee.TheCommitteeshallconsiderthefollowingfactorswhengrantingAwards:

-TheParticipant'spositionandrolewithintheCompany

-TheParticipant'sperformanceandcontributiontotheCompany

-TheoverallcompensationphilosophyoftheCompany

-TheCompany'sfinancialpositionandcapitalrequirements

4.2GrantDate

ThegrantdateofanAwardisthedateonwhichtheCommitteeapprovesthegrant.

5.TermsandConditionsofAwards

5.1ExercisePrice

TheExercisePriceforstockoptionsshallbedeterminedbytheCommitteeandshallbeatleasttheFairMarketValueoftheCompany'scommonstockonthedateofgrant.

5.2VestingSchedule

ThevestingscheduleforRSUsandperformancesharesshallbedeterminedbytheCommitteeandmaybebasedonacliffvestingschedule(wheretheentireAwardvestsupontheachievementofacertainmilestone)oragradedvestingschedule(wheretheAwardvestsoveraperiodoftime).

5.3PerformanceGoals

PerformancegoalsforperformancesharesshallbeestablishedbytheCommitteeandshallbealignedwiththeCompany'sstrategicobjectives.

5.4Forfeiture

IntheeventofaParticipant'sterminationofemployment,theunvestedportionofanyAwardshallbeforfeited,exceptasprovidedinSection6.

6.Administration

6.1RecordKeeping

TheCompanyshallmaintainarecordofallAwardsgrantedunderthePlan,includingthegrantdate,ExercisePrice,vestingschedule,andanyotherrelevantinformation.

6.2TaxImplications

ParticipantsshallberesponsibleforanytaxliabilitiesthatarisefromthereceiptofequityawardsunderthePlan.TheCompanyshallprovideParticipantswithinformationregardingthetaximplicationsofsuchawards.

6.3ChangestothePlan

TheCommitteemay,atitsdiscretion,modify,terminate,oramendthePlanatanytime,subjecttotheprovisionsofapplicablelaw.

7.TerminationofEmployment

7.1TerminationforCause

Intheeventofterminationofemploymentforcause,theunvestedportionofanyAwardshallbeimmediatelyforfeited.

7.2TerminationWithoutCause

Intheeventofterminationofemploymentwithoutcause,thevestingscheduleforanyAwardshallcontinuetoapply.

7.3DeathorDisability

IntheeventofaParticipant'sdeathordisability,thevestingscheduleforanyAwardshallcontinuetoapply,exceptasprovidedinSection8.

8.DeathorDisability

8.1Death

IntheeventofaParticipant'sdeath,theunvestedportionofanyAwardshallvestimmediately,andthesharesshallbedeliveredtotheParticipant'sestateordesignatedbeneficiary.

8.2Disability

IntheeventofaParticipant'sdisability,thevestingscheduleforanyAwardshallcontinuetoapply,subjecttothetermsofthePlan.

9.DisputeResolution

AnydisputesarisingunderthePlanshallberesolvedbytheCommittee,whichshallhavetheauthoritytomakefinalandbindingdecisions.

10.Miscellaneous

10.1EntireAgreement

ThisPlanconstitutestheentireagreementbetweentheCompanyandtheParticipantswithrespecttothesubjectmatterhereof.

10.2GoverningLaw

ThisPlanshallbegovernedbythelawsoftheStateof[State].

10.3Amendments

NoamendmenttothisPlanshallbeeffectiveunlessapprovedbytheCommittee.

11.Approval

ThisStockIncentivePlanhasbeenapprovedbytheCompany’sBoardofDirectorsandiseffectiveasof[Date].

Introduction

ThepurposeofthisStockIncentivePlan(the"Plan")istoaligntheinterestsoftheemployeeswiththelong-termsuccessandvaluecreationof[CompanyName](the"Company").Byprovidingemployeeswithequityincentives,theCompanyaimstoattract,retain,andmotivateahighlyskilledworkforcethatiscommittedtoachievingtheCompany'sstrategicobjectives.ThisPlanoutlinesthetermsandconditionsunderwhichequityincentiveswillbegrantedtoeligibleemployees.

I.Definitions

ForthepurposesofthisPlan,thefollowingtermsshallhavethemeaningsassignedtothem:

-"Administrator"meanstheboardofdirectorsorsuchothercommitteeorindividualdesignatedbytheboardofdirectorstoadministerthisPlan.

-"Award"meansagrantofequityincentiverightstoanEligibleEmployeeunderthisPlan.

-"AwardAgreement"meansthewrittenagreementgoverningthetermsandconditionsofanAward.

-"BeneficialOwnership"meansownershipofsharesoftheCompanybyanindividualorentityforwhomvotingpoweriscontrolledorbyanindividualorentitywhohasthepowertovotesharesoftheCompanyonbehalfofanother.

-"ChangeofControl"meansatransactionorseriesofrelatedtransactionsthatresultsinany"person"(asdefinedinSection13(d)or14(d)oftheSecuritiesExchangeActof1934,asamended)becomingthebeneficialownerofmorethan50%ofthevotingpoweroftheCompanyoranytransactionorseriesofrelatedtransactionsthatresultsintheacquisitionofcontroloftheCompanybyanypersonorgroup.

-"Company"means[CompanyName],acorporationorganizedandexistingunderthelawsof[State/Country].

-"EligibleEmployee"meansanyemployeeoftheCompanywhoiseligibletoparticipateinthePlan,asdeterminedbytheAdministrator.

-"Exercise"meanstheconversionofanOptionorthepurchaseofSharesunderaStockPurchasePlan.

-"FairMarketValue"meansthevalueofaShareasdeterminedbytheAdministratoror,iftheAdministratordeterminesthatareasonableandreliablevaluationisnotpracticable,thevalueofaShareasdeterminedbyanindependentvaluationfirm.

-"IncentiveStockOption"or"ISO"meansanOptionthatmeetstherequirementsofSection422oftheInternalRevenueCodeof1986,asamended(the"Code").

-"Non-QualifiedStockOption"or"NSO"meansanOptionthatdoesnotmeettherequirementsofSection422oftheCode.

-"Option"meansanoptiontopurchaseSharesoftheCompanyataspecifiedpriceandduringaspecifiedperiod.

-"Plan"meansthisStockIncentivePlan.

-"Shares"meansthesharesofcommonstockoftheCompany.

-"StockAppreciationRights"or"SARs"meansrightstoreceivetheappreciationinthevalueofSharesoveraspecifiedperiodoftime.

-"StockPurchasePlan"meansaplanthatallowsEligibleEmployeestopurchaseSharesoftheCompanyatadiscount.

II.Eligibility

A.EligibleEmployees

ThePlanshallbeavailabletoallfull-timeemployeesoftheCompanywhoareemployedonaregularbasis,excludingtemporary,part-time,andindependentcontractors.TheAdministratormay,initssolediscretion,addorremovecategoriesofemployeesfromeligibilityunderthePlan.

B.TermsofEligibility

EligibleEmployeesshallberequiredtosatisfythefollowingtermsofeligibility:

1.Employment:AnEligibleEmployeemustbeemployedbytheCompanyonthedateofgrantandthroughouttheperiodduringwhichtheAwardissubjecttovestingrequirements.

2.ContinuousService:AnEligibleEmployeemustmaintaincontinuousservicewiththeCompanyduringthevestingperiod.

3.AgeandServiceRequirements:CertainAwardsmayhaveageandservicerequirements,asdeterminedbytheAdministrator.

III.TypesofAwards

A.IncentiveStockOptions(ISOs)

ISOsmaybegrantedtoEligibleEmployeestoprovidethemwithanopportunitytoparticipateintheCompany'sgrowthandsuccess.ISOsshallbesubjecttothefollowingterms:

1.ExercisePrice:TheexercisepriceofanISOshallbeatleast100%oftheFairMarketValueoftheSharesonthedateofgrant.

2.Vesting:ISOsshallvestoverafour-yearperiod,with25%vestingannually.

3.Taxation:ISOsshallbetaxedascapitalgainsuponexercise,providedcertainconditionsaremet.

B.Non-QualifiedStockOptions(NSOs)

NSOsmaybegrantedtoEligibleEmployeesasanalternativetoISOs.NSOsshallbesubjecttothefollowingterms:

1.ExercisePrice:TheexercisepriceofanNSOshallbeatleast100%oftheFairMarketValueoftheSharesonthedateofgrant.

2.Vesting:NSOsshallvestoverafour-yearperiod,with25%vestingannually.

3.Taxation:NSOsshallbetaxedasordinaryincomeuponexercise.

C.StockAppreciationRights(SARs)

SARsmaybegrantedtoEligibleEmployeestoprovidethemwithanopportunitytoparticipateintheappreciationoftheCompany'sShares.SARsshallbesubjecttothefollowingterms:

1.Payment:SARsshallentitletheholdertoreceivetheappreciationinthevalueoftheSharesoveraspecifiedperiodoftime,asdeterminedbytheAdministrator.

2.Exercise:SARsmaybeexercisedbytheholderforSharesattheFairMarketValueonthedateofexercise.

D.StockPurchasePlans

EligibleEmployeesmaybeofferedtheopportunitytopurchaseSharesoftheCompanyatadiscountthroughaStockPurchasePlan.ThetermsoftheStockPurchasePlanshallbedeterminedbytheAdministrator.

IV.Administration

A.GrantingofAwards

TheAdministratorshallhavethesolediscretiontograntAwardsunderthePlan.TheAdministratormay,initssolediscretion,determinethenumber,type,andtermsofAwardstobegranted.

B.NotificationofAwards

TheAdministratorshallnotifyEligibleEmployeesofanyAwardsgrantedtothemunderthePlan,includingthetermsandconditionsoftheAwards.

C.Recordkeeping

TheCompanyshallmaintainrecordsofallAwardsgrantedunderthePlan,includingthenumberofSharessubjecttoeachAward,theexerciseprice,andthevestingschedule.

V.VestingandExercise

A.Vesting

AwardsshallvestinaccordancewiththetermsandconditionssetforthintheAwardAgreement.Ingeneral,Awardsshallvestoverafour-yearperiod,with25%vestingannually.

B.Exercise

EligibleEmployeesmayexercisetheirAwardsbypurchasingSharesattheexercisepricespecifiedintheAwardAgreement.TheAdministratormay,initssolediscretion,establishproceduresfortheexerciseofAwards.

VI.TerminationofEmployment

A.TerminationofEmployment

IntheeventofanEligibleEmployee'sterminationofemployment,thetermsandconditionsoftheAwardsshallbedeterminedinaccordancewiththeAwardAgreement.

B.ChangeofControl

IntheeventofaChangeofControl,theAdministratorshallhavethesolediscretiontoacceleratethevestingofAwardsandprovideadditionalbenefitstoEligibleEmployees.

VII.Taxation

A.Withholding

TheCompanyshallberequiredtowithholdanytaxesdueupontheexerciseorvestingofAwardsunderthePlan.

B.Reporting

TheCompanyshallberequiredtoreportthegrant,exercise,andterminationofAwardsunderthePlantotherelevanttaxauthorities.

VIII.AmendmentsandTermination

A.Amendments

TheAdministratormay,initssolediscretion,amendthePlanatanytime.

B.Termination

TheAdministratormay,initssolediscretion,terminatethePlanatanytime.

IX.GoverningLaw

ThisPlanshallbegovernedbythelawsof[State/Country].

X.Miscellaneous

A.EntireAgreement

ThisPlanconstitutestheentireagreementbetweentheCompanyandtheEligibleEmployeeswithrespecttothesubjectmatterhereof.

B.NoWaiver

ThefailureoftheCompanytoenforceanyprovisionofthisPlanshallnotbedeemedawaiverofsuchprovision.

C.Severability

IfanyprovisionofthisPlanisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

ByparticipatingintheStockIncentivePlan,EligibleEmployeesacknowledgethattheyhaveread,understand,andagreetobeboundbythetermsandconditionsofthePlan.

3.2TheBoardmaygrantStockOptionstoEmployeesatanytime,providedthatsuchgrantsaremadeinaccordancewiththetermsandconditionsofthePlan.

3.3ThenumberofStockOptionsgrantedtoeachEmployeeshallbedeterminedbytheBoard,takingintoconsiderationtheEmployee'sposition,performance,andtheCompany'sbusinessneeds.

4.TermsandConditionsofStockOptions

4.1ExercisePrice:TheExercisePriceforeachStockOptionshallbeequaltothefairmarketvalueoftheCompany'scommonstockonthedateofgrant,asdeterminedbytheBoard.

4.2VestingSchedule:TheStockOptionsgrantedunderthePlanshallvestoveraperiodoffouryears,withone-fourthoftheoptionsvestingannually,providedthattheEmployeeremainsemployedbytheCompanyonthevestingdate.

4.3ExercisePeriod:EachStockOptionshallbeexercisableforaperiodoftenyearsfromthedateofgrant.

4.4ExerciseMethod:StockOptionsmaybeexercisedbytheEmployeebydeliveringawrittennoticeofexercisetotheAdministrator,togetherwiththeExercisePriceandanyapplicabletaxes.

4.5Forfeiture:IfanEmployeeterminatesemploymentwiththeCompanyforanyreason,anyunvestedStockOptionsshallb
