TerminationAgreementThisTerminationAgreement(the"Agreement")ismadeandenteredintoasof[date](the"EffectiveDate")byandbetween:PartyA:Name:[PartyA'sfullname]Address:[PartyA'saddress]ContactPerson:[Name]ContactNumber:[Phonenumber]Email:[Emailaddress]PartyB:Name:[PartyB'sfullname]Address:[PartyB'saddress]ContactPerson:[Name]ContactNumber:[Phonenumber]Email:[Emailaddress]RecitalsWHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[dateoforiginalcontract];andWHEREAS,bothpartiesnowdesiretoterminatetheOriginalContractonthetermsandconditionssetforthherein.TerminationoftheOriginalContract1.ThepartiesherebymutuallyagreetoterminatetheOriginalContracteffectiveasoftheEffectiveDate.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasoftheEffectiveDate,exceptasotherwiseprovidedinthisAgreement.ReleaseofClaims1.Eachpartyherebyreleasesandforeverdischargestheotherparty,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromallclaims,causesofaction,liabilities,damages,losses,expenses(includingbutnotlimitedtoattorneys'feesandcourtcosts),andobligationsofeverykindandnature,whetherknownorunknown,arisingoutoforinanywayrelatedtotheOriginalContract.ReturnofProperty1.Eachpartyshallreturntotheotherpartyallproperty,documents,andmaterials(includingbutnotlimitedtoprototypes,samples,data,andintellectualproperty)thatwereprovidedorcreatedinconnectionwiththeOriginalContractwithin[numberofdays]daysaftertheEffectiveDate.Confidentiality1.TheconfidentialityprovisionsoftheOriginalContractshallsurvivetheterminationoftheOriginalContractandcontinuetobindthepartiesforaperiodof[numberofyears]yearsfromtheEffectiveDate.Eachpartyshallcontinuetoprotectandsafeguardtheconfidentialityoftheotherparty'sconfidentialinformationinaccordancewiththetermsoftheOriginalContract.Non-CompeteandNon-Solicitation1.IftheOriginalContractcontainednon-competeornon-solicitationclauses,suchclausesshallremaininfullforceandeffectforthedurationspecifiedintheOriginalContract.PaymentandSettlement1.AsoftheEffectiveDate,PartyAshallpayPartyBthesumof[amount](the"FinalPayment")within[numberofdays]daysaftertheEffectiveDate.ThispaymentshallbeinfullsettlementofallfinancialobligationsbetweenthepartiesarisingfromtheOriginalContract.2.EachpartyshallberesponsibleforitsowntaxesandotherfinancialobligationsrelatedtotheterminationoftheOriginalContractandthepaymentsmadehereunder.EntireAgreement1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AmendmentsandWaivers1.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.Severability1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.GoverningLaw1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,thepartiesagreetosubmitthedisputetotheexclusivejurisdictionofthe[court/arbitrationinstitution]locatedin[location].Counterparts1.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepar
