AgreementforTerminationofContractThisAgreementforTerminationofContract(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[PartyA'sfullname]Address:[PartyA'saddress]ContactPerson:[Name]ContactNumber:[Phonenumber]Email:[Emailaddress]PartyB:Name:[PartyB'sfullname]Address:[PartyB'saddress]ContactPerson:[Name]ContactNumber:[Phonenumber]Email:[Emailaddress]RecitalsWHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[dateoforiginalcontract],forthepurposeof[describethepurposeoftheoriginalcontract];WHEREAS,bothpartiesnowdesiretoterminatetheOriginalContractuponthetermsandconditionssetforthinthisAgreement.AgreementtoTerminate1.TerminationoftheOriginalContract-PartyAandPartyBherebymutuallyagreetoterminatetheOriginalContracteffectiveasofthedateofthisAgreement.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminate,exceptasotherwiseprovidedinthisAgreement.2.ObligationsafterTermination-EachpartyshallberesponsibleforanyandallcostsandexpensesthatithasincurreduptothedateofterminationoftheOriginalContract,includingbutnotlimitedtolaborcosts,materialcosts,andanyotherdirectorindirectexpensesrelatedtotheperformanceoftheOriginalContract.-PartyAandPartyBshallindemnifyandholdeachotherharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeirrespectiveperformanceornon-performanceoftheOriginalContractpriortotheterminationdate,excepttotheextentthatsuchclaims,losses,damages,liabilities,andexpensesarecausedbytheotherparty'sgrossnegligenceorwillfulmisconduct.3.ReturnofPropertyandConfidentialInformation-Eachpartyshallreturntotheotherpartyanyandallproperty,documents,data,andothermaterials(includingcopies)thatareinitspossessionorcontrolandthatbelongtotheotherpartyorarerelatedtotheOriginalContractwithin[numberofdays]daysaftertheexecutionofthisAgreement.-ThepartiesshallcontinuetobeboundbyanyconfidentialityobligationscontainedintheOriginalContractwithrespecttoanyconfidentialinformationexchangedorobtainedduringthetermoftheOriginalContract.TheconfidentialityobligationsshallsurvivetheterminationoftheOriginalContractforaperiodof[numberofyears]yearsfromthedateoftermination.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,eitherpartymaysubmitthedisputetotheexclusivejurisdictionofthe[court/arbitrationinstitution]locatedin[Jurisdiction].INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementf
